초록

현행 상속세 및 증여세법에서는 비상장법인의 가치를 정확히 산정할 수 없기 때문에, 대안으로서 보충적 평가법과 유사상장법인 주가비교평가법을 제공하고 있다. 본 연구는 그 중 기업가치에 보다 가까운 평가법을 발견하고자 한 연구이다. 기업가치의 대용치로 실제주가를 선택했으며, 유사한 상장기업 자료를 비상장기업에 의제하여 각 평가법의 정확성을 실증분석 하였다. 주가와 차이의 절대값인 절대오차율을 사용하여, 절대오차율이 가장 작은 대안을 찾고자 하였다.
연구결과는 다음과 같다. 첫째, 상증세법상의 보충적 평가방법은 상증세법상의 주가비교법보다 실제 가치와의 거리가 더 멀었다. 이는 현행 주가비교법이 제대로 활용만 된다면 보충법보다 더 나은 대안이 될 수 있음을 의미한다. 둘째, 주가비교법상 현행 기준은 총자산이익률 기준으로 2-4개 비교상장법인을 상하최근접법으로 매칭하는 방법을 사용하고 있다. 본 연구는 각 기준에 대해 다른 방식을 적용해 본 결과, 19가지 개선안 중 비교상장법인수 4개 및 최근접법을 선택한 일부 방식에서 현행 및 과거 세법 기준보다 상대적으로 나은 결과를 보여주었다.
따라서 본 연구결과는 현행 기준보다 개선된 주가비교법 산정 기준에 대한 실증적 증거를 제시하고 있으며, 이는 주가비교법의 유용성 개선에 시사점을 줄 수 있을 것으로 기대한다. 다만, 본 연구에서 사용된 표본은 비상장기업의 자료 획득에 어려움이 있기 때문에 비상장기업표본이 대신 상장법인을 대상으로 실증분석을 실시하였다는 한계점이 존재한다.

영어초록

This paper examines the accuracy of the valuation methods of unlisted stocks under current Estate and Gift tax law, and aims to provide methods which are closer to the true value of the company, normally proxied by market value or stock price. Because many unlisted companies do not have reliable market values, current tax law provides two valuation methods: complementary valuation method and comparative valuation method. The main aims of this study is to increase the accuracy of the comparative valuation method under the tax law. This study investigates their accuracy proxied by the absolute error rates which shows how different are the values from the fair values, proxied by the stock prices. Instead of using unlisted company data, this paper used listed companies and tested the accuracy of estimated values under the two methods; therefore, the stock prices used are the listed companies’ and their peer groups’ stock prices. The test settings and findings are as follows. First, the absolute error rate of the complementary valuation method is higher than the absolute error rate of the comparative valuation method. Therefore, the current comparative valuation method is an improved method compared to the complementary valuation method. Second, when we applied 19 different matching alternatives to the comparative valuation method, we found out that several methods provide lower error rates than the current comparative valuation method under the tax law, or higher differences between the complementary method and the comparative methods. The findings of this study suggest that when we change the matching methods of the comparative valuation method under the law to the methods suggested by this study, the usefulness of complementary method will be increased.
