「자본시장법」 제174조에서 정보의 ‘중요성’ 의미 ―‘중요성’과 관련된 ‘정확성(진실성)’ 문제― (The Meaning of Information ‘Importance’ in Article 174 of 「Financial Service and Capital Market Act」–The Problem of ‘Precise(truthful)’ related to ‘Importance’–)

초록

자본시장이 건전하게 발전하기 위해서는, 그 안에서 이루어지는 거래가 공정하다는 믿음이 있어야 한다. 그런데, 우리의 바람과는 달리 시장에서는 다양한 유형의 불공정거래행위가 발생하는데, 이 중 정보의 비대칭을 이용한 ‘미공개중요정보 이용행위’는 시장참여자들의 신뢰를 훼손하는 대표적 불법행위이다. 이를 규제하기 위해 「자본시장법」은 제174조에서 ‘미공개중요정보 이용행위’를 금지하고, 동법 제443조에서는 동 규정 위반에 대한 형사벌칙을 규정하고 있다. 그러나 시장에 대한 지나친 규제는 거래의 위축을 초래할 수 있으므로, 시장참여자간 형평성을 훼손하는 일정한 경우만을 규제범위에 포섭하기 위한 입법 및 적용상 기술이 필요하다. 이에 「자본시장법」은 이른바 정보의 ‘중요성’ 요건을 규정하고, 학설과 판례는 사례를 통해 그 내용을 구체화하고 있다. 그럼에도 불구하고 그 인정 여부에 따라 형사벌칙이 적용될 수 있어 실무상으로는 ‘중요성’ 요건 충족 여부에 대한 다툼이 빈번하고, 따라서 그 기준 정립을 위한 심도 있는 고찰이 필요하다.
한편, ‘중요성’ 요건과 관련하여 「자본시장법」은 ‘진실성’ 요건을 명시적으로 요구하지 않는다. 그럼에도 기존 학설과 판례는 “동 정보가 반드시 객관적으로 명확하고 확실할 것까지 요구하지는 않는다고 하더라도 어느 정도의 정확성은 인정되어야 한다”는 입장을 견지하면서, ‘허위’정보를 이용한 경우에는 「자본시장법」 제174조의 적용대상에서 제외하고 있다. 그러나 이러한 해석론을 고수할 경우 투자판단에 영향을 주는 중요정보를 이용한 자에 대한 규제공백이 발생하고, 제174조 이외의 다른 규정의 적용을 시도할 경우 조치수준이 역전되는 등 불합리가 발생할 수 있다. 그러나 동 규정의 정보에 ‘허위’의 것도 포함되는 것으로 해석한다면, 이러한 불합리를 피하고 보다 간명한 방식으로 문제의 본질에 집중할 수 있는 장점이 있다.

영어초록

In order for the capital market to develop and maintain soundly, there must be a belief that the transactions in it are fair. However, unlike our wishes, there are various types of unfair trade practices in the capital market. Among them, ‘undisclosed important information use’ using asymmetry of information is a representative illegal act that undermines the trust of market participants. In order to regulate this, 「Financial Service and Capital Market Act」 prohibits the use of undisclosed important information in Article 174, and Article 443 of the same Act stipulates criminal penalties for violations of the regulations. However, excessive regulation of information use can cause contraction of transactions, so legislation and application technology is needed to cover the scope of regulation only in certain cases that undermine market fairness. Therefore, our 「Financial Service and Capital Market Act」 defines the so-called ‘important’ requirements of information, and the theories and court precedent embody the contents through cases. Nevertheless, criminal penalties can be applied according to whether or not they are recognized, so there are frequent disputes about whether they meet the ‘important’ requirement in practice, and therefore, in-depth consideration is needed to establish the standard.
On the other hand, 「Financial Service and Capital Market Act」 does not explicitly require the ‘truth’ requirement in relation to the ‘important’ requirement. Nevertheless, existing theories and court precedents maintain that “even if the information does not necessarily require objective clarity and certainty, some accuracy should be necessary”. And in the case of using false information, it is excluded from the application of Article 174 of 「Financial Service and Capital Market Act」. However, if this interpretation theory is adhered to, there may be a regulatory loophole for those who use important information that affects investment judgment, and if the application of any regulation other than Article 174 is attempted, unreasonable cases can occur, such as the level of sanction reversed. However, if the information of this regulation is interpreted as including ‘false’, it has the advantage of avoiding such irrationality and concentrating on the essence of the problem in a simpler way.
