건물에 관한 상사유치권의 우열상 제문제 (Problem in the priority of Commercial Lien on the Building)

초록

본고에서는 선행연구와의 차별성을 위하여 상대적으로 조명을 덜 받았던 구성을 취하였다. 즉, 대지와 건물을 구분한 후 건물을 중심으로 상사유치권의 우열상 제문제에 관하여 검토하였다. 이는 민사유치권 제한법리(대항력긍정설)를 상사유치권에서도 동일하게 적용하는 것에 비판이 있기 때문이다. 이를 위해서 우선 건물에 관한 상사유치권의 우열 논제에 관하여 우리와 일본의 학설 및 판례를 검토하였고 대항관계설 법리의 타당함을 논증하였다. 이후 대항관계설을 중심으로 건물에 관한 상사유치권의 주요쟁점을 다음과 같이 검토하였다.
먼저 대항관계설에 따른 상사유치권의 우열논제에서는 선행저당권에 관한 민사유치권의 우열에서 판례가 대항력긍정설을 채택하였다고 할지라도 상사유치권에서는 선행저당권자의 권리가 침해되지 않도록 대항관계설 법리를 취하는 것이 합리적이다.
대항관계설에 따른 대법원 판례 검토에서는 첫째, 대법원 판결(2010다57350)은 대항관계설 법리를 판시하였고 일응 타당하다. 둘째, 대항관계설 법리를 취할 경우 발생하는 한계를 보완하고자 소멸설과 상행위제한설 법리를 검토하였는바, 이 두 학설의 법리를 취할 경우의 한계가 더 명백하므로 대항관계설 법리가 상대적으로 더 합리적이다. 셋째, 대항관계설의 한계점은 본 법리에 ‘상사유치권은 신소유자 등의 후행권리자에 대하여 대항할 수 있다’는 법리를 보완하면 해결할 수 있다. 넷째, 대항관계설 법리와 보완법리에 대한 입법화는 기존 규정의 해석만으로도 충분하므로 굳이 필요하지 않다.

영어초록

In this thesis, we adopted a structure that was relatively less illuminated for differentiation from previous studies. In other words, after dividing the site and the building, the issue of priority of the commercial lien was examined. This is because there is criticism that the law of restricting civil lien (Positive Theories of Counterforce) is equally applied to commercial lien. To this end, we first reviewed the Academic Theories and Judicial Precedents of Korea and Japan regarding the priority issues of commercial lien on buildings and demonstrated the validity of the theory of counter-relationship. Since then, the main issues of commercial lien regarding buildings have been reviewed Centering on the theory of counter-relationship as follows.
First, in the issues of the priority of commercial lien according to the theory of counter-relationship, Judicial Precedents adopted Positive Theories of Counterforce on the priority of civil lien on the precedent mortgage. In commercial lien, however, it is reasonable to take the theory of counter-relationship so that the rights of the preceding mortgagee are not violated.
In reviewing the Supreme Court's case according to the theory of counter relations, First, the Supreme Court ruling (2010 Da 57350) judged the theory of counter-relationship and it is valid. Second, the Extinctive Theory and the theory of Commercial Activity Restrictions was reviewed to supplement the limitations that arise when the theory of counter relations is taken. However, the limitations of the two theories are more obvious, so the theory of counter-relationship is more reasonable. Third, the limitations of the theory of counter-relationship can be solved by supplementing the law that 'the commercial lien can be opposed to the subsequent right holders such as new owners'. Fourth, legislation on the theory of counter-relationship and complementary laws is not necessary because the interpretation of existing regulations is sufficient.
