초록

주식회사의 자기주식은 자본충실 및 납입자본 환급금지의 원칙의 예외로서 그 취득 및 처분거래가 제한된 요건 하에서 인정되고 있다. 그와 관련하여 자기주식을 미발행주식에 준하여 보아야 하는지 아니면 회사의 실체적 자산으로 보아야 하는지에 대한 본질적 논란이 있고, 이외에 실무적으로도 자기주식 취득 및 처분과 관련하여 여러가지 복잡한 쟁점이 있다. 자기주식의 직접 취득 및 처분 외에도 주식회사의 합병, 분할 및 분할합병 등 거래에 있어서 자기주식의 취득에 대해서도 실무상 논란이 많다.
회사법 관점에서는 자기주식을 회사의 독자적 자산이 아닌 미발행주식으로 보고, 자기주식 취득 및 처분 관련 거래도 회사의 자산에 관한 경상거래가 아닌 회사의 자본 환급에 준하는 자본거래로 해석하는 것이 합리적이라고 생각한다. 다만 그러한 본질론의 일률적 적용만으로는 자기주식 취득, 처분 거래 및 합병, 분할, 분할합병 등 구조개편 거래에 있어서 자기주식의 처리와 관련하여 실무상 제기되는 복잡다단한 문제들을 합리적으로 이해조정하여 해결하기는 부족하다. 주식회사 재무구조의 기본적 법리에 기초한 자기주식의 본질에 관한 거시적인 고려 외에, 특정 이론의 일률적 적용에서 오는 구체적 타당성의 결여 문제를 해결하기 위한 미시적인 분석도 중요하다. 특히 자기주식 취득 및 처분 거래에 있어서 이사의 의무 및 책임에 대한 판단 기준 문제, 세법 상 자기주식의 취급 및 관련 거래에 대한 과세 문제 등 유관 문제에 대한 법 해석 및 실무도 고려할 필요가 있다.
본 논문에서는 이러한 종합적 문제의식을 바탕으로 실제로 주식회사 자기주식과 관련하여 발생하는 여러 실무적인 문제점을 분석하고 그 효과적 해결을 위한 합리적인 해석론 및 입법론을 검토하였다.

영어초록

Treasury shares of the corporation are recognized as an exception to the principle of capital soundness and the prohibition of refund of paid-in capital under the conditions where the acquisition and disposal of such shares are restricted. In this regard, there is a fundamental controversy over whether treasury shares should be deemed equivalent to unissued shares or substantive assets of the company. In addition, there are various complicated issues regarding the acquisition and disposal of treasury shares.
In addition to the direct acquisition and disposal of treasury shares, there is also a lot of controversy over the treatment of treasury shares in transactions such as mergers, divisions, and mergers.
From the perspective of corporate law, it is reasonable to deem treasury share as unissued share, not as an independent asset of the company, and to interpret transactions related to the acquisition and disposal of treasury share as a capital transaction equivalent to the refund of the company's capital, not an ordinary transaction of the company's assets. However, the uniform application of such an fundamental perspective alone is insufficient to reasonably understand, interpret, and resolve complex problems in practice that arise in relation to the handling of treasury share in acquisition and disposal of treasury share and restructuring transactions such as merger, spin-off, and spin-off merger.
In addition to the macro-consideration of the fundamentals of treasury share based on the basic legal principle of a corporation's financial structure, micro-analysis based on the view point of specific appropriateness is also important in order to solve the practical problem arising from the uniform application of a theoretical perspective.
In particular, it is necessary to consider the legal interpretation and implication on the relevant issues, such as the issue of the criteria for determining the fiduciary duties and responsibilities of directors in a transaction to acquire and dispose treasury shares, and the issue of treating treasury shares under tax law and taxation on related restructuring transactions and so on.
Based on such comprehensive considerations of the issues, this paper analyzed various practical problems that actually arise in relation to treasury share of a corporation, and reviewed reasonable interpretation and legislation approach to effectively resolve them.
