비법인 사단으로서의 어촌계에 대한 소고 (Study on the Fishing Village Fraternity as an Unincorporated Association)

초록

어촌계는 법률적, 형식적으로는 수산업협동조합법에 의거하여 탄생된 조직이며 지역별 수산업협동조합의 조합원에 의하여 구성되는 경제체이자 어촌공동체이다. 현재 우리 어촌계의 경우 비법인 사단이다. 우리의 판례의 경우 비법인 사단의 재산귀속형태에 관하여 총유설에 따르고 있으며, 비법인사단인 어촌계의 재산귀속형태 역시 총유설에 따르고 있다. 비법인 사단인 어촌계에 있어서 몇 가지 문제가 발생한다. 어촌계의 각각의 구성원이 정관의 규정에 의해 지분권을 가지지 못해서 분할청구권과 어촌계의 해산으로 인한 잔여재산분배청구권도 행사하지 못하게 된다는 점이다. 또한 탈퇴 시 출자분 등의 환불을 받는 것도 원래는 안되는 것으로 여겨져 왔다. 그 동안 수산업 정책적으로 어촌계의 법인화를 유도하여 왔지만 법인과 비법인의 차이로 인한 재산적 손실이 없었으며 법인화 과정에서 지선 어촌계간의 첨예한 이해관계의 대립으로 인해 정책의 후퇴가 이루어졌다. 그리고 비법인 사단의 구별기준으로 보는 이익분배설에 의한 경우에 있어서도 어촌계의 경우 사실관계에 있어 이익분배를 하지 않으면 영리활동을 주목적으로 하지 아니한다고 볼 수 없다. 어촌계에 대한 새로운 개선방안으로 중간법인을 검토해보아야 한다. 어촌계가 가지는 구성원의 지분권 분할청구권과 잔여재산분배청구권 등의 불합리한 점을 해소하기 위해서는 비법인 어촌계의 중간법인화의 도입을 검토하여야 한다. 어촌계의 경우 구성원들의 영리를 목적으로 작용하고 있으므로 법인화를 위한 기반이 조성되어 있다. 법인화를 통해 영세한 자본을 가진 어촌계에 자본과 전문적 기술을 가진 전문어업인들간의 교류를 통해 소득증대에 더욱 일조할 수 있게 되는 장점이 생긴다. 물론 이러한 경우에 역시 어촌계가 가지는 지선어장에 대한 어업권은 현재와 같이 인정하고 어촌계원과 준계원에게만 인정되던 행사계약과 입어계약의 확대가 요청된다. 따라서 비법인 사단인 어촌계에 대한 중간법인 등으로 법인화의 도입에 대한 입법적, 수산정책적 유도가 필요하다고 생각된다.

영어초록

Fishing village fraternity are organizations legally and formally established pursuant to the Fisheries Cooperatives Act and are economic structures and fishing village communities established by the members of the fisheries cooperatives in their respective regions. In the case of Korean fishing village fraternity, they are deemed to be an association without the capacity of enjoyment of rights. According to Korean case law, the joint ownership theory is followed with respect to the proprietorship of unincorporated association, and the same applies for fishing village fraternity that are unincorporated associations. However, a few issues arise with respect to fishing village fraternity in this respect. As each individual member of a fishing village fraternity cannot own a right of share pursuant to the articles of association, they cannot exercise a right to claim for division of equity interest or a claim for distribution of residual property upon the dissolution of the cooperative. Furthermore, initially, it had been long considered that a member may not be reimbursed any of its investment in the cooperative upon withdrawal. In the past, as a fishery industry policy, the government had urged the incorporation of fishing village fraternity; however, such policy soon fell back as there were no instances of property loss due to the difference between corporations and unincorporations and acute conflict of interests between related fishing village fraternity arose during the process of incorporation. Also, in terms of Profit-sharing which is a differentiating factor among unincorporated associations, if fishing village fraternity do not distribute profits to its members on a factual basis, it may not be viewed as an organization not having a non-profit business purpose. We must further consider changing fishery village fraternity to intermediate corporations as an alternative. In order to resolve unreasonable downfalls of the cooperative system such as the absence of the right to claim for division of equity interest and the claim for distribution of residual property of the members of a non-corporation association, we must consider and review the possible implementation of the intermediate corporation form for fishery village fraternity. As fishery village fraternity are operated for the purpose of generating profits for its members, a basis for its incorporation is already in place. Therefore, a fishery industry policy and legislative push for the implementation of the incorporation of unincorporated association, such as fishery village fraternity, as interim corporation is deemed necessary.
