비상장회사의 지배구조와 감사제도 (Corporate Governance and Audit System of Non-listed Companies)

초록

중소기업은 국민경제의 중추로서 경제성장과 고용창출에 중요한 역할을 하고 있다. 그러나 빈약한 경영기술과 금융에 대한 낮은 접근성 등으로 인한 문제들이 중소기업의 발전을 저해하고 있다. 또한 대부분의 중소기업이 유한책임제도 등의 혜택을 누리기 위해서 상법상 지배구조에 관하여 주식회사의 형식을 취하고 있다. 따라서 대규모 공개회사를 염두에 둔 상법규제와의 괴리가 크다. 그로 인하여 상법의 규제사각지대에서 지배구조에 대한 여러 가지 문제점이 드러나고 있고, 특히 감사기능의 형해화는 심각한 수준에 이르고 있다.
이러한 문제를 해결하기 위해서 중소기업 중에서 소규모 폐쇄회사의 지배구조에 관하여는 정관자치에 의하여 자유롭게 설계하는 것이 필요하다. 다만 지배구조의 유연화로 인하여 발생할 수 있는 도덕적 해이나 위법행위를 막고 내부통제를 통하여 원활한 기업운영을 도모하기 해서는 소규모 폐쇄회사를 위한 기업지배구조 코드와 가족헌장(Family Constitution)을 도입할 필요가 있다. 또한 지금까지의 기업지배구조가 법령준수를 중심으로 하였다면, 장래에는 기업지배구조가 기업가치 및 생산성의 향상을 지향하는 방향으로 인식의 전환도 필요할 것이다.
한편 감사기능을 정상화하기 위해서는 적어도 회계의 투명성을 담보하는 제도로서 적정한 공시제도의 강화, 감사규정의 정비 등가 필요하다. 또한 자신이 자신을 감사하는 자기감사가 되지 않도록 외부감사를 적극적으로 도입할 필요가 있는데, 이는 지배구조의 실효성을 확보하기 위한 요청이기도 하다. 이를 위한 유인책으로 중소기업 발전의 저해요인이 되고 있는 경영기술에 대한 적극적 지원과 금융에 대한 접근성을 획기적으로 높일 필요가 있다.
중소기업에 맞는 지배구조를 설계함으로써 지속적으로 성장할 수 있는 발판과 기초를 마련하여 고용창출과 경제성장, 국가경쟁력의 강화를 도모할 필요가 있다. 이를 위해서는 지속적인 관심과 논의가 필요하다.

영어초록

As the backbone of the national economy, Small and Medium-sized Enterprises(SMEs) play an important role in economic growth and job creation. But problems caused by poor management skills and low access to finance due to information asymmetry are hampering the development of SMEs. In addition, almost all SMEs take the form of a corporation with respect to corporate governance in order to enjoy the benefits of social credit and limited liability system. Therefore, there is a large gap between the regulations of the commercial law with large public companies in mind. This reveals a number of problems with governance in regulatory dead zones of commercial law. In particular, the emasculation of audit functions is reaching a serious level.
In order to solve this problem, it is necessary to freely design the governance structure of a small - scale closed company among SMEs by the autonomy of the constitution. However, even if we try to soften our governance structure, we need to induce the company to have a governance structure with accountability, transparency and efficiency in order to achieve sustainable growth of the company. In other words, it is necessary to introduce the corporate governance code and Family Constitution for a small-scale shutdown company to prevent moral harm or illegal act that may occur due to the flexibility of the governance structure and to facilitate smooth operation of the enterprise through internal control. If corporate governance so far is centered on compliance with laws and regulations, it will be necessary to shift the recognition of corporate governance toward corporate value and productivity in the future.
In order to normalize the auditing function, it is necessary to strengthen the proper disclosure system and to improve the audit regulations as a system guaranteeing transparency of accounting. It is also necessary to actively introduce external audits to prevent self- auditing, which is a request to secure the effectiveness of governance.
As an incentive for this, it is necessary to dramatically increase access to finance and active support for management technology, which has been an obstacle to the development of SMEs. In addition, accounting and reporting will play an important role in supporting the development of SMEs, allowing lenders to objectively assess the level of risk for SMEs if they have transparent information by reducing information asymmetry.
By designing the corporate governance for SMEs, it is necessary to establish employment base and basis for continuous growth, and to enhance employment creation, economic growth and national competitiveness. This requires continued attention and discussion.
