프로축구 선수계약의 약관규제법상 불공정약관조항에 관한 연구 (A Study on Clauses of Unfair Terms and Conditions of Professional Football Player Contracts under the Act on the Regulation of Terms and Conditions)

초록

현재 국내 프로축구 선수계약은 한국프로축구연맹이 자체적으로 마련한 ‘표준계약서’를 통해체결되며 해당 계약서에는 양 당사자가 한국프로축구연맹의 ‘선수규정’을 준수해야 한다는 내용이 있어 선수규정도 계약의 내용으로 편입되게 된다. 그런데 이러한 표준계약서와 선수규정의제ㆍ개정에 대하여 구단은 한국프로축구연맹의 구성원으로서 이에 관여할 수 있는 권리를 갖는반면 선수는 어떠한 관여도 할 수 없는 지위를 갖게 되고, 이는 결국 선수계약을 체결함에 있어계약의 일방 당사자인 선수가 계약내용의 형성과정에 일체 관여할 수 없는 극단적인 구조적 불균형 속에 계약의 내용이 구단에게만 유리하게 정해지는 결과로 이어지게 되는 것이다.
그러던 2019년 12월, 한국프로축구선수협회는 공정거래위원회에 프로축구 선수계약상의 내용 중 ‘보상금제도’, ‘퍼블리시티권’, ‘일방적 연봉 감액’, ‘선수의 동의 없는 이적’에 대한 불공정약관심사를 청구하였다. 그러나 1년 6개월이 지난 현재까지도 이에 대한 공정거래위원회의 입장은 확인되지 않고 있으며 이에 본 논문에서는 한국프로축구선수협회가 불공정약관심사를 청구한 내용들을 대상으로 약관규제법상 불공정약관조항의 측면에서 다음의 순서와 같이 검토하였다.
먼저 한국프로축구연맹이 마련한 프로축구선수 표준계약서와 선수규정이 약관규제법상 약관에 해당하는지를 요건별로 검토하고, 프로스포츠 선수계약의 법적 성질에 대한 논의와 판례의입장을 정리하여 프로축구 선수계약이 약관규제법의 적용대상이 됨을 확인하였다. 그 후 현재사용되어지고 있는 프로축구선수 표준계약서와 선수규정의 내용 중 구단의 ‘일방적 연봉 감액’ 을 정한 조항은 불공정약관조항에 해당하기 어려울 수 있으나 ‘보상금제도’와 ‘선수의 동의 없는 이적’을 정한 조항은 불공정약관조항에 해당할 수 있음을 도출하였다. 이는 계약체결 과정에서 구조적으로 약자인 선수의 법적 지위를 제고하여 계약내용의 공정성을 도모하면서도, 불공정할 수 있는 계약조항에 대한 최소한의 법적 기준을 확인함으로써 장래에 계약 당사자 간의 사적자치를 위한 기반으로서의 적절한 교섭기준선을 마련해줄 수 있을 것이다.

영어초록

Currently, domestic professional football player contracts are concluded through the ‘standard contract’ prepared by the Korea Professional Football Federation and the player rules are incorporated into the contract as the contract states that both parties must abide by the ‘player rules’ of the Korea Professional Football Federation. However, with respect to the establishment and revision of these standard contracts and player rules, the club has the right to participate as a member of the Korea Professional Football Federation, while the players have a position in which they cannot participate in any way, which ultimately leads to the conclusion of the player contract. Therefore, in the extreme structural imbalance in which the player, who is one party to the contract, cannot participate in the formation of the contract, it leads to the result that the contents of the contract is decided in favor of the club only.
In December 2019, the Korea Professional football Players Association request for examination to the Fair Trade Commission about the unfair terms and conditions clauses such as ‘compensation system’, ‘publicity right’, ‘unilateral salary reduction’, and ‘transfer without player’s consent’ among the contents of the professional football player contract. However, even after 1 year and 6 months have passed, the Fair Trade Commission’s position on this has not been confirmed. Therefore, in this paper, the contents requested for examination by the Korean Professional football Players Association for deliberation from the point of view of the unfair terms and conditions provisions according to Act On The Regulation Of Terms And Conditionswere considered in the following order.
First, it reviews whether the standard contract and player rules for professional football players prepared by the Korea Professional Football Federation fall under the terms and conditions under Act On The Regulation Of Terms And Conditions, and I confirmed that the professional football player contract is subject to the Act On The Regulation Of Terms And Conditionsby arranging the discussion and precedents about the legal nature of professional sports player contracts.
After, I drew conclusion that the clause of ‘unilateral salary reduction’ of the club among the contents of the standard contract and player rules for professional football players currently in use may be difficult to fall under the unfair terms and conditions clause, but clauses stipulating ‘reward system’ and ‘transfer without consent of players’ could fall under the unfair terms and conditions clause. It will promote the fairness of the contract by enhancing the legal status of players who are structurally weak in the contract signing process, while it may be possible to establish an appropriate bargaining standard as a basis for private autonomy between the contracting parties in the future by confirming the minimum legal standards for contract clauses that may be unfair.
