주가연계증권(ELS)의 불완전판매 방지를 위한 금융소비자보호법 검토 (The Legal Review of the Financial Consumer Protection Act to Prevent Incomplete Sales of Equity Linked Securities)

초록

최근 홍콩H지수(Hang Seng China Enterprises Index) 기초 주가연계증권 상품이 홍콩증시 위기상황으로 국내 금융소비자들에게 대규모 투자 손실을 발생시킴에 따라 금융감독원이 2024년 1월현장검사를 진행하였고, 3월 검사결과 및 분쟁조정기준안을 발표하였다. 검사 결과 판매과정에서과도한 영업목표 설정, 고객보호 관리체계 미흡, 판매시스템 부실, 개별 판매과정에서의 불완전판매가확인되었는데, 「금융소비자 보호에 관한 법률」이 2021년 제정된 이후로 공모 판매로 인한 제재사례가없었기 때문에 관련 사건을 살펴보고 향후 금융소비자 보호를 위한 법제도 개선방향에 대해 제안하였다.
특히 ELS 상품에서 나타나는 금융소비자의 행동편향을 살펴보고 금융소비자의 행태를 고려한설명의무 강화, 금융소비자의 권리에 대한 설명을 법에 포함시키도록 하였다. 또한 투자자의 면밀한성향 분석을 위해 적합성 원칙을 세분화할 필요가 있으며, 고위험 투자상품의 경우 고령투자자에대해 지정인 알림 서비스 제공과 관리직 직원의 상품 가입 확인절차를 강화시킬 것을 제안하였다.
마지막으로 금융회사가 자체적으로 금융사고 방지체계를 마련할 수 있도록 성과평가지표의 개선, 판매창구 분리, 내부 자진신고 활성화 등이 필요하다. 향후 같은 사건이 재발되지 않기 위해서는금융소비자의 행동편향을 분석하여 설명서 및 판매직원의 설명 방식 체계를 바꾸고 전통적인 금융규제방식이 아닌 금융소비자의 행태를 고려한 규제체계 마련이 필요할 것이다.

영어초록

The Financial Supervisory Service conducted an on-site inspection in January 2024 and announced the inspection results and dispute settlement standards in March as Equity Linked Securities products based on the Hang Seng China Enterprises Index caused massive investment losses to domestic financial consumers due to the Hong Kong stock market crisis.
As a result of the inspection, it was confirmed that excessive sales goals were set in the sales process, insufficient customer protection management system, poor sales system, and incomplete sales in the individual sales process.
Since there have been no cases of sanctions due to public offering sales since the enactment of Act on the Protection of Financial Consumers, so I would like to look at this case and suggested directions for improving the legal system to protect financial consumers in the future.
In particular, it was required to examine the behavioral bias of financial consumers in ELS products, strengthen the duty to explain in consideration of the behavior of financial consumers, and include explanations on the rights of financial consumers in the law.
In addition, it is necessary to subdivide the principle of suitability for a close analysis of investors' propensity, and in the case of high-risk investment products, it was proposed to provide designated notification services to elderly investors and strengthen the process of confirming product subscription for management employees. Finally, it is necessary to improve Key Performance Indicator, separate sales channels, and activate internal voluntary reporting so that financial companies can prepare their own financial accident prevention system.
In order for the same incident not to recur in the future, it will be necessary to analyze the behavioral bias of financial consumers, change the explanatory system of sales staff and explanations and prepare a regulatory system that considers the behavior of financial consumers rather than traditional financial regulatory methods.
