초록

2013년 법무부는 기업지배구조와 관련된 상법개정을 추진한 바 있다. 당시 법무부는 이사회의 감독업무를 강화하고자 다중대표소송과 집행임원제도의 도입을 추진하고자 하였고, 감사위원회 위원의 분리선임, 전자투표제의 단계적 의무화와 집중투표의 의무화를 도입하고자 하였다. 2016년 7월 4일 상법 일부 개정안이 다시 제시되었다. 이 내용은 2013년의 내용과 별반 차이가 없다. 주식회사 주주총회를 활성화하기 위하여 “전자투표제의 의무적 도입”, 소수주주의 의결권을 강화하여 상대적으로 대주주의 의결권을 간접적으로 제한한 상태에서 이사를 선출하는 “집중투표제의 도입” 및 “감사위원 분리선임제도”는 회사의 사정이나 의사를 무시하는 태도에 해당한다. 회사의 사정을 고려하지 않고 일방적이면서 획일적인 규제방식은 타당한 것이라 생각되지 않는다. 대주주의 의결권을 3%로 제한한 상태에서 감사위원을 분리하여 선출하고자 하는 감사위원 분리선출방안과 소수주주의 의결권을 강화하여 상대적으로 대주주의 의결권을 제한한 상태에서 이사를 선임하고자 하는 집중투표제도는 소수주주의 권한을 확대하고자 하는 목적의 타당성은 인정받을 수 있겠지만, 동 제도의 도입으로 인하여 기업경영의 효율성이나 위기 시 기동력 있는 의사결정 등에 있어서는 문제점으로 지적될 수 있다. 금번 상법 개정(안)은 명분에서는 우위를 점할 수 있을지 몰라도 실리적인 측면에서 본다면 기업 손실의 발생이 예상될 수 있다. 이 점에서 입법(안)은 철회되어야 한다.

영어초록

This paper analyzes the critical review on acceptance of electronic voting, cumulative voting system and separate election of member of audit committee in Korea. In Relation with a compulsory electronic voting system, it seems that reasonable separate measures by causes of low frequency of electronic voting should be required to make the best use of a shareholder's meeting for minor shareholders. Cumulative voting was introduced in the Commercial Code in 1998. At the time of the introduction of cumulative voting this topic was discussed among many scholars. Some scholars argued to accept cumulative voting mandatorily, and another scholar argued to accept it arbitrarily. After 15 years the mandatory enforcement of cumulative voting are discussed these days. But most of all, the introduction of cumulative voting is limited to 20 countries, including Korea, the United States, Japan, Russia, Taiwan and other countries. Russia, Mexico and Chile have adopted mandatory provisions only. We can not recognize as exemplary countries of cumulative voting system for Russia, Mexico and Chile. But cumulative voting will degrade the effectiveness of the management seriously. Therefore, it is the best way that the management decides if a company accepts the cumulative voting or not. The separate election of members of the Audit Committee is contained in the amendment of the Korean Commercial Code 2016. The amendment stipulates that when electing the members of the Audit committee, each major shareholders to elect a certain candidate they support as a director of the Audit Committee with ease, by proposing this candidate as the director who will become a member of the Audit Committee via shareholders' proposal. If you consider the fact which occurs inefficiency in the companies, the opinion of commercial revision committee should be withdrawn.
