국적취득조건부 선체용선 선박의 회생법하에서의 처리방안 (How to improve BBCHP under the rehabilitation proceeding)

초록

국적취득조건부 선체용선은 중요하다. 그런데, 도산법상 그 법적 성질이 무엇인지에 따라 법률효과가 달라진다. 종래 회생담보권설과 미이행쌍무계약설이 대립해왔다. 우리나라 법원은 미이행쌍무계약설을 취한다. 여기에 따르면 선박의 소유권은 해외의 SPC가 가지는 것으로 채무자인 용선자는 그 선박을 자신의 회생 목적에 사용하지 못하므로 불리하다. 단순 선체용선과 달리 동 선박은 용선기간이 종료되면서 자신의 소유가 됨에도 불구하고 자신이 선가로 지급한 몫만큼 회생절차에 활용할 수 없다. 이에 필자는 다양한 제안을 하게 이른다.
채무자인 용선자의 채권자에 대하여, 해운회사의 회생에 긴요한 BBCHP 선박은 회생절차개시 후 법률이 정한 일정한 기간(예컨대, 15일 혹은 30일)동안 채무자회생법 제58조에서 말하는 “채무자의 재산”에 준하여 채권자 등(선박우선특권자, SPC에 대한 선박금융 채권자를 포함함)의 강제집행 등을 금지한다.
채무자와 선박소유자(그로부터 BBCHP채권을 담보로 양도받은 선박금융 채권자 포함)와의 관계에서는 회생절차개시 후에는 법률이 정한 일정 기간(예컨대 15일 혹은 30일) 내에 선박의 회수나 강제집행이 허용되지 하도록 하고, 회생절차개시 전 변제금지 보전 처분기간 중 채무자가 채무불이행을 하는 경우에도 SPC(그로부터 BBCHP채권을 담보로 양도받은 선박금융 채권자 포함)는 계약의 해제·해지를 하지 못하도록 한다.
회생절차 개시신청에서 개시결정까지에는 아직 회생절차가 시작된 것이 아니기 때문에 채무자를 보호할 마땅한 이론적인 근거는 없다. 그러나, 포괄적 금지명령이 내려진 기간부터는 채무자회생법에서도 채무자를 보호하려는 입장이기 때문에 보호조치를 취할 수 있을 것이다. 개시신청과 개시결정에 이르는 기간 동안에는 채무자가 채무변제가 가능하도록 하는 기금제도를 선주협회와 선박금융협회가 운영하는 것이 좋다. 아니면 보험제도의 운용도 고려할 필요가 있다.

영어초록

The BBCHP vessels comprise of about 70% of all Korean vessels engaged in trade by Korean operating company. However, the Korean owners do not make use of the vessels for the benefit of their business. In particular, we experienced bad situation of Korean owners in case of Hanjin Shipping's rehabilitation and Donga Tanker's rehabilitation.




The BBCHP charterer put in very bad situation when it applied commencement of rehabilitation proceeding. Under the BBCHP scheme, the charterer is destined to become the owner of the vessel when it pay the full amount of the vessels price. There are two theories on the legal nature of the BBCHP contract such as a kind of the rehabilitation claim supported by security and executory claims. Under the former, the ownership of the vessel is regarded as in the hand of the charterer. But, under the latter, the owner ship of the vessel is the SPC and the charterer is simply the borrower of the vessel. In the former case, the creditors are not allowed to invoke the auction sale or prejudgment of attachment according to Article 58 of the Debtor's Rehabilitation and Insolvency Act. The Korean court supports the latter position. Therefore, the vessel is totally outside of the rehabilitation proceeding. As a result, the vessel is subject to the auction sale and thus the charterers are not allowed to make use of his vessel, which is detrimental to the charterer as the debtor.
The author suggests that the legal right of the ship owners(SPC), finance suppliers and general creditors should be halted for a while and thus their right to cancel the contract is not allowed after rehabilitation proceeding commenced. By doing this, the debtors are have enough time for it to protect itself. They may gathers money and pay the remainder of installment. Otherwise, the creditors and SPC may be allowed to cancel the contract and take back the BBCHP vessels. The revision can be made under the Debtor's Rehabilitation Act.
The author also suggests of establishing Financial Fund for BBCHP vessel in which the shipowners, ship financing supplier becomes party of the Fund. The Fund may paid the installment in over due until the commencement of the rehabilitation proceeding, as a result, the debtor as the charterer may have opportunity to make use of his vessel.
