초록

디지털 증권은 생각보다 이해하기 쉬울 수 있다. 토큰증권을 사용하는 자금조달 방법을 토큰증권 제공이라고 하며 STO라고 한다. 여기서 ‘토큰’이라는 용어의 의미는 모호하지만 다른 가치를 대체하는 의미를 가지고 있다. 즉, 여기서 ‘증권(Security)’이라는 용어는 정보 보안이라는 의미의 보안과 다르며 주식과 같은 ‘증권’을 의미한다.
증권형 토큰은 유가증권이기 때문에 자산으로서의 가치가 있어야 한다. 유틸리티 토큰의 경우 유통의 전제는 다양한 용도로 사용된다는 것이지만 토큰증권은 디지털 자산 성격을 가진 서비스에 투자할 수 있다. 이러한 이유로 ICO는 프로젝트 파이낸스로, STO는 기업 파이낸스로 분류할 수 있다. 토큰증권과 주식의 차이점은 전자는 전 세계의 투자자를 유치할 수 있고 절차가 더 간단하다는 것이다. 스마트 계약을 사용하면 자금조달을 신속하게 수행할 수 있다. 또한 ICO와 STO 사이에는 두 가지 주요 차이점이 있다. ‘증권인지 여부’와 ‘서비스에서 사용할 필요가 있는지 여부’라고 한다. 유가증권으로 인정되기 위해서는 Howie 테스트라는 법적 심사를 통과해야 한다. STO는 기존 증권과 유사하기 때문에 ICO만큼 쉽지 않다.
STO를 위해 발행하는 토큰증권은 유가증권이기 때문에 토큰 이코노미의 존재에 대한 걱정 없이 자체 금융으로 조달할 수 있다. ICO에서는 토큰 이코노미를 강제적으로 포함시켜 서비스 모델에 많은 왜곡이 있었다. 반면 STO는 토큰 이코노미의 존재에 대해 걱정할 필요가 없으므로 이것이 큰 장점이다. STO의 현황은 현재 참고용으로 사용할 수 있는 데이터가 없다. 확정된 거래자 수는 꾸준히 늘고 있지만 절대적인 거래참가자 수는 적기 때문이다. 현재 STO 플랫폼을 만드는 많은 프로젝트들이 STO를 진행하고 있다. 특히 ‘투자 및 거래’의 분야가 많으며 STO 플랫폼을 만드는 측이 이 범주에 속한다.
필자는 스마트 계약을 통해 주식 및 부채 자금조달 흐름을 더 스마트하게 만들 수 있을 것으로 기대한다. 최근 블록체인 기술을 기반으로 ‘토큰증권’을 이용한 자금조달 사례가 늘고 있다. 특히 부동산 유동화 분야에서는 단위당 투자금액이 높았던 부동산 투자에 대한 소액투자가 유동화와 관련된 종래의 법제도를 기반으로 유동화제도에 따른 권리를 토큰화하는 토큰증권을 발행함으로써 실현할 수 있게 되었다.
이 논문에서는 증권형 토큰으로 새로운 금융시대의 개막을 맞이하면서 토큰증권의 개념과 작동원리의 특징을 정확하게 이해해야 한다는 뜻에서 토큰증권의 개념, 토큰증권 제공의 확산배경, 토큰증권 제공의 작동원리와 블록체인에 대해 검토한다. 또한, 토큰증권의 장단점과 거래확산의 유인, 토큰증권의 유형과 토큰증권 제공, 토큰증권 제공에 대한 법적 취급, 토큰증권 제공의 작동과정과 그 규제 등을 순서대로 검토하고 시사점을 제시한다.

영어초록

A digital securities may be easier to understand than you think. STO is an abbreviation for Security Token Offering. The method of raising funds using securities token is called securities token offering and is called STO. The meaning of the term ‘token’ here is ambiguous, but has the meaning of replacing other values. In other words, the term ‘Security’ here is different from security, which means information security, and means ‘securities’ such as stocks.
Since security tokens are securities, they must have value as an asset. In the case of utility tokens, the premise of distribution is that they are used for various purposes, but securities token can be invested in services with a digital asset nature. For this reason, ICO can be classified as project finance and STO as corporate finance. The difference between securities token and stocks is that the former can attract investors from all over the world and the process is simpler. Using smart contracts, financing can be carried out quickly. Additionally, there are two main differences between ICO and STO. These are ‘whether it is a security’ and ‘whether it needs to be used in a service.’ In order to be recognized as a securities, it must pass legal tests called Howie tests. STO is not as easy as ICO because it is similar to existing securities.
Since the securities token issued for STO are marketable securities, they can be financed through self-financing without worrying about the existence of a token economy. In ICO, there were many distortions in the service model due to the forced inclusion of token economy. On the other hand, STO does not have to worry about the existence of a token economy, which is a big advantage. As for the status of STO, there is currently no data available for reference. Although the number of confirmed traders is steadily increasing, the absolute number of transaction participants is small. Currently, many projects creating STO platforms are conducting STO. In particular, there are many fields of ‘investment and trading’, and those who create STO platforms fall into this category.
I expect that smart contracts will make equity and debt financing flows smarter. Recently, cases of financing using ‘securities token’ based on blockchain technology are increasing.. In particular, in the field of real estate securitization, small investments in real estate investments where the investment amount per unit was high can be realized by issuing securities token that tokenize rights according to the securitization system based on the existing legal system related to securitization.
In this paper, as we welcome the opening of a new financial era with security tokens, we need to accurately understand the characteristics of the concept and operating principles of token securities. Therefore I review the concept of securities token, the background to the spread of securities token offerings, the operating principles of securities token offerings and blockchain. In addition, the pros and cons of securities token, incentives for transaction expansion, types of securities token, legal treatment of provision of securities token, operation process of provision of STO and its regulations, etc. are reviewed in order and implications are presented.
