초록

거래에 전자통신기술이 활용될 경우 거래의 효력을 보장하기 위해 입법의 변화가 요구된다. 전자문서 에 문서와 통일한 효력을 부여하여 유효성의 문제가 해소되고‘ 공인전자서명에부인방지 등의 효력을 인정하여 등가성의 문제가 해결될 수 있다. 하지만 유가증권을 전자문서로 작성한 경우， 그 전자문서가 문서로서 효력을 가지고 전자문서에 부착된 전자서명으로전자문서가 발행얀에 의해 발행된 것이 증명된다고 하더라도 그것만으로 전자문서에 의한 유가증권의 유통은 보장되지 않는다. 왜냐하면 발행인 또는 배서얀이 전자문서를 송신에 의해수취인 또는 피배서얀에게 이전하더라도 동열한 전자문서가 발신인에게 그대로 남는 천자문서의 잔류성’으로 얀해 전자문서의 단얼성 (singularity) 이 보장되지 않아 유가증권이 교부된것과 통일한 효과가 나타나지 않기 때문이다. 전자문서의 잔류성은 취득자의 입장어써는 이중양도의 위험으로 나타나고 채무자의 입장에서는 통일한 채무에 대한 ‘이중지급의 위험’으로나타나 유통을 저해하게 된다 따라서 유가증권의 전자호}는 전자문서의 잔류성이라는 문제를극복하고 전자문서의 단일성이 확보되는 시스템이어야 가능하다고 볼 수 있다.
전자문서의 잔류성으로 인한 이중지급의 위험성을 극복하기 위한 논의가 이른바 전자유가증권의 문제이고， 그 논의를 국제화시킨 것이 유엔 국제상거래법위원회(UNCITRAL)의 전자양도성기록(Electronic Transferable Record: ETR) 에 관한 살무단 회의이다. 선하증권거래 등은 국제적 성질을 가지고 있고 증권의 선속한 이동과 결제를 위해 전자화될 필요성이강한데， 선허증권이 전자화될 경우 발생하는 이중지급의 위험을 해소하끄} UNCITRAL이국제적 규뱀의 논의를 주도했고 최근 전자양도성기록에 관한 모텔법을 완성하였다. 모델법이제정됨에 따라 우리 법상 이미 전자화가 실현되어 법제를 가지고 있는 전자어음법‘ 전자금융거래법‘ 전자전하증권에 관한 규정， 주식， 사채의 전자둥록제도 등은 전자양도성기록 모델법과의 모순 여부를 검토할 필요성이 있다. 전자어음법은 모델법의 매체의 변경에 관한 규정을 고민할 필요가 있으며， 특히 전째음의 분할배서제도와의 관계를 면밀히 검토할 필요가 있다.
그리고 전자전하증권에 관한 규정도 서면선하증권의 전자전하증권으로의 전환규정을 가지고있지 않아 모델법의 매체변경에 관한 규정의 도입을 검토할 필요가 있게 되었다. 전자금융거래법상 선불전자지급수단 등의 규정에서 개정의 필요성도 검토된다. 이 글은 UNCITRAL의전자양도성기록에 관한 모델법의 내용을 소개하고 그 중심된 논의를 검토하며 동 법이 우리법에 수용될 경우 어떠한 쟁점이 발생할 수 있는지를 분석한다.

영어초록

An Eledronic medium introduced into transadion has changed the private law and it touched the format of the transadion, which involved the problem of validity and equivalence of the eledronic format of transadion, For the validity of eledronic formated transadion, 'Eledronic Data Act' was amended to include a provision of validity of eledronic dats same as the paper document to solve the validity provblem, and ‘Eledronic Signature Act' was amended to encompass a provision of equivalence of eledronic signature instead of generic signature or seal on paper. With these changed rules on eledronic data, an eledronic transadion can be used substituting a paper transadion. But as for the negotiable instrument, an eledronic format of negotiable instrument could not work well due to the difficulty of maintaining the singularity of eledronic version of that instrument.
UNCITRAL has tackled this problem on the eledronic version of negotiable instruments and legislate a model ad on eledronic transferable records(ETR) to improve the usage of eledronic version and give transparent effed to the eledronic version of negotiable instrument. Eledronic transferable records, a main concept of the model ad is an eledronic record with all the information of transferable records and being identifiable of the ETR and having relevant reliance to maintain its integrity and could be the object of contro1. But the model ad did not influence the substantive law of a respective jurisprudence as it provided not any substantive rules under the principles of equivalence etc. UNCITRAL Model Ad will be influential on national ads on negotiable instruments and transferable documents and some eledronic transadions related ads.
The Eledronic Financia1 Transadion Act and the eledronic promissory act would be the most vulnerable act from the influence of the model act on ETR. As for the Eledronic Financial Transaction Act, that ad was legislated based on technology neutrality but it did not anticipated the blockchain technology, It is necessary to reshuffle the main strudure of relation between the electronic financial business and the user to introduce the blockchain related payment means into that act. And the electronic promissory note ad has been criticized for the incompleteness of that act as it was legislated based on the registry system but it has some provisions on the effect of transaction based on the transmission of eledronic data which can not solve the double payment problem. According to the Mαlel Ad on ETR. that act do not maintain the reliance on ETR and it can not secure the sin때arity of electronic promissory note and it is difficult to introduce the control based system, therefore that act need to be amended,
