2011년 10월 11일, 집행위원회(European Commission.
이하, 「위원회」라고 한다)는 유럽 공통의 매매법을 규범화하기 위해 유럽의회(European Parliament)에 입법제안을 하였다.1) 이는 특히 사업자와 소비자 사이의 국경을 넘는 거래관계2)에 적용 가능한 규범으로서 기존의 국내 매매법에 대한 대안으로, 임의적이고 병렬적인 국내 매매법 체제를구축하고자 하는 것이다. 위원회에 의하면, 공통매매법 규칙은 섭외 거래에 있어서 다양한 국내매매법의 존재로 인해 발생하게 되는 「장애를 제거함으로써」, 「사업자에 대해 시장을 개방하고,소비자에 대해 보다 많은 선택과 높은 수준의 보호를 제공하는」 것이라고 하고 있다. 위원회는 공통매매법 규칙이 수신인으로 하는 두 그룹, 즉섭외 거래를 원하는 사업자와 보다 많은 상품이보다 저렴하게 제공됨으로써 이익을 받게 될 소비자 양자에게 이익이 될 것으로 기대하고 있다.
집행위원회의 제안에 대해 보통입법절차(ordinary legislative procedure)3)에 따라 유럽의회에서 검토가 이루어졌다(제1독회(“first reading”). 본건은 유럽의회의 상임위원회인 법사위원회(Committee on Legal Affairs[JURI]에 배속되었고,동 위원회는 이를 연구 검토 후 2013년 2월 18일에 집행위원회의 제안에 대해 수정을 제안하는초안 보고서(draft report)를 작성, 발표하였다.4) 동위원회의 보고서를 바탕으로 유럽의회의 「역내시장 및 소비자 보호 위원회」(the Committee on theInternal Market and Consumer Protection[IMCO]) 「 와 경제 통화 위원회」(the Committee on Economicand Monetary Affairs[ECON.])는 이에 대한 의견을피력하였다.5) 이를 고려하여 법사위원회는 초안보고서에 대한 수정안을 제안하였고, 2014년 2월 26일 유럽의회는 본회의(the plenary session)에서표결에 의해 채택하였다. 이하, 「의회의 수정안」이라고 한다.

영어초록

The Commission’s proposal for a Regulation of the European Parliament and of the Council on a CommonEuropean Sales Law (COM(2011)0635) is to improve the establishment and the functioning of the internalmarket by facilitating the expansion of cross-border trade for businesses and cross-border purchases forconsumers. This objective can be achieved by making available a selfstanding uniform set of contract law rulesincluding provisions to protect consumers, the Common European Sales Law(CESL), which is to be consideredas a second contract law regime within the national law of each Member State.
CESL, if introduced, would be an optional framework that businesses and consumers could agree to abide byin contracts. Instead of relying on the law of the consumer’s country or that of the seller’s country, they couldchoose to use the CESL.
The European Parliament adopted in first reading following the ordinary legislative procedure amended theCommission proposal. Under the plans backed by European Parliament, the optional contract law would be ableto be used in distance selling contracts only, such as transactions made by consumers over the internet. Despitestrong backing from the European Parliament, proposals for a Common European Sales Law are likely to bebogged down in the European Council, due to opposition from a majority of member states, including the UK,France and Germany.
The division of the proposal into a “chapeau” regulation and an annex has caused much confusion. EuropeanParliament therefore propose to merge regulation and annex, so as to obtain one consolidated and integratedinstrument(part Ⅱ of the article).
Part Ⅲ analyzes the “chapeau” regulation, which is the legal instrument putting into effect the eventualCESL. The focus lies on the scope of application, Choice of CESL, structure, and the conflict of laws issue.
Part Ⅳ is concerned with the substantive sales law. The CESL is based on the pre-existing unification efforts,such as the Convention on Contracts for the International Sale of Goods[CISG], DCFR, Directives 1999/44/ECon certain aspects of the sale of consumer goods, the relevant instruments are compared in order to analyze theCommon European Sales Law (CESL). It concentrates on the rules of the Formation of Contact, Rights andobligations of the parties and the Restitution.
