미국 회사법상 집행임원제도 (Executive Officer System in American Business Corporation Statutes)

초록

미국의 회사 지배구조는 자율성을 보장하면서 견제와 균형의 정신을 철저히 반영하여 권한을 분산시키고 있다. 따라서 업무집행기관으로서 집행임원을 규정하면서 이의 감독기관으로 이사회를 규정하고 있다. 이러한 점을 집행임원을 행정부에 비유하고, 이사회를 국회에 비유하여 설명하는 견해도 있다. 이러한 점에서 볼 때 미국의 각 주의 회사법 중 집행임원에 대하여 규정하지 않은 주는 한 주도 없다. 미국의 50개 주는 모두 집행임원에 대하여 규정하고 있는데, 그 규정하는 형식과 내용은 각 주에 따라 다르다. 또한 미국 변호사회(ABA) 회사법위원회가 제정한 모범사업회사법(MBCA 2016년 개정)도 “회사는 부속정관에서 규정되거나 부속정관에 따라 이사회에 의하여 선임된 집행임원을 둔다”고 규정하고, 미국 법조협회(ALI)가 출간한(1994년) 회사지배구조의 원칙에 의하면 “공개회사의 업무집행은 이사회에 의하여 선임된 주요 상급집행임원에 의하여 또는 이들의 감독하에 수행되어야 하고, 또한 이사회나 주요 상급집행임원의 위임을 받은 기타 집행임원 및 피용자에 의하여 수행되어야 한다”고 규정하고 있다.
우리 상법은 제정시(1962. 1. 20.)부터 현재까지 주식회사의 지배구조에서 일본의 그것을 따라 시행하고 있다. 즉, 업무집행기관으로서 이사회( 및 대표이사)와 업무집행기관(이사)에 대한 감사기관으로 감사(監事)를 두고 있다. 그런데 업무집행기관으로서의 이사회는 사실상 대표이사에 종속되고 감사(監事)는 (대표)이사에 대한 실효성 있는 감사를 하지 못하여 대표이사는 회사의 업무집행권을 전횡하면서 실질적인 내부의 감독이나 감사를 받지 않음으로 인하여 황제경영을 하였다. 이러한 지배구조는 업무집행기관에 대한 실질적인 감독을 하면서 책임을 묻는 미국이나 독일 등의 지배구조와는 다른 일본만의 독특한 지배구조이다. 그런데 우리나라는 이러한 주식회사 지배구조의 문제점에 대하여 1997년 말부터 있었던 IMF 경제체제에서 외부기관인 IMF 등으로부터 지적을 받고 사외이사제도와 감사위원회제도를 (업무집행기관인 집행임원을 별도로 규정하고 이사회를 감독형 이사회로 개편하지 않은 채) 업무집행기관인 기존의 이사회(참여형 이사회)에 (사외이사는 모든 상장회사에, 감사위원회는 대규모 상장회사에) 의무적으로 두도록 함으로써, 업무집행기관에 대한 감독( 및 감사)의 실효성은 고사하고 많은 부작용만 초래하고 세계에서 유례가 없는 이상한 지배구조가 되었다. 따라서 조속히 이것을 정상화하고, 업무집행기관에 대한 실효성 있는 감독( 및 감사)이 가능하며, 글로벌 스탠더드에 맞는 지배구조를 만드는 것이 절대로 필요하다. 정부와 국회는 이러한 문제점을 깊이 인식하고, 향후 기업과 국가의 발전을 위하여 이러한 문제점을 바로잡는데에 적극 나서야 할 것으로 본다.

영어초록

1. Viewing the American political economy in broad perspective, the law of corporate governance is a part of United States constitutional law, that is, the legal structure of American basic social order. Particularly in the publicly- held corporation, the key legal relationships among the shareholders, directors, and management (executive officers) are fundamental to the American capitalist system(Geoffrey C. Hazard, Jr., Director of the American Law Institute, Director’s Foreword 1994 of Principles of Corporate Governance, July 9, 1993).
Under the basic model of corporate governance, the owners of the corporation(the shareholders) elect a body of individuals(the board of directors) to be in charge of the corporation. The board of directors makes decisions; it normally does not carry them out. In this sense, the board occupies a role analogous to the legislature. The corporation’s officers, such as the company’s president, perform the executive function of carrying out the board’s policies(Franklin A. Gevurtz, Corporation Law, 3rd ed., 2021, p. 181).
Under the above mentioned perspective of corporate governance, the business corporation statutes of all Amercan states(50 states) have provisions of (executive) officers. Most corporation statutes provide “a corporation has officers…” or “a corporation shall have officers…,” while two states’ corporation statutes provide “a corporation must have officers…. Traditionally, corporation statutues required that every corporation have three or four officers(a president, secretary, treasurer and in some states a vice president). The statutues have always permitted the corporation to name additional officers. But contemporary statutes tend not to require three or four officers. Section 8.40(a) of the MBCA basically leaves the matter up to the corporation, while section 8.40(c) requires the existence of only one officer(secretary).
2. Just after IMF economic crisis in Korea(1998-1999), Korea adopted the outside director system and the audit committee system by the demand of IMF. But at that time, there was no executive officer system separated from the board of directors. Therefore, the outside director system and the audit committee system were installed in existing executive board of directors. Originally the outside director system and the audit committee system should be installed in the supervisory board of directors on the premise that there is(are) executive officer(s) separated from the (supervisory) board of directors. As a result of the wrong installation of the outside director system and the audit committee system in the executive board of directors without executive officer, only many negative(side) effects have arisen instead of their positive effects. The Amendment of Korean Commercial Code in April, 2011 adopted an American-style executive officer system, but the Amendment offers the option to a corporation whether it adopts the executive officer system or not. Because of the option provision, corporations rarely adopt the executive officer system in Korea. This results in still staying of negative(side) effects of the outside director system and the audit committee system wrong adopted. In my opinion, the big public corporations should adopt the executive officer system in a balance that they should adopt the outside director system and audit committee system. For this, exeptional provision should be newly established in the option provision.
