중국 크라우드펀딩의 법적 규제 (A study on Draft Regulation of Based on Private Equity-focusing on Crowdfunding in China)

초록

핀테크는 금융과 기술의 합성어로서 IT기술에 기반한 새로운 형태의 금융서비스를 의미한다. 서비스 성격과 유형에 따라 전통적 핀테크와 신생 핀테크로 구분한다. 핀테크는 온라인을 통한 지급결제 그리고 대출서비스인 P2P금융과 크라우드펀딩 등 새로운 유형의 금융서비스이다.
크라우드펀딩은 대중과 자금조달의 합성어이다. 창의적 아이디어나 사업계획을가진 기업가 등이 온라인에서 ‘집단지성’을 활용하여 다수의 소액투자자로부터 자금을 조달하는 것이다. 크라우드펀딩의 종류는 매우 다양하다. 전형적인 것으로지분형이 있다. 투자자가 벤처회사 등의 지분양수 혹은 수익공유 계약체결을 통하여 이익을 회수하는 형태이다. 신생기업 및 소자본 창업자를 대상으로 투자금액에비례한 지분취득의 형태로 활용된다.
중국은 세계의 핀테크산업을 선도한다고 할 수 있다. 중국의 핀테크를 통한 금융혁신은 대부분 시장주도적이고 창의적이다. 중국의 핀테크산업에서 주목할 만것이 크라우드펀딩 분야이다. 중국정부는 최근 사모 지분형 크라우드펀딩 관리판법 을 발표하여 규제의 틀을 마련하였다. 시장에 맡겨두었던 자율적 규제에서 탈피하여 크라우드펀딩에 대한 국가규제의 시도이다.
관리판법(초안) 은 다음과 같은 특징이 있다. 첫째, 플랫폼에 자율성을 부여하고 있다. 플랫폼 설립과 운영에서 투자자 보호, 자금감독, 정보보호, 사기보호와 이익충돌 방지 그리고 위험관리 및 투자자와의 분쟁처리 방안 등 내부 통제제도 등의 내용을 플랫폼 자체적으로 해결하기를 요구한다. 둘째, 크라우드펀딩 제도가공모를 기반하는데 반하여 중국은 사모방식을 채택하고 있다. 플랫폼은 선전이나광고 그리고 투자권유를 하는 것을 철저히 금지하고 있다. 셋째, 관리판법(초안) 은 증권업협회에서 제정(초안)한 규정에 불과하다. 많은 조항이 법률인 증권법및회사법 과 충돌하고 있다. 향후 이 문제에 대하여 좀 더 보완하여 입법될 것으로 보인다. 넷째, 플랫폼은 발생주식의 양도서비스를 할 수 없다. 투자자의 발행증권 거래에 관한 금지조항은 없다. 자유로운 처분이 가능하다. 이 것은 기존의 다른나라의 관련 법규와 비교하여 특징이 있다. 또한 투자자의 자유로운 거래를 위하여 관련법규를 개정하였다.
우리나라도 크라우드펀딩 관련 제도를 공포하였다. 그리고 중국의 크라우드펀딩 제도도 곧 공포될 것이다. 양국의 스타트업 기업들이 자유롭고 안정적으로 플랫폼을 이용할 수 있을 것이다. 우리나라와 중국의 플랫폼은 외국기업에게 차별없이증권발행을 허용하고 있다. 양국의 투자유치가 어려운 스타트업 기업들의 투자유치선이 다변화가 되었다고 할 것이다. 중국의 크라우드펀딩 관련법이 완성되면 한국기업의 중국내 플랫폼 설치도 가능하다고 보인다. 중국 클라우드펀딩 제도의 시행은 우리에게 접근이 어려웠던 중국 금융산업 분야와의 새로운 투자와 협력의기회이다. 향후 중국의 관련 정책변화를 눈여겨 볼만하다.

영어초록

“Fintech” is recently coined terminology of “Finance” and “Technology” that denotes new forms of financial services based on IT technology. It can be categorized into traditional Fintech and Emergent Fintech according to the characteristics and types of services. Fintech is new type of financial service that encompasses e-payment system P2P services with withdrawal function and Crowdfunding service.
Crowdfunding is compound word of “crowd” and “funding.” This denotes that entrepreneur with creative ideas or business plan raising funds from many small investors online using ‘the wisdom of Crowds’. There are many kinds of crowdfunding. The most well-known type is equity-based one. This is the type that investor collects invested money back by making a contract of sharing revenue with startup company or small-capital companies. Specifically, the acquired shares from those emergent companies are actually proportional to the amount they have invested.
China is at its front line of Fintech industry. China’s finance innovation through fintech is mostly market-driven and creative. Among fintech industries, crowdfunding is most notable forms of industry in China. In return, Chinese government recently announced the regulation called “Draft Regulation of Based On Private Equity Crowdfunding” Chinese government stepped forward on this Crowdfunding regulation, which had been left to free market with voluntary control.
“Draft Regulation of Based On Private Equity Crowdfunding” is unique in many aspects. First, this draft allows more autonomy in Crowdfunding Platform. In founding or managing platform process, the many issues such as protecting investors, supervising funds, protecting private information, prevention of conflict, risk management, conflict management with investors are all required to settle down on their own within the company. Second, Chinese Crowdfunding mechanism adopted private loan, whereas most of other crowdfunding method is based on public loan. Platform is strictly prohibited from marketing, advertising or asking for investment. Third, the draft is mere a regulation submitted and enacted by The China Securities Dealers Association. Many parts of the clause are not in line with securities act and corporation act. This draft is expected to be amended and then be legislated. Fourth, this platform cannot provide transfer service of newly generated stocks. There is no clause related to forbidding trading securities of investors. Rather, free trading of investors-own securities is possible and encouraged, which differentiates itself to other countries’ corresponding law.
Recently, South Korea also has announced regulation related to Crowdfunding.
In the mean time, Chinese Crowdfunding regulation will be soon announced.
Startup companies in both countries will have platform with stable ground.
Korea and Chinese platforms allow free issuance of securities without discrimination. It can be interpreted that startup companies which have hard time raising financial resources now has been exposed to diversified funding mechanisms. It is possible that Korean companies can establish its own platform in China when Chinese Crowdfunding regulation is enacted.
Enforcement of Crowdfunding regulation in China is a new opportunity for investment and cooperation with Chinese finance industries, which has been prevented until now. It is important to see how this regulation develops afterward.
