자본시장법상 헤지펀드 규제에 관한 법적 고찰 (A Legal Investigation into the Regulation on the Hedge Fund under the Capital Market Act)

초록

우리나라는 자본시장법을 통해 전문사모집합투자기구에 대한 규정으로 헤지펀드제도를 운영하고 있다. 헤지펀드의 도입목적은 세계적인 투자은행 육성과 함께 해외투자자본을 적극적으로 유치하고 국내투자자본의 유출을 최소화하여 국내 금융시장의 자금 유동성과 효율성을 높이는데 있다. 일반적으로 헤지펀드는 뮤츄얼펀드(Mutual Fund), 사모투자펀드(Private Equity Fund), 벤처캐피탈(Venture Capital)등의 여타 투자기구에 비해 상대적 위험분산 기능을 가지고 있고, 절대수익률을 추구하며 시장수익률로부터 영향이 적다. 헤지펀드는 통상적인 투자시장의 영향에서 벗어나 분산투자와 다양한 투자전략으로 절대수익률과 안정적인 수익률을 추구함으로써 투자자의 욕구를 충족시켜 준다. 반면 헤지펀드의 특성상 정해진 기간 내에 다양한 투자대상을 통해 높은 수익을 추구하게 되고 한정된 시간 내에 최대한 수익을 얻기 위해 단기적인 기간 수익에 몰입할 가능성이 높아진다. 이 과정에서 펀드운용과 관련하여 내부자거래나 시세조종 등의 불공정거래행위가 발생하기도 하며, 차입규모가 큰 헤지펀드가 포지션을 일시에 청산할 경우 금융시장의 안정성이 위험에 노출될 가능성이 높아진다. 본 논문의 목적은 헤지펀드에 대한 이해와 함께 세계 각국의 관련 정책과 규제동향을 살펴보고 우리나라 자본시장법상 헤지펀드에 관한 규제에 대한 검토를 통해 헤지펀드의 안정적 성장을 통한 금융시장 활성화와 투자자 보호라는 큰 틀에서 부합하는 자본시장법상 헤지펀드 규제의 방향을 제시하고자 한다.

영어초록

Through the revision of the Capital Market Act in 2011, our country introduced and has regulated the hedge fund by the regulation on the speciality private equity collective investment scheme. The introduction of hedge fund aims at positively attracting the foreign investment capital together with cultivation of the global investment bank and at minimizing the outflow of the domestic investment capital, so that it can improve the fund liquidity and effectiveness of the domestic financial market. The hedge fund generally has a function of the diversification of risks relatively compared to the other investment mechanisms such as the mutual fund, private equity fund and venture capital; seeks the absolute rate of return; and is little affected by the market return. By pursuing the absolute and stable rate of return with diversified investment and various investment strategies getting out of the usual investment market, the hedge fund satisfies investors’ desire. On the other hand, from the nature of the hedge fund, it is more likely to seek the high profitability through various investment objects within a set period and to immerge itself in the short-term revenue to make maximum profits within a limited time. In these processes, there are sometimes the unfair transactions such as the insider transaction or price manipulation related to the operation of fund, and in the case that a hedge fund with a large scale of borrowing settles its position at once, financial market stability is more likely to be exposed in danger. This research aims at investigating the relevant policies and regulation trends of the other countries in world as well as the understanding of the hedge fund; and through the review of the regulation on the hedge fund under our Capital Market Act, it aims at suggesting a direction of regulation on the hedge fund under the Capital Market Act, in accordance with the large frameworks of the financial market activation and investor protection through the stable growth of hedge fund.
