직무대행자선임가처분의 법적 성격과 그에 따른 실무적 쟁점 (The Legal Nature of a Provisional Disposition Appointing Provisional Directors and Related Practical Issues)

초록

실무상 상법상 회사나 민법상 단체의 임원에 대한 직무집행정지가처분과 더불어 직무대행자선임가처분이 빈번하게 이루어지고 있으나, 직무대행자선임가처분의 법적 성격에 관한 연구는 거의 이루어지지 않았다. 이 글은 직무대행자선임가처분의 법적 성격에 관하여 고찰하고 직무대행자선임가처분의 성립 및 소멸 시의 쟁점에 관하여 검토해 보고자 한다.
이 글에서는 직무집행정지가처분의 종류, 법적 성격과 대세적 효력에 관하여 간단히 살펴본 후, 직무대행자선임가처분의 법적 성격에 관한 일본의 학설과 결정례, 우리의 학설 및 판례의 입장을 확인하고 이를 비판적으로 검토한다. 나아가 직무대행자선임가처분은 민사집행법 제300조 제2항의 임시의 지위를 정하기 위한 가처분에 해당하고, 그중 특정인을 직무대행자로 선임하는 부분은 민사집행법 제305조 제1항의 신청의 목적을 이루는 데 필요한 처분으로서 법원이 직권으로 명할 수 있다는 점을 논증한다. 또한 직무집행정지가처분에 대한 성립상·소멸상의 종속성이라는 개념을 도입하여 임시지위가처분으로서 직무대행자선임가처분의 특수성을 설명한다.
직무대행자선임가처분의 성립상의 종속성과 관련한 실무상 쟁점으로, 하나의 직무집행정지가처분에 대하여 여러 차례 직무대행자선임가처분을 신청할 수 있다는 점을 확인한다. 또한 직무집행정지가처분의 채권자가 아니더라도 직무대행자선임에 법률상·직접적인 이해관계가 있는 단체 구성원 및 단체에게 직무대행자선임가처분의 채권자적격을 인정할 수 있으나, 직무집행정지가처분으로 직무집행이 정지된 당해 임원에게는 채권자적격을 인정하기 어렵다는 점을 확인한다.
직무대행자선임가처분의 소멸상의 종속성과 관련한 실무상 쟁점으로, 직무대행자선임가처분의 일반적 효력 상실사유를 가처분 취소, 가처분결정에서 정한 종기의 도래, 본안판결의 확정, 직무대행자의 사망, 가처분신청의 취하로 나누어 살펴보고, 직무대행자선임가처분 부분에 대하여만 이의, 취소로 불복할 수 있음을 확인한다. 나아가 직무대행자 해임결정이 실질적으로 직무대행자선임가처분 사건을 종결하는 효력을 가진다는 점을 확인하고, 해임결정으로 직무대행자선임가처분 사건을 종결할 필요성이 있음을 논증하며, 예상되는 비판에 대하여 반론해 본다.

영어초록

The decisions of a provisional disposition appointing provisional directors along with a provisional disposition suspending the performance of duties against the directors of, the organizations under the Civil Act or, the companies under the Commercial Act are frequently made in practice, while academic researches on a provisional disposition appointing provisional directors are barely conducted. Therefore, this paper will analyze the legal nature of a provisional disposition appointing provisional directors and review its related issues in establishment and extinction.
This paper will take a brief look at the types, legal nature and erga omnes effect of a provisional disposition suspending the performance of directors’ duties, and inquire and critically appraise Japanese and Korean theories and judicial precedents on the legal nature of a provisional disposition appointing provisional directors. Furthermore, it will testify that a provisional disposition appointing provisional directors corresponds to ‘provisional dispositions fixing a temporary position against the disputed relation of right’ as prescribed in Article 300(2) of the Civil Execution Act, and the appointment of a specific person as a provisional director among the provisional disposition is ‘disposition required to accomplish the purpose of application’ in accordance with Article 305(1) of the Civil Execution Act and can be determined ex officio by the court. Moreover, it will explain the distinct characteristics of a provisional disposition appointing provisional directors by introducing the concept referred to as the subordinate nature in establishment and extinction of a provisional disposition suspending the performance of duties.
With regard to practical issues related to the subordinate nature in establishment of a provisional disposition appointing provisional directors, this paper will verify that ordering several provisional dispositions appointing provisional directors in relation to a single provisional disposition suspending the performance of duties is possible. In addition, it will prove that members of a civil or commercial organization and organization itself, which are not the Plaintiffs of a provisional disposition suspending the performance of duties, but have legal and direct interests with respect to the appointment of a provisional director, can have legal standing to file a provisional disposition appointing provisional directors, but the directors whose duties are suspended by a provisional disposition suspending the performance of duties has no legal standing of the provisional disposition.
In respect to practical issues related to the subordinate nature in extinction of a provisional disposition appointing provisional directors, this paper will examine general causes of invalidation of a provisional disposition appointing provisional directors, including objection or revocation of the provisional disposition, the advent of the expiration date of the provisional disposition, confirmation of the decision on the merit, death of a provisional director, and withdrawal of litigation, and it will demonstrate that the revocation can be made only to a provisional disposition appointing provisional directors even though both a provisional disposition suspending the performance of duties and a provisional disposition appointing provisional directors are made. Furthermore, it will point out that the decision dismissing a provisional director rendered by the court actually has an equal effect of terminating the case concerning the provisional disposition appointing provisional directors, prove the necessity for the termination of the case by the dismissal decision, and refute criticism predicted against this method.
