‘판매자’라는 개념 범위에 ‘중개인’ 포함에 관한 법적 고찰 - CJEU의 Wathelet C-145/15 판결을 중심으로 - (Legal consideration on the inclusion of ‘Intermediary’ in the scope of the concept of ‘Seller’ - CJEU’s decision on Wathelet C-145/15 -)

초록

2016년 EU의 소비재매매와 관련 보증에 관한 지침 1999/44/EC에서의 판매자 개념 해석과 관련한 Wathelet 사건에서 CJEU는 판매자의 개념에 중개인을 포함하는 것으로 확대해석함으로써 판매자 해석과 관련한 이정표를 세웠다.
본 사건은 위 지침상 판매자라는 개념에 중개인 정의가 부재하면서 불거진 문제이다. 현재 민법상 온라인 플랫폼상의 중개인에 대한 판매자 개념 확대해석과 관련한 논의가 계속 진행되고 있다는 점에서 본 논문은 온라인에 앞서 직접거래에서 먼저 그러한 해석논의가 있었다는 사실을 기반으로 해석방법론에 대해 대상판결 분석을 통해 논하고자 한다.
제조물책임법상 책임 주체를 확대해석할 필요성과 관련하여 본 논문은 기본적으로 판매자의 개념에 중개인도 포함하여 해석함으로써 중개인에게도 판매자와 같은 책임을 부여하자는 책임 주체 확대의 필요성을 주장하면서 앞서 확대의 필요성이 이미 EU에서 2014년 벨기에 법원을 통해 제기되었으며 이에 대한 CJEU의 판결로서 오프라인에서 판매자의 개념을 중개인을 포함하는 것으로 확대하여 해석한 바, 이를 통해 플랫폼 경제에서 지속적으로 문제시되고 있는 중개인과 판매자 해석의 문제에서 대상판결을 통해 책임주체 확대 필요성 주장에 대한 논리적 타당성을 뒷받침하고자 하는 것이 본 논문의 목적이다. 즉, 전통적인 소비자-판매자 간 계약에서 중개인이 있는 삼각구도로 이루어진 계약관계에서 판매자라는 개념에 대한 해석방법에 대해 온라인에 앞서 오프라인에서 이미 책임 주체 확대해석의 필요성이 대두되었고 그러한 해석의 필요성에 대해 CJEU의 대상판결을 통해 논하고자 하는 것이 본 논문이 진행하고자 하는 방향이다. 대상판결에서는 오프라인에서 존재하는 중개인의 존재를 소비자가 알지 못한 경우, 판매자와 소비자 간의 계약체결에서의 공백을 어떻게 처리할 것인지에 대해 책임 주체 확대해석의 필요성에 따라, 중개인에 대한 접근방식을 책임의 맥락 혹은 계약상의 역할에 주목한다. 하지만 본 사건에서는 EU법과의 합치를 강조한다. 이러한 합치해석의 요청은 CJEU에 의해 다시 한번 강조되는 부분이다.
결과적으로 CJEU의 판례법, 즉 Wathelet 사건에서의 직접거래에서 존재하는 중개인에게도 소비자의 보호라는 측면에서 책임 주체를 확대하여 그러한 중개인 역시 판매자의 개념에 포섭하여 해석 가능하며, 중요하게는 중개인을 판매자로 확대해석하기 위한 제 조건들을 충족해야 한다고 함으로써 확대해석에 한계를 두었다는 점에서 또한 의의가 있다. 다시 말해 자의적 해석을 임의로 행사하여 사적자치의 원칙과 계약자유의 성격을 훼손해서는 안된다는 점에서 의미가 있는 사례라고 할 수 있다.

영어초록

In the Wathelet case concerning the interpretation of the concept of seller in the EU Directive 1999/44/EC on certain aspects of the sale of consumer goods and associated guarantees in 2016, CJEU interpreted the concept of a seller as including a intermediary, thereby making a milestone in the interpretation of seller.
This case is an issue that arose due to the absence of a definition of an intermediary in the concept of a seller in the above directive. As the current civil law discusses continuing to expand the concept of seller for intermediary on the online platform, this paper is a direct transaction prior to online. First, from the fact that there was such an interpretation discussion, I would like to discuss how to interpret the interpretation in such a case through a subject judgment analysis.
The necessity of expanding the responsible subject under the Product Liability Act, This paper also basically interprets the concept of the seller by including the intermediary, agreeing to the assertion of the necessity of expanding the responsible entity to give the intermediary the same responsibility as the seller, however the need for such expansion has already been raised in the EU through a Belgian court in 2014, and as a ruling by the European Court of Justice, the concept of seller ahead of online has been expanded and interpreted as including the intermediary. The purpose of this paper is to support the logical validity of the argument for the necessity of expanding the responsible entity through the subject judgment in the issue of interpretation of intermediary and seller. In other words, from the traditional consumer-seller contract to the new form of a triangular relationship consisting of with the intermediary in a contract, the need for an expanded interpretation of the responsible entity has already emerged in offline prior to the online interpretation method for the concept of the seller. What I want to discuss through the subject judgment is the direction this paper intends to proceed. If the consumer is not aware of the existence of an off-line intermediary for the subject judgment, an expanded interpretation of the responsible entity about how to deal with the void in the contract between the seller and the consumer is necessary, and the approach to the intermediary is in the context of responsibility and on the contractual role. However, this case emphasizes conformity with EU law. This request for consensus interpretation is once again emphasized by CJEU.
As a result, CJEU's case law, that is, the intermediary who exist in the direct transaction in the Wathelet case, also expand the responsible entity in terms of consumer protection, and such intermediary can also be interpreted by substituting the concept of seller and more importantly, expanding intermediary to seller. It is also significant in that the expanded interpretation was limited by saying that the conditions for interpretation should be satisfied. In other words, it can be said to be a meaningful case in that the principle of private autonomy and the nature of contract freedom should not be damaged by arbitrarily exercising arbitrary interpretation.
