수하인의 운송물 수령의무에 관한 고찰 (A Study on the Consignee’s Obligation to Take Delivery of Cargo - Focusing on Lower Court Precedents -)

초록

상법 제802조는 명시적으로 수하인의 운송물 수령의무를 규정하고 있다. 그럼에도 불구하고 학계에서는 수하인에게 운송물 수령의무를 인정하는 것이 타당한지 여부에 관하여 여러 견해가 존재하는데, 수하인에게 운송물 수령의무를 인정한 입법례를 외국에서 찾아보기 어려운 탓이었다.
실무에서는 상법 제802조의 해석을 다룬 대법원 판례는 아직 존재하지 아니한다. 다만 서울고등법원 2015. 12. 4. 선고 2015나9860 판결을 필두로 대다수의 하급심 판결들은 수하인의 운송물 수령의무를 제한적으로 해석하려는 경향을 보이고 있다. 반면, 수하인의 운송물 수령의무를 인정한 하급심 판결도 존재한다.
그런데 법으로 수하인의 운송물 수령의무를 규정한 입법 취지를 몰각하고 상법 제802조의 문언적․체계적 해석방법과 다르게 해석하는 대다수의 하급심 판결들이 과연 타당하다고 할 수 있는지에 대하여 의문이 든다. 수하인을 송하인에 의하여 일방적으로 지정되는 제3자로 보아 운송물 수령의무를 인정하지 아니하려는 논리는 국제물품매매계약 및 해상운송실무를 충분히 반영하지 못한 것으로 보인다. 이에 본 논문에서는 하급심 판결례의 논리를 비판적으로 고찰해 보았다.
결론적으로 현행 상법 체계하에서 수하인의 운송물 수령의무는 명백한 법정의무이며, 이에 대한 논란은 법원의 자의적인 해석이 아닌 입법적 해결을 통해 해소되어야 한다고 본다. 법원이 상법의 명문 규정을 무력화하는 해석론을 지속하는 것은 법적 안정성과 예측가능성을 저해하고, 해상법 체계의 정합성을 훼손할 수 있다고 본다.

영어초록

Article 802 of the Commercial Act explicitly stipulates the consignee’s obligation to collect cargo. Nevertheless, academic discourse remains divided on whether it is reasonable to recognize such an obligation, primarily because comparable legislative examples imposing a duty to take delivery on consignees are rarely found in foreign jurisdictions.
In practice, there has yet to be a Supreme Court judgment directly interpreting Article 802 of the Commercial Act. However, beginning with the Seoul High Court's judgment of December 4, 2015 (Case No.2015Na9860), the majority of lower court rulings have tended to interpret the consignee's duty to take delivery in a restrictive manner.
Conversely, there is also lower court judgment that affirms the existence of such an obligation.
This raises question as to whether the prevailing approach in judicial practice — namely, the restrictive interpretation of the consignee’s duty — can be deemed valid, given that it arguably disregards the legislative intent behind enacting Article 802 and is inconsistent with both the textual and systematic interpretation of the provision. Thelogic of denying the consignee’s obligation by treating the consignee as a unilaterally designated third party seems insufficiently reflective of the realities of international sales contracts and maritime transport practices. Therefore, this article critically examines the reasoning found in the lower courts’ judgments.
In conclusion, under the current framework of the Commercial Act, the consignee's obligation to take delivery of the goods constitutes a clear statutory duty, and controversy surrounding this obligation ought to be resolved legislatively rather than by discretionary judicial interpretation. The courts’ continued reliance on interpretive approaches that effectively nullify the explicit provisions of the Commercial Act may undermine legal certainty and predictability as well as threaten the coherence of the maritime legal system.
