계약해제시 원상회복의무의법적 성질 (The legal nature of the obligation to restitute upon the termination of contract)

초록

계약해제는 계약당사자 일방이 상대방의 채무불이행으로 인하여 급부의 이행을 더 이상 기대할 수 없는 경우에 계약관계를 종료시키는 법적 제도이다.
계약이 해제되면 상대방에 대한 급부이행청구권이 소멸하고 자신이 부담하는급부의무도 면한다. 그 결과 계약당사자는 급부를 아직 이행하지 않은 경우에는 급부를 이행할 필요가 없고, 급부가 이미 이행된 경우에는 수령한 급부를원상으로 반환하여야 한다. 이 경우 계약당사자가 상대방으로부터 받은 급부를 원상으로 반환하여야 할 의무의 법적 성질이 무엇인지 문제된다.
우리나라의 통설과 판례는 계약해제로 인한 원상회복의무의 법적 성질을부당이득의 특칙으로 본다. 그러나 원상회복의무는 해제권 행사라고 하는 계약당사자의 법률행위와 결부되어 있다. 즉 원상회복을 위한 계약관계의 청산은 해제의 의사표시라는 법률행위를 개입시켜 반환채무를 지우는 것이지 계약관계에 법률상 원인이 없기 때문에 반환채무를 지우는 것이 아니다. 따라서계약해제로 인한 원상회복이 부당이득반환의 특칙이라는 통설과 판례의 주장은 그에 대한 이론적인 전제 자체가 문제로 된다.
우리나라의 통설과 판례가 가지고 있는 법적 문제는 계약해제의 효과를 채권적 효과에 한정하고, 채무불이행에 대한 손해배상의무와 원상회복의무의 병존을 인정한 입법자의 입장을 고려하지 않은 상태에서 계약해제의 소급효를둘러싼 독일의 학설을 계수한데 그 원인이 있다. 이 연구에서는 우리 민법의모델이 된 독일민법에서의 원상회복의무의 역사적 발전과정을 살펴본 다음,우리나라에서의 원상회복의무의 법적 성질을 법리적으로 검토해 보았다.

영어초록

A contractual termination is a legal system in which a contracting party terminatesa contractual relationship if one party can no longer expect the payment to befulfilled due to the other party’s default. If the contract is terminated, the right toclaim for the benefit of the other party will be extinguished and the obligation topay the benefit will be waived. As a result, If the parties have not yet fulfilled thebenefit, it is not necessary to fulfill the benefit, and If the benefit has already beenpaid, the benefit received should be returned to the original cost. In this case, thequestion arises as to the legal nature of the obligation of the parties to return thebenefits received from the other party.
In the case of Korea, the legal nature of the obligation to restitute the originaldue to the termination of the contract is regarded as a special rule of unfairadvantage. However, the obligation to restitute is associated with the legal action ofthe contracting party, called the exercise of the right of termination. In other words,the liquidation of the contractual relationship for restitution is to clear the restituteobligation through the legal act of declaration of termination, not to clear the restituteobligation because there is no legal cause in the contractual relationship. Thus, theclaim that the restoration of the original due to the termination of the contract is aspecial return of the unjust gain is a matter of the theoretical premise itself.
The legal problems of Korean customs and lawsuits are that they limit the effectof the termination of the contract to the creditor’s effect and do not take intoaccount the position of the legislator admitting the obligation to recover damages andthe obligation to recover the default. This is the reason why we have counted theGerman doctrines surrounding the retroactive effect. In this study, we examine the historical development process of the duty to restitute the original in the GermanCivil Code and the Japanese Civil Code which became the model of the KoreanCivil Code, and then examine the legal nature of the duty to restitute the original inKorea.
