초록

현행법상 이사는 회사의 경영자로써 또한 회사경영에 대한 감시자로서의 임무를 수행하며, 그 임무의 해태로 인한 회사 또는 제3자의 손해에 대하여 배상할 책임을 부담한다. 여기서 이사의 책임은 그 임무해태에 고의나 과실이 있어야 하고, 그 임무의 범위는 당해법인에 한정되는 것으로 보는 것이 일반적이다. 그러나 근래에 들어와 상법상 100% 출자관계로 형성되는 완전 모·자관계회사가 인정됨에 따라 이사의 그 임무범위 또한 달리 생각해야 하는 상황에 직면하게 되었다. 즉, 완전모회사 이사의 임무 중 특히 경영에 대한 감시의무를 기존에서처럼 당해법인에 한정되는 것으로 볼 것인지가 새로운 문제로 대두되기 시작한 것이다. 이에 대한 우리의 학계와 판례의 입장은 기존의 전통적인 입장을 고수하고 있는데 반하여, 일본의 경우는 이러한 문제와 관련되는 사건이 실질적으로 많이 발생됨에 따라 논의가 활성화되어 있을 뿐만 아니라, 최근에는 이사의 임무 중 감시의무의 범위를 회사 간의 소유구조에 따라 차별화하여 해석하려는 경향이 지배적인 것으로 나타나 있다.
그리고 이사의 임무해태에 관한 책임이 인정되고 손해배상책임을 부담하는 경우에 있어서는 손해액의 산정, 배상책임의 이행시기, 이행시기에 즉시 손해배상을 하지 못한 경우의 지연손해금 및 이에 대한 이율, 시효 등이 실무상 문제가 된다. 이는 그 책임의 법적성질이 무엇이냐에 따라 손해배상책임금액이 달라지는 것으로써 실정법상 당사자 간에 있어서는 중요한 문제가 아닐 수 없다. 그러나 이에 대한 현행법상 명문의 규정은 없고 해석에 의존할 수밖에 없는데, 우리의 경우는 그 해석에 관한 학설과 판례가 극히 빈약한 상태에 있는 것이 현실이다.
한편, 이러한 문제에 관하여 일본의 경우는 우리와는 달리 학계의 논의가 활발히 진행되고 있는 가운데, 최근 회사법이 상법으로부터 분리된 이래 이러한 문제와 직접 관련된 사건으로는 처음으로 일본 최고재판소의 판결이 내려지게 되었다. 따라서 일본학계의 반응은 동 판결이 앞으로 발생될 주주대표소송에 있어서 크게 영향을 미칠 것이라는 점에 주목함과 동시에, 이사의 손해배상금에 부가되는 지연손해금의 이율과 이행지체에 빠지는 시기 등에 대한 신회사법상 실정법의 해석지침으로 의미를 부여하여 관심이 고조되고 있는 상황에 있다.
따라서 본 연구에서는 상기한 일본의 최고재판소판결을 연구대상판결로 선별하여 제1심 및 제2심의 판시까지 포함하여 종합적으로 검토함으로써, 앞서 제기한 각각의 문제점에 대한 일본 학설의 동향과 동 판결의 해석기준 그리고 우리법제에 시사하는 바가 무엇인지에 관하여 사적견해를 제시해가며 종합적으로 살펴보았다.

영어초록

According to current laws, a director of a company performs the duty of manager as well as supervisor of the company's management, and shall be liable for any damage incurred to the company or any third party, arising due to the negligence on such responsibility. Regarding this, director's responsibility is generally regarded as requiring intent or negligence for such breach of responsibility as elements, and the scope of duties as restricted to the relevant company. However, as the perfect parent· subsidiary related company is recently acknowledged established by 100% capital contribution on subsidiary, the scope of director's responsibility has reached a new stage to be considered otherwise. In other words, whether the responsibilities especially on management on subsidiary by a director of 100% parent company shall be regarded as restricted to relevant companies as before, or not. On this issue, Korean academy and judicial precedents are keeping the traditional stance. Meanwhile, in case of Japan, discussions have been activated hereon due to many related cases occurred practically, and recently a recent prevalent trend has appeared to interpret the scope of supervisory responsibility out of directors' responsibility in differentiation according to the ownership structure between the companies.
And if directors are held liable for negligence of responsibility and for compensation, further practical issues arise on the time to fulfill the obligation to compensate, compensation for deferment in case such director defaulted in paying compensation on due date and the interest rate, statute of limitation etc. These differences in amount of compensation is caused by the legal characteristics of the responsibilities, invoking serious problems between the principal parties pursuant to the positive law. However, there are no stipulations in current laws and only interpretation have to be relied upon, on these issues. In case of Korean law, theories and judicial cases on the interpretation thereof is extremely scarce currently.
Meanwhile on this issue in Japan where the academy has been involved in activated discussions, a new decision on a case directly related thereto has been rendered by the Supreme Court recently, as the first case after separation of Company Law from Commercial Act. Therefore, the academy's interest has never been higher, responding by taking note of the fact that this judgment will exercise much influence on the shareholders' class actions to come along, as well as placing significance on the rate of compensation by and the time of default of director as the interpretative positive legal guidance on New Company Act.
In this regard, this study selects the new decision on a case directly related thereto that has been rendered by the Supreme Court of Japan as the judgment for research and comprehensively reviews this case, including the first trial and second trial, to provide comprehensive review on the trend of Japanese academic theories and the interpretative guidance on such judgment on each of the issues presented above, and to present personal viewpoints on the implication to Korean legal system.
