운송물처분권에 관한 입법론적 고찰 (A Study on the Right of Control with the Legislative Perspective)

초록

상법 제139조 및 제815조는 운송물처분권자를 송하인과 운송증권의 소지인으로 한정하면서, 운송물처분권을 운송의 중지, 운송물의 반환 기타의 처분으로 규정하고 있다. 그러나 운송물처분권에 관한 상법의 규정은 운송물처분권자를 송하인과 운송증권의 소지인으로 한정함으로써 실무에서 사용되는 다양한 형태의 운송증권의 경우에 운송물처분권자가 누구인지 명확하지 않을뿐더러, 운송물처분권의 내용으로서 ‘기타의 처분’의 내용이 무엇인지 견해가 분분하다. 또한 형성권으로 파악되는 운송물처분권의 양도에 관해 아무런 규정을 두고 있지 않음으로 인해 운송물처분권을 양도할 수 있는지도 명확하지 않다. 우리 상법과 달리 최근 제정된 로테르담규칙은 운송물처분권에 관해 상세한 규정을 두고 있는데, 운송물처분권에 관한 위 규칙의 규정들은 우리 상법의 해석․적용 및 향후 입법방향에 새로운 좌표를 제공할 것으로 보인다. 로테르담규칙은 운송물처분권의 내용을 운송물에 관한 각종 지시 내지 지시변경권, 중간기항지 또는 육상운송의 경우 운송 중의 운송물인도지시권, 그리고 수하인변경권으로 구성하면서, 중간기항지 등에서 운송물이 인도된 경우에는 최종목적지에서 운송물이 인도된 것으로 간주한다. 그러나 원칙적으로 위 규칙상 운송물처분권은 운송계약의 범위 내라고 하는 한계 내에서 합리성과 예측가능성의 원칙의 지배를 받으므로, 처분권자의 운송물 처분에 관한 지시가 합리성이 없는 경우에는 운송인은 지시수행을 거절할 수 있고, 운송물처분권에 따름으로 인해 운송인에게 추가 비용 등이 발생하는 경우에는 운송물처분권자 등은 운송인의 추가비용을 상환하거나 운송인을 면책시켜야 할 뿐 아니라 필요한 경우에는 사전에 담보를 제공하여야 한다. 로테르담규칙은 위와 같이 운송물처분권의 내용을 제한적으로 규정하면서도 운송물처분권자에게 운송계약의 변경권을 부여함으로 인해 처분권자는 운송인과의 특약을 통해 계약의 변경에 해당하는 처분도 할 수 있는 지위에 있다. 한편 로테르담규칙상 운송물처분권자는, 운송계약의 당사자는 아니지만 운송계약 체결 후 인도 시까지 운송의 전과정에 걸쳐 운송물처분권의 행사를 통해 핵심적 역할을 수행하므로 운송물처분권자가 누구인가 하는 문제는 실무상 상당히 중요한 의의가 있다. 이에 따라 동 규칙은 운송증권의 발행여부 및 발행된 운송증권의 유통성 및 상환성에 따라 운송물처분권자를 세분화하고 있을 뿐 아니라 각 운송물처분권의 양도에 대해서도 상세히 규정하고 있다. 위와 같은 운송증권의 종류 및 발행여부에 따른 운송물처분권자의 세분화는 우리 상법의 해석과 적용에 있어서도 참고의 가치가 있다. 다만 계약승계 내지 계약상 지위의 이전이 수반되지 않는 운송물처분권의 양도 및 이로 인한 운송물처분권과 운송물인도청구권 등 운송계약상 채권의 분리가 우리 법제에서도 인정될 수 있는 것인지 하는 문제는 의문이다.

영어초록

Article 139 and article 815 of the Korean Commercial Code (hereunder, KCC) defines the controlling party as the shipper and the holder of a negotiable transport document. According to the said articles of KCC, the right of control consists of the right to stop carriage of the goods, the right to give instructions to return the goods, and any other executions in respect of the goods. However, because KCC restricts the controlling party to the shipper and the holder of a negotiable transport document, it can not only expose legal problems for the identification of the controlling party for the various kinds of transport documents which are commonly used in real business, but also causes controversy as to the meaning of ‘any other executions’ as an element of the right of control. In addition, as KCC does not have provisions for the transfer of the right of control, it is not clear whether the right of control is transferable or not. In contrast to KCC, as the Rotterdam Rules have some detailed provisions for the right of control, provisions of the Rotterdam Rules on the right of control seem to be a good model for the future revision of KCC as well as the interpretation and application of KCC. Under the Rotterdam Rules, the right of control is limited to (i) the right to give or modify instructions in respect of goods, (ii) the right to obtain delivery of the goods at a scheduled port of call, in respect of inland carriage, any place en route, and (iii) the right to replace the consignee by any other person. Furthermore, goods that are delivered pursuant to the controlling party’s instruction are deemed to be delivered at the place of destination. In principle, however, the right of control shall be exercised within the limitation of the contract of carriage itself, and shall be construed the terms of reasonableness and predictability. Therefore, it should be allowed for the carrier to reject the controlling party’s instructions, when instructions were unreasonable. If any reasonable additional expense incurred upon executing the controlling party’s instructions, the controlling party shall, in any event, reimburse or/and indemnify the carrier, and if requested by the carrier the controlling party shall provide the carrier with security for the amount of additional expense, loss or damage. In the meantime, by giving the controlling party the right to agree with the carrier to variations to the contract of carriage, the Rotterdam Rules permit the controlling party any rooms widening contents of the right of control other than originally referred to the Rotterdam Rules. Even though the controlling party is not a party to the contract of carriage, the identity of the controlling party is important from a business perspective as the controlling party plays essential roles for the whole period of carriage. For this reason, the Rotterdam Rules define the controlling party for the detailed situations, whether the transport document was issued or not, whether the issued transport document was transferable or required surrender or not. Provisions of the Rotterdam Rules for the right of control can be evaluated as an advanced legislation, and shall be a good reference for the interpretation and application of KCC. It is not clear, however, whether the transfer of the right of control can be approved without accompanying the transfer of the status of a party to the contract itself under the Korean legal system.
