담보신탁계약에 의한 공매 등 매각절차에서 골프장시설을 취득한 자의 입회보증금반환채무 승계 여부-대법원 2018.10.18. 선고 2016다220143 판결- (Whether to admit the succession of the debt to return the membership deposit of a person who acquired the golf course facilities in the sale procedures including public auction sale based on security )

초록

채권담보의 수단으로 담보신탁이 많이 활용되면서 그에 따른 여러 가지 법률문제가 발생하고 있다. 그 중에서 일찍부터 문제되었던 것은, 부동산담보신탁에 따른 공매나 수의계약에 의하여 체육시설의 영업이나 체육필수시설이 타인에게 이전된 경우, 영업양수인 또는 체육필수시설의 인수인이 체육시설업과 관련하여 형성된 공법상의 권리․의무뿐만 아니라 체육시설업자와 회원 사이의 사법상 약정에 따른 권리․의무도 승계되는지 여부이다. 이와 관련하여 대상판결은 담보신탁에 따른 공매는 체육시설법 제27조 제2항 제4호에 해당한다고 명시적으로 판시함으로써 인수인에게 회원계약의 승계를 인정하고 있다. 신탁법상의 담보신탁계약에 따른 공매나 수의계약의 경우를 체육시설법 제27조 제2항 제1호 내지 제3호의 담보권실행 등을 위한 경매절차 등과 구분하여야 할 실질적인 차이가 없다는 점에서 대상판결의 결론은 타당하다. 한편 회생절차는 재정적 어려움으로 인하여 파탄에 직면해 있는 채무자에 대하여 채권자․주주 등 이해관계인의 법률관계를 조정하여 채무자 또는 그 사업의 효율적인 회생을 도모하는 것을 목적으로 한다(채무자회생법 제1조). 그런데 회원제 골프장 회생사건에서 체육필수시설인 골프장을 양수한 경우, 양수인이 체육시설법 제27조 제2항에 따라 체육시설업의 등록 또는 신고에 따른 권리․의무뿐만 아니라 체육시설업자와 회원 사이의 사법상 약정에 따른 권리․의무도 승계하도록 하면, 채무자가 회생할 수 있는데도 회생의 기회를 박탈하는 결과가 발생할 수 있다. 우리나라 회원제 골프장 대부분은 입회금회원제로 운영되고 있는데, 입회금회원권은 회원이 골프장 시설을 우선적으로 이용하고(골프장시설이용권), 이미 납입한 입회금은 탈퇴, 계약해지 등 회원권 계약 만료사유가 발생한 경우 반환받을 수 있는 권리(입회금반환청구권)이다. 이러한 골프장시설이용권과 입회금반환청구권은 재산상의 청구권으로서 회생절차 내에서 회생채권에 지나지 않으므로, 채무자회생법에 의한 환가의 경우에 체육시설업자와 회원 사이의 사법상 약정에 따른 권리․의무를 승계하도록 한 체육시설법 제27조는 채무자회생법의 체계와 정합적이지 못하다. 따라서 채무자회생법에 의한 환가의 경우에는 입법적으로 체육시설업자와 회원 사이의 사법상 약정에 따른 권리․의무를 승계하지 않는다는 규정을 두어야 할 것이다.

영어초록

Since security trust is used a lot as a means of security for credit, various legal problems occur accordingly. The one which became an issue from the earlier times among these problems was whether the rights and obligations under the private laws between sports facilities operator and members as well as the rights and obligations under the public laws established in relation to sports facilities business were succeeded to and by a business assignee or a sports-required facilities undertaker, if sports facilities business or sports-required facilities were assigned to another person by a public auction sale or a private contract due to a real property security trust. In this regard, the Supreme Court 2016da220143 decision rendered on October 18, 2018 expressly stated that the public auction sale due to security trust fell under Article 27 Paragraph 2 No. 4 of the Installation and Utilization of Sports Facilities Act, admitting the undertaker’s succession to the member agreement. The conclusion of targeted decision is reasonable in that there are no substantial differences to distinguish the cases of a public auction sale or a private contract based on the security trust agreement under the Trust Act from the auction procedures for the execution of security rights as provided in Article 27 Paragraph 2 No. 1-3 of the Installation and Utilization of Sports Facilities Act. On the other hand, the purpose of rehabilitation procedure is intended to regulate the legal relations of stakeholders including creditors, shareholders against debtor on the verge of bankruptcy due to financial difficulties and promote the efficient rehabilitation of debtor or business thereof (the Debtor Rehabilitation And Bankruptcy Act, Article 1). However, in the event of assignment of a golf course, the sports-required facilities as described in the case of rehabilitation of a membership golf course, if the rights and obligations due to the register or report of sports facilities business pursuant to Article 27 Paragraph 2 of the Installation and Utilization of Sports Facilities Act as well as the rights and obligations under the private law-based agreement between sports facilities operator and members are succeeded to and by an assignee, it may result in depriving the debtor of opportunities for rehabilitation. Most of the membership golf courses in Korea are operated as an admission fee membership, which refers to the right which entitles the member to use golf course facilities preferentially (the right to use golf course facilities), and receive the return of the already-paid admission fee if any causes of contractual expiration for membership occur including withdrawal or termination of agreement (the right to claim for return of admission fee). The provision in Article 27 Paragraph 2 No. 1-3 of the Installation and Utilization of Sports Facilities Act admitting the succession of the rights and obligations under the private law-based agreement between sports facilities operator and members does not conform to the system of the Debtor Rehabilitation And Bankruptcy Act in case of property realization under the Debtor Rehabilitation And Bankruptcy Act. Therefore, in case of property realization under the Debtor Rehabilitation And Bankruptcy Act, it is required to legislatively stipulate a provision not to admit the succession of the rights and obligations under the private law-based agreement between sports facilities operator and members.
