초록

대법원 2023. 12. 21. 자 2023두54006 판결(이하 ‘대상 판결’)은 심리불속행으로 종결된 사건이다. 대상 판결의 원심 판결은 서울고등법원 2023. 9. 12. 선고 2023누37034 판결(이하 ‘원심 판결’)인데 법인세법상 부당행위계산부인을 적용할 경우 비상장주식의 시가평가와 관련하여 문제될 수 있는 여러 쟁점을 다루고 있다. 이 글에서 검토한 결과를 정리하면 다음과 같다.
첫째, 장외매매시장인 K-OTCBB 시장은 불특정 다수인이 참여하는 공개시장으로서 정상거래에서 형성된 가격은 시가의 개념을 충족한다. 원심 판결은 시가의 개념을 충족하는 거래가격의 가치를 너무 쉽게 배제하고, 그에 갈음하여 평가자의 주관이 작용할 수밖에 없는 감정가격을 우선시한 점에 있다고 판단된다.
둘째, 현금흐름할인방법은 법인세법 시행령에서 부당행위계산부인 규정 적용시 비상장주식의 평가방법으로서 배제하고 있는 감정에 해당하므로 본건에서 적용되어서는 안 된다고 생각된다. 특히 지배권 이전이 수반되는 거래에서의 주식가격이 그렇지 않은 거래에서의 주식가격보다 낮다는 것은 경험칙에 부합하지 않는다.
셋째, 부당행위계산부인 규정을 적용할 때 구체적인 거래가격이 시가와 다른지 여부와 그에 관하여 경제적 합리성이 있는지 여부는 구분되어 판단되어야 한다. 아울러 전자의 입증책임은 과세관청에 있지만, 과세관청이 일단 시가와 다르다는 점을 입증하면 경제적 합리성의 존부에 관한 입증책임은 납세자에 있다고 봄이 타당하다.

영어초록

The Supreme Court's Decision 2023DU54006, dated December 21, 2023 (hereinafter referred to as the “Subject Judgment”), was a case that was closed due to the inadmissibility of the hearing. The lower court decision of the Subject Judgement is the Seoul High Court's Decision 2023NU37034, dated September 12, 2023 (the “Original Judgement”), which deals with various issues related to the market valuation of unlisted stocks when applying the disallowance of Wrongful acts and calculation under the corporate tax law. In this article, I summarize my findings as follows.
First, the K-OTCBB market, which is an over-the-counter trading market, is an open market with an unspecified number of participants, and the price formed in normal transactions meets the concept of market value. I believe that the Original Judgement too easily excluded the value of the transaction price that meets the concept of market value and instead prioritized the appraised value based on cash flow discounting method, which is subject to the valuer's subjectivity.
Second, the discounted cash flow method should not be applied in the present case because it is an appraisal method that is excluded from the valuation of unlisted stocks when applying the disallowance of Wrongful acts and calculation rule in the Enforcement Decree of the Corporate Tax Act. In particular, it is not consistent with the rule of thumb that the stock price in a transaction involving a transfer of control is lower than the stock price in a transaction that does not involve a transfer of control.
Third, when applying the disallowance of Wrongful acts and calculation, a distinction should be made between whether the specific transaction price is different from the market price and whether it is economically reasonable. In addition, while the burden of proof for the former is on the tax administration, once the tax administration proves that the price is different from the market price, the burden of proof for the existence of economic reasonableness is on the taxpayer.
