초록

주주총회는 법과 정관에 정해진 사항을 결의하는 주식회사의 최고의사결정기관이다. 이러한 주주총회에는 되도록 많은 주주의 의사를 반영하는 것이 경영자나 지배주주의 전횡을 방지하고 회사나 주주의 보편적 이익을 실현한다는 관점에서 바람직하다. 그러나 우리나라의 주주총회는 제도적인 측면이나 주주의 유인 구조, 경영진과 주주의 주주총회에 대한 무관심 등으로 인해 형식화한 측면이 있고, 경영진이나 지배주주의 기본방침에 법적 정당성을 부여하는 일종의 추인기구로 전락한 측면까지 있다. 그런데 최근 섀도우 보팅 제도가 폐지되면서 주주(특히 소액주주)의 주주총회 참여율 제고를 둘러싼 인식이 변화하고 있다. 이러한 상황에서 규제당국이 소액주주의 주주총회 참여 환경을 개선하는 방안으로서 주주총회의 분산 개최 유도 등을 포함한 대책을 발표하였다. 본 논문은 바로 상장회사의 주주총회 분산 개최 특히, 중장기 과제로서 설정하고 있는 4월 정기주주총회 개최를 위한 제도 개선 방안 및 그에 따른 실무상 과제에 대해 검토하였다.
본 논문에서는 우선 12월 결산 상장회사의 최근 정기주주총회 개최 현황과 관계기관들이 주주총회 분산 개최를 유도한 2018년 3월 정기주주총회 개최 현황을 분석하고, 그것을 토대로 적절한 기준일 설정 등을 통한 4월 정기주주총회 개최의 필요성을 분명히 하였다. 그리고 상장회사가 4월에 정기주주총회를 개최하는 것이 주주의 주주총회 참여율 제고뿐만 아니라 주주의 의안 검토나 주주총회 결의의 타당성 제고에 이바지할 가능성이 있고, 기준일을 언제로 설정하느냐에 따라 주주의 보편적 의사 반영이라는 측면에서 긍정적 효과를 가져 올 수 있음을 설명하였다. 다만 결산일을 기준일로 하는 실무관행이 오랜 시간 유지되어 온 우리나라에서는 4월 정기주주총회 개최를 위해 결산일과 다른 날을 기준일로 설정할 경우 실무상의 문제가 야기될 우려가 있다. 이를 고려하여 본 논문에서는 4월 정기주주총회 개최를 전제로 한 실무상의 과제 예컨대, 주주의 혼란, 기업의 업무 등에 대해 검토하였다.

영어초록

Shareholder Meeting is the chief decision-making body of a corporation that resolves matters set forth in law and articles of association. As many shareholders as possible are required to attend such a genereal shareholders’ meeting. It is desirable in view of the fact that it prevents arbitrary control of the management or controlling shareholders and enables universal interests of the company or shareholders. However, the general meeting of shareholders in Korea has been formalized by institutional aspects, the structure of inducing shareholders, and indifference of management and shareholders to the general meeting of shareholders. In addition, the general meeting of shareholders in Korea has been reduced to a form of ratification that gives legal justification to the basic policies of management or controlling shareholders. However, the shadow voting system was recently abolished. As a result, interest in increasing shareholder participation among shareholders (especially minority shareholders) has increased significantly. Against this backdrop, the regulatory authorities announced measures to induce minority shareholders to spread corporation’s shareholders meetings in order to improve their participation in the general meeting of shareholders. This paper examined the measures to induce listed companies to spread their shareholders meetings, particularly those for general shareholders meetings in April, which are set as mid - to long-term tasks.
In this paper, first of all, it analyzed the current state of holding a general shareholders’ meeting of listed companies. And then, based on such an analysis, it clarified the need for holding a general shareholders’ meeting in April through the establishment of an appropriate record date. And it explained the positive effects(increase shareholders’ participation in the general shareholders’ meeting, improving the feasibility of general shareholders’ meeting, reflecting shareholders’ universal opinions, etc) of holding a general shareholders’ meeting in April. However, in Korea, which has a long-standing practice of using the settlement date as the record date, practical problems may arise when the record date is set to a day different from the settlement date for holding the general shareholders’ meeting in April. Considering this, this paper reviewed the practical tasks of holding a general shareholders’ meeting in April.
