독과점 시장구조 개선을 위한 공정거래법상 시장분석 (Market analysis and competition law For Improvement of structure of monopoly market)

초록

「독점규제 및 공정거래에 관한 법률(Monopoly Regulation and Fair Trade Act)(이하 ‘공정거래법’이라 함」은, 시장구조개선에 대하여 1996년 개정법이 제3조에 그 근거를 처음 마련하였고, 다시1999년 개정법이 시장분석에 대한 조항을 추가하여 오늘에 이르고 있다.
이는 독과점시장구조에 대한 단편적인 규율에서 벗어나서 종합적인 시장구조개선 대책을 마련하기 위한 시도였다. 발상의 전환은 평가할 수 있겠지만 현실은 그에 따라주지 못하여서 시장구조개선 또는 그것을 위한 시장분석에 대한 법령상의 근거 조항도 사실상 충분하지 못하였고,제도운용 초기에는 도입된 법령에 대한 이해도도 그다지 높지 못하였다. 따라서 1996년 개정법이후 2006년에 이르기까지 10여년은 시장구조개선 제도운용을 위한 탐색기에 불과한 것으로 보인다.
공정거래위원회는 이후 이론을 심화하고 연구하는 과정을 거치는등 경쟁법 운용 역량을 높이고자 노력하였다. 가령 인텔 반도체 충성할인(loyalty discount, fidelity rebate) 사건 등은, 깊이 있는시장구조분석 끝에 경쟁법 운용사상 높이 평가할 만한 결과를 이끌어낸 사례이다. 그러나 여전히시장구조개선 및 시장분석 등에 대한 연구 능력을 더 키워야 한다. 외국 입법례를 보면 어느 정도강제성을 수반하는 조사권과 결과 공표권 등이 갖추어져 있다. 깊이 있는 시장분석과 그에 바탕한 시장구조개선 작업의 추진을 위하여 법 개정을 필요로 할 수 있다. 물론 주요국 입법례에서도그 시장구조개선 또는 분석에 따른 조사 또는 공표 과정에서 개인정보보호 등 기본적 인권 침해가능성을 배제하기 위한 입법적 보완이 이루어진 것을 알 수 있다. 그 밖에도 주요국 경쟁당국일수록 시장구조개선 및 분석 인력을 풍부하게 갖추고 있다는 점도 눈여겨 볼 만 하다. 향후 시장분석에 기반한 시장구조개선 등에 대한 법제개선을 통하여 경쟁법제 운용능력이 제고될 수 있기를희망한다.

영어초록

「Monopoly Regulation and Fair Trade Act (referred as Fair Trade Act)」, set the first basis for markets’ structural improvement on article 3 of 1996 revised act, and continues up to the present with 1999 revision which added a clause on market analysis.
This was an attempt to provide overall market structural improvement measure instead of fragmentary rules on monopoly market structure. Although it was a new way of thinking, the reality could not meet up to the new standard. The legal basis for markets’ structural improvement and the market analysis for that purpose was lacking, and the level of understanding these regulations was not very high. Therefore, from 1996 revision to 2006, 10 years were an observation period for operation of regulations regarding market’s structural improvement.
Fair Trade Commission expanded its capability to initiate different types of work, and with intensified studies, it enhanced its competence in management of competitive law. For example, Intel's semiconductor loyalty discount case was the first case which brought the significant result in management of competitive law, followed by in-depth analysis of market structure. However, we are now in a stage where we should put more effort in markets’ structural improvement and its analysis.
Other countries legislations provides right to investigate, accompanied by certain level of forcibleness,and the right to declare the outcome of the investigation. We can discover that law needs to be amended in order to promote in-depth analysis of the market and the improvement of market structure. It is reasonable that these legislations acquired a legislative methods to protect one’s human rights, such as personal information, in the process of investigation and declaration of result of improvement of market structure. Futhermore, we should focus on the fact that major competitive markets are prepared with abundance of man power in order to improve the market structure and equipped with work environment which can promote creation of effective competitive market. I hope this becomes an opportunity to enhance the capability of Fair trade Commission and its ability on management of competitive law followed by revision of legal system regarding markets’ structural improvement in compliance with market analysis.
