산학협력단 지배구조의 투명성 강화 방안 (Plans to Strengthen the Transparency in Corporate Governance of Industry-Academic Cooperations)

초록

오늘날 산업 발전의 가속화에 따라 대학은 창의적인 산업인력의 양성은 물론, 새로운 지식․기술을 개발․보급․확산․사업화함으로써 지역사회와 국가 발전에 기여할 것을 요구받고 있다. 이러한 환경에서 정부는 특수법인 형태인 산학협력단제도를 도입하였는데, 대학의 자율성을 고려하여 비영리법인임에도 허가주의가 아닌 준칙주의로 설립․운영할 수 있도록 함으로써 효율성을 추구할 수 있도록 하였다. 그런데 ‘자기책임원칙’에서 독립된 형태로 운영되어야 할 산학협력단이 실질적으로는 총장 또는 이사장의 절대적인 영향력이 미치게 되는 형태로 운영됨으로써 학교의 하위조직에 불과한 상태이다.
특히 이해관계자의 참여가 불가한 1인 이사제도 등으로 인해 출연자의 우월적 지위를 이용한 산학협력단 자금의 유용․횡령 사건이 발생하는 등 대학과 지역사회의 발전에 기여할 책무를 제대로 이행하지 못하는 상황에 이르렀다. 따라서 산학협력단의 지배구조를 투명하게 개선해야만 한다. 산학협력단의 투명성을 강화하기 위해서는 학교 및 지역사회 등의 이해관계자가 참여하는 이사회제도의 도입은 물론, 총장이나 이사장의 영향력 배제, 경영능력이 있는 전문가의 확보, 이사 등에 대한 선관의무 및 충실의무의 부과, 감사 및 감시 시스템의 확보, 산학협력단 해산시 정부 출연금의 환수 등이 필요하다.

영어초록

With the acceleration of industrial technologies of today, universities are now expected to not only foster creative industrial manpower, but also to contribute to the development of the community and nation by fostering, distributing, disseminating and commercializing new knowledge and technologies. Under such an environment, the government has introduced a new form of a special corporation through the industry-academic cooperation program and it makes it possible to pursue efficiency by establishing and operating based on the normative system, rather than a concession system, despite the fact that it is anon-profit organization taking the autonomy of universities into considerations However, the industry-academic cooperation institutions that should be operated independently based on the ‘principle of self-responsibility’ are in fact being operated in a manner under the absolute impact of the college presiident or dean, and therefore, are serving as no more than a sub-organization of the school. In particular, due to one-person board systems, which does not allow participation of interested parties, there have been issues such as misappropriation and embezzlement of industry-academic cooperation organizations using the superior position of the investor, and has reached a point in which it has become no longer functional in contributing to the development of the university and community. Therefore, it is necessary to search for methods that can make the governance of industry-academic cooperation organizations transparent, guarantee the participation of interested parties, and procure professional human resources. In order to overcome the current structural limitations of non-profit special corporation, it is not only essential to transform the industry-academic cooperation organization’s governance into an organization participated by the interested parties of the school and community, but also to exclude the influence of the school president or dean, procure experts with management capabilities, impose the duties of due diligence and good faith for directors and executives, etc., and procure a monitoring system.
