제3자 약관과 약관규제법 - 서울고법 2020. 5. 20. 선고 2019누38108 판결을 중심으로 - (Third-party Terms and Conditions and Act on the Regulation of Terms and Conditions)

초록

최근 계약은 당사자가 상호 협의를 통해 체결하는 방식과 제3자(온라인 플랫폼 운영사업자 등)가 당사자의 법률관계를 사전에 정하고, 각 당사자와 계약을 체결하면서 그 내용을 계약의 내용으로 할 것을 요구하여 당사자의 법률관계를 규율하는 방식으로 구분되고 있다. 또한 제3자를 위한 계약에서 제3자의 권리 또는 의무를 미리 정하여 적용하는 방식도 확대되고 있다. 이 논문에서 검토한 대상 사건에서 하급심 법원은 ‘온라인 플랫폼 운영사업자의 약관 중 환불불가 조항은 약관법상 약관에 해당하지만, 온라인 플랫폼 운영사업자가 약관법상 사업자에는 해당하지 않기 때문에 약관법이 적용되지 않는다’고 판시하였다. 이는 약관법상 약관, 사업자 및 고객이 자기계약을 전제로 하기 때문에 자신의 계약이 아닌 제3자 계약의 내용은 일방이 미리 마련하였다고 하더라도 약관법이 적용되지 않음을 인정한 것이며, 이는 약관법의 내용상 타당하다고 할 수 있다. 그러나 제3자는 상대방과 달리 해당 약관에 대해 협상할 여지도 없음에도 불구하고, 실질적으로 그 약관에 기속되는 것이 현실이다. 이러한 점을 고려할 때, 제3자에게 적용되는 약관에 대해서도 당사자에게 적용되는 약관과 동일하게 약관법상 불공정성 판단의 기준인 제6조 이하의 규정이 적용되어야 한다. 이를 위해서는 약관법상 약관, 사업자 및 고객에 대한 정의규정이 개정되어야 한다.

영어초록

Recent contracts are divided into ways in which parties conclude through mutual consultation and third party(online platform operators, etc.) determines the legal relationship of the parties in advance and require them to be the content of the contract while signing contracts with each party. Also, the method of determining and applying the rights or obligations of third parties in advance in contracts for third parties is expanding. In this paper, I analyzed the judgment of the lower court on the case of online platform operators presented the contents applied to contracts between users and consumers by in each platform usage contract, and applying them to the contract of the parties. The court judged that the Terms and Conditions Act does not apply to this case because the terms and conditions of a online platform operator correspond to the terms and conditions under the Terms and Conditions Act, but a online platform operator is not to the operator on the Terms and Conditions Act. In other words, the court acknowledged that the terms and conditions law does not apply even if one party prepared the contents of a third-party contract other than his or her own contract because the terms and conditions under the Terms and Conditions Act presuppose his or her own contract. This court judgment is valid under the current Terms and Conditions Act. However, the reality is that a third party, unlike the other party, has no room to negotiate the terms and conditions, but is actually bound by the terms and conditions. Considering these points, the provisions on the criteria for determining unfairness under the Terms and Conditions Act should be applied to terms and conditions applied to third parties in the same way as the terms and conditions applied to the parties. To this end, definitions of the terms and conditions, business operators, and customer under the Terms and Conditions Act must be amended.
