공기업 지배구조의 법적 문제 : 공공기관운영법의 법리, 현실, 문제점 (Legal Issues of Corporate Governance of State-Owned Enterprises : Law, Reality, and Problems)

초록

공기업 내지 공공기관은 자본시장의 결여, 경영권시장의 결여, 적극적인 주주의 결여, 파산위험의 결여로 인하여 대리문제에 관한 적절한 통제기제가 작동하지 아니하므로, 그 지배구조에 관하여 상장회사 지배구조와는 다른접근이 필요하다. 공공기관운영법이 사기업과 구별되는 지배구조 관련 장치를 두고 있는 것은 이런 점에서 이해할수 있다. 현재 공공기관운영법의 상세한 지배구조 관련 규정들과 공시 및 경영평가에 관한 규정들을 잘 정비되어 있는 편이다.
다만 공공기관운영법은 각 공공기관의 법적형태의차이점(주식회사, 사단법인, 재단법인 등)을 전혀 고려하지 않고 있어 운영상 모순이 발생할 수 있다. 특히 여러특수법인들의 설립 근거 법령에는 회사와 재단법인의구분조차 불명확한 부실한 규정들이 산재해 있으므로정비가 필요하다. 장기적으로는 공기업은 주식회사형으로, 준정부기관은 재단법인형으로 통일시켜가는 것이바람직할 것이다.
또한 정부가 소유자로서 권한을 행사하는 것과 주무감독기관으로서 권한을 행사하는 것은 구분되어야 한다. 공공기관운영법은 전자의 경우 기획재정부장관이 운영위원회의심의를 거치는 것을 원칙으로 하고 후자의 경우 주무기관의 장에게 권한을 부여하는 것을 원칙으로 하여 대체로구분하려고 한 흔적은 보인다. 그러나 현실적으로는 그구분이 불완전하여 공공기관의 경영이 정치적 아젠다에의해 부당한 영향을 받을 우려가 있다.
또 하나의 문제점은 기관장 및 임원의 임명절차에서대통령을 정점으로 한 행정부의 권한이 너무 막강하여이들 자리가 선거의 전리품처럼 활용될 수 있다는 점이다.
운영위원회 일부 위원의 추천권을 기획재정부장관에게전속시키지 말고 행정부 밖으로 분산하거나, 주요 공기업비상임이사의 후보 풀을 평소에 공개적으로 유지하는 등의제도 개선이 필요하다.

영어초록

Governance of the state-owned enterprises requires rules different from those applied to the private listed companies because of the lack of capital markets, management markets, active shareholders, and bankruptcy risks, which are functioning as a mechanism controlling agency problem in the private listed companies. In this regard, it is understandable that the “State-owned Enterprises Operation Act” (the “Act”) provides for several corporate governance devices distinct from those of the private listed companies. Details of the Act on the corporate governance, public disclosures, and management assessments are generally in order under the influence of the OECD guidelines. The Act, however, fails to take into consideration the differences in the legal and organizational forms of the SOEs (e.g., stock corporation, foundations, and associations), which may cause conflicts and confusion in the course of operation.
The Act is also insufficient in separating the government’s exercise of power as an owner and as a regulator. The Act tries to make such distinction by requiring review of the ‘SOEs Operation Committee’ under the leadership of the Minister of Strategy Finance in case of the owner power and by granting supervisory authority to the heads of each responsible government bureau in case of the regulator power. However, such distinction is not sufficient enough to prevent the undue influence of political agenda on the management of the SOEs, especially when the SOE takes the form of a foundation rather than a stock corporation.
Another problem is that the Act, with respect to the appointment of heads and senior officers of various SOEs, grants too much power to the executive branch with the President at its summit. The current system needs to be improved to control such unilateral power. At least part of the members of the SOEs Operation Committee should be recommended by those who are outside of the executive branch, and a pool of qualified candidates for the non-executive directors of the SOEs should be maintained under the public notice.
