자율공시가 재무분석가 이익예측에 미치는 영향 (The Effect of Voluntary Disclosures on Analysts' Earning Forecasts)

초록

자율공시는 수시공시의 한 형태로 정보 전달의 목적으로 진행되었다. 자율공시는 보다 많은 정보의 전달로 경영자와 투자자 사이의 정보비대칭을 해소하여 자본시장의 효율성을 증대시킬 수 있는 순기능적인 역할을 수행하지만, 반면에 제3자의 검증이 생략되어 경영자의 자의성 증가로 재무정보의 신뢰성을 저하시킬 수 있는 가능성이 존재한다. 이는 특히 자율공시가 강제공시가 아니므로 규제하기가 상대적으로 어렵기 때문이기도 하다.
본 연구는 자율공시가 재무분석가의 정보환경에 미치는 영향을 재무분석가 예측분산 및 예측오차를 통하여 검증한다. 실증분석 결과 자율공시를 적극적으로 수행한 기업의 재무분석가 이익예측분산은 유의적으로 작고, 재무분석가 이익예측오차는 유의적으로 큰 것으로 나타났다. 이런 결과는 공시수준이 높으면 정보비대칭이 낮다는 선행연구결과와 상반된 결과이다. 그 이유는 자율공시는 기업에게 공시의 선택권이 부여됨으로 기업이 유리한 정보만 선택적으로 공시할 수도 있고, 강제의무공시사항과 비교하여 자율공시의 감시체제가 상대적으로 약하여 편의된(biased) 정보를 공시할 가능성이 높기 때문이다. 자율공시에 기업의 재량이 많이 개입되는 경우 재무분석가들의 예측이 일정한(낙관적인) 방향으로 편의되어 기업과 투자자사이의 정보비대칭을 증가시킬 수 있다.
현재 자율공시는 지속적으로 확대되는 추세이나, 자율공시에 대한 감시체제와 불성실 자율공시에 대한 제재가 미미한 상황이다. 본 연구는 자율공시 정보이용자들의 더 많은 주의와 정책당국의 관리가 필요함을 시사한다.

영어초록

This study examines whether firms' voluntary disclosures contribute to mitigate the information asymmetry between managers and investors (and/or among investors). In general, voluntary disclosures are expected to decrease the information asymmetry, but investors and regulators concern the credibility of voluntary disclosures. Thus, in order to protect investors by enhancing the credibility of voluntary disclosures, the Korean government enacted a rule to incorporate voluntary disclosures into a part of its regulation system in March, 2000, as a device of timely disclosures ruled by Financial Supervisory Service (FSS) and Korea Exchange (KRX), and the government has been encouraging firms to voluntarily disclose their private information through its regulation system. While disclosures on firm's Investor Relation (IR) are not intervened by any government systems, the false voluntary disclosures on the FSS system can be punished by the government. Unlike mandatory reporting and the disclosures on firm's IR, however, the effect of the voluntary disclosures through the system on the information asymmetry has not been investigated. In order to examine the effect, we use all types of the voluntary disclosures on the system, not just management earnings forecasts. We use the dispersion, the accuracy, and the bias of analysts' earnings forecasts, as proxies for the information asymmetry. The results show that the frequency of the voluntary disclosures through the system is significantly and negatively related to the dispersion of analysts' earnings forecasts, and it is significantly and positively related to the analysts' earnings forecasts error. However, the results show that the frequency is insignificantly (but consistently optimistically) related to analyst forecasts bias (signed error). These results indicate that, unlike the government's intention, it is possible for firms to provide biased information through the system, resulting in analysts' overly optimistic forecasts. Thus, this study implies that the government needs additional efforts to improve the credibility of voluntary disclosures through the system.
