중국 국가지주회사 지배구조와 자본제도 최신 동향 및 입법 과제 (Legal Study on Management Structure of Chinese State Own Holding Company and Capital System)

초록

과거 계획경제시기로부터 사회주의시장경제체제로 전환되면서 중국의 국가지주회사 지배구조와 자본제도는「회사법」이론을 도입하여 제도적으로 많은 발전을 이루었다. 1980년대부터 시작된 대대적인 국유기업의 민영화조치에 따라 중앙정부에 소속된 국가지주회사가 사영기업화하였으며, 초창기 국무원 국유자산감독관리위원회의 출자자직책기업명단에 소속된 189개의 중국 국가지주회사가 중국 국내만이 아닌 전세계를 상대로 장족의 발전을 거듭하여 왔다. 그러나 이러한 많은 발전을 이룬 중국 국가지주회사 또한 경제력의 발전과 맞물리면서 회사운영에 걸맞는 법제도적 발전과제가 새로이 출현하게 되었다. 이에 본 논문에서는 중국 국가지주회사 지배구조에 관한 최신동향과 M&A를 통한 시너지효과 창출로 세계적인 기업으로 급속히 성장하고 있는 중국 국가지주회사의 자본제도상의 주요쟁점이 어떠한 것이 있는지 고찰하고 입법과제를 제시하고자 하였다.
먼저 제2장에서는 중국 국가지주회사 지배구조의 최신동향에 대해 이사의 책임문제, 이사회의 책임문제, 감사회의 책임문제, 외부감사제도로 분류하여 고찰을 하였다. 이사의 책임문제는 합법경영의 문제, 자산보전책임, 이사의 주의의무와 충실의무 등이 있다. 3장은 중국 국가지주회사 자본제도의 최신동향에 대한 내용으로 크게 자금관리시스템 구축 및 예․결산센터모델의 문제와 자본경영 및 재무관리에 대한 신탁대리문제라는 쟁점이 있다. 전자는 다시 국가지주회사 자금관리체제의 확립, 국가지주회사그룹 결산센터 운행 중 존재하는 문제, 기업그룹 결산센터 운행 개선방안문제가 있다. 4장은 입법과제로서 세 가지 쟁점이 있는데 외국 국가지주회사 이사회제도의 중국에 대한 시사점, 소유자 및 경영자 지배구조의 쟁점과 과제, 국가지주회사법의 단행법 제정건의 등의 문제가 있다. 중국 국가지주회사 이사회 지배구조의 개선방향은 적절한 이사회기구 수립, 이사회권한의 구체화, 이사회 운영체제의 규범, 국가지주회사 이사경영책임제도의 개선, 국가지주회사 이사회의 비교고찰의 내용이 있고, 소유자 및 경영자 지배구조의 쟁점과 과제로는 국가지주회사 사외이사제도 개선, 국가지주회사임원 범죄의 관할, 국가지주회사 경영진 보수 장려체제의 개선, 국가지주회사 자본제도 운영의 개선과제, 국유주 지분 비율의 확정문제가 있다. 마지막으로는 단행법 형태로 중국 「국가지주회사법」을 제정하거나 또는 중국 「회사법」내에 국가지주회사 관련규정을 대폭적으로 삽입하여 중국 국가지주회사의 향후 지속적인 발전을 공고히 하는 것이 필요한 것으로 사료된다.

영어초록

The core of the corporate governance is the board of director governance in the state-owned holding company. The purpose that the board of directors sets up is to perfect corporate governance and to balance power mechanism. In this paper, we find out the problems that exist, including organization structure and function. At last, we come up with some positive sugguestions on solving the problems. The governance structure of state-owned enterprise is to be perfected steadily on the basis of summarizing domestic experience and using foreign experience for reference. For example, the legal system of governance is strengthened step by step, and a large part of state-control corporations have established the governance structure of the combination of internal control on the dispersed right and external supervision mechanism. However, it is far from been perfected. For example, the range of the subject of the governance structure of state-owned enterprise provided on the "company law of the People's Republic of China" is too narrow, the board and the supervisory conference system does not march with the governance structure well, and the impellment and constraint mechanism is not effective for the operator. In order to perfect the governance structure of state-owned enterprise, we should start with several following respects. First, improve the board of directors independent director, system of supervisory board; Second, perfect the impellment and constraint mechanism. Third, set up the interplay mechanism of internal governance and external supervision. Forth, pay attention to staff's function in the governance structure of state-owned enterprise. Fifth, take the opportunity of the split-share reform to promote the perfection of governance structure of the listed state-control company.
The key of the financial management by the state as an investor to the state-owned enterprises is to establish and perfect the incentive and supervision mechanisms. The design of incentive and supervision mechanisms should take a defined control or decision-making mechanism as a precondition. Our tentative idea is that inspiring mechanism should include long-term inspiring and short-term inspiring. The long-term inspiring should be coordinated with long-term decisions concerned with the enterprise's long-term interest, and short-term inspiring with short-term decisions concerned with the short-term interest. We argue that the State investor's supervision and restriction mechanism should be taken in a way that integrates usual and periodical supervision. The usual supervision of the State investors may be taken with the appointment system. The appointment system here can be called "the appointment system of financial supervisor". The periodical supervision may adopt the form of periodic audit by social auditing or internal auditing department that is subordinate to the state-holding corporation and is in CEO's charge.
