1. 최신 Memorandum of Understanding
일반적으로 기업을 합병 또는 매입할 때의 매도인과 매수인 사이 또는 증권의 발행회사 및 인수업자 사이에서 일단 합의된 사항을 기재한 문서를 양해각서(MOU)라고 부른다. 법적 구속은 없는 것이 원칙이다.아래 MOU는 기계판매사례이다.
This Memorandum of Understanding(hereinafter referred to as “MOU”) made and entered into March , 20XX by and among Supplier Corp., a corporation duly organized and existing under the laws of the Republic of Korea and having its principal office at 20, ________ Korea, Manufacture Inc., a corporation duly organized and existing under the laws of the Republic of Korea and having its principal office at __________, Korea (hereinafter collectively referred to as “Vendor” and respectively “SC” and “MI” in order) and AS(Pty) Ltd., a corporation duly organized and existing under the laws of (AS의 준거법) having its principal office at (AS의 주소 기재) (hereinafter referred to as “AS”)

The failure of either party to enforce at any time any provision of this Agreement or to require at any time performance by the other party of any of the provisions hereof shall in no way be construed to be a waiver by such party of such provision nor in any way to affect the validity of this Agreement, or any part thereof, or the right of such party thereafter to enforce each and every said provision.
Article 16. Entire Agreement
This Agreement embodies the entire agreement between the parties hereto with respect to the subject matter hereof and there are no prior representations, warranties, or agreements relating thereto and shall not be modified except by an instrument duly signed by the officers of the parties hereto.
