초록

본 연구는 소액주주의 의결권 보호제도가 기업의 배당 및 기업가치에 미치는 영향을 실증적으로 검증함을 목적으로 한다. 소액주주의 대표적인 의결권 보호제도인 집중투표제와 서면투표제는 소액주주들의 적극적이고 원활한 경영참여를 보장하기 위한 제도로 이사선임 및 주주총회에서 소액주주의 의견이 보다 많이 반영되게 함으로써 소액주주의 의결권을 강화시켜주는 권익보호 제도이다. 따라서 본 연구는 소액주주 의결권을 보호하기 위한 집중투표제와 서면투표제가 실제로 소액주주를 위한 제도로 효과가 있는지를 검토함으로써 본 제도의 실효성 및 확대 적용에 대한 최근 논의의 근거자료를 제공하고자 한다. 실증분석결과는 다음과 같다. 첫째, 소액주주 의결권을 강화하는 집중투표제 및 서면투표제를 도입한 기업들의 경우 도입하지 않은 기업들보다 많은 배당을 실시하는 것으로 나타났다. 둘째, 기업가치에 미치는 영향에 대해 분석한 결과 집중투표제 및 서면투표제를 도입한 기업의 기업가치가 보다 높게 나타났다. 셋째, 집중투표제 및 서면투표제를 도입한 기업만을 대상으로 제도도입 전․후를 비교한 결과 동일 기업 내에서도 소액주주의 의결권 보호제도를 도입한 이후 배당 및 기업가치가 높은 것으로 나타났다. 이러한 결과는 기업들이 소액주주의 의결권 보호제도를 도입한 경우 대주주들이 사적으로 유용할 수 있는 현금흐름을 감소시킬 수 있고 궁극적으로 대리인비용의 감소를 통한 성과 개선으로 기업가치가 상승되었음을 의미한다. 본 연구는 소액주주의 의결권 보호제도에 대한 유용성을 검토함으로써 대기업들에 의해 표류하고 있는 소액주주 의결권 보호제도의 의무화에 대한 근거가 될 수 있을 것으로 사료된다.

영어초록

This study stems from the discussion on the Amendments in the Commercial Law that was revised, reinforced, and then pre-announced in July 2013 to prevent the recurrence of corrupt practices by conglomerate owners such as embezzlement and breach of duty. This study aims to empirically verify the effect of the protection of minority shareholders’ voting rights on dividend and company value. The cumulative voting and written ballot system which were adopted to strengthen minority shareholders’ voting rights are systems which help minority shareholders to participate management decisions of director elections and a general meeting of shareholders. In this study, we intend to suggest empirical evidences of systems for minority shareholders’ voting rights by analyzing effects of cumulative voting and written ballot system on dividend and company value. Then we are going to offer base data of recently argument effectiveness and extended application about the cumulative voting and written ballot system.
To this end, we used data between 2001 and 2012 from companies that have cumulative voting and written ballot system in place which were adopted to protect the interests of minority shareholders by strengthening their voting rights.
This study was conducted on the premise that companies introducing the cumulative voting and written ballot systems, which are meant to strengthen minority shareholders’ voting rights, would pay higher dividends and have higher company value. The results are as follows.
First, it was found that companies that have introduced cumulative voting and written ballot system paid more dividend than the ones that have not. Second, in the analysis of the effect of the voting systems on company value, companies that have both systems in place were found to have higher company value. Third, the result of companies which were adopted to cumulative voting and written ballot system is shown that companies paid more dividend and had higher company value following adopting systems.
These results demonstrate that by providing dividends, companies protecting minority shareholders’ voting rights get to have less money that can be misused by major shareholders, the realization of wealth is achieved for shareholders, and ultimately company value is improved by improving business performance through reducing agency costs.
By examining the effectiveness of the protection system, this study is expected to serve as a basis for a mandatory minority shareholders’ voting rights protection system, which has been pending due to the opposition from large corporations.
