전세권의 개정방향- 민법 제317조, 제318조 및 제371조를 중심으로 - (Direction for Revising the Law on Lease on a Deposit Basis- Focusing on Articles 317, 318, and 371 of the Civil Code -)

초록

민법 제317조는 전세권설정자의 전세금반환의무와 전세권자의 전세목적물 인도의무 및 전세권설정등기 말소등기의무를 동시이행관계에 있다고 규정하고 있다. 전세권의 용익물권성을 고려하면 제317조의 규정은 적절하다. 하지만 담보권실행을 위해 경매를 신청하는 경우에 담보권말소등기의무와 피담보채무의 변제가 동시이행관계에 있지 않으므로, 제318조에 전세권자가 전세권설정자의 이행지체를 이유로 경매를 청구할 때에는 제317조이 적용되지 않는다는 규정을 신설하는 것이 바람직하다. 전세권저당권은 전세금반환채권에도 그 효력이 미친다고 보아야 할 것이므로, 2004년 법무부 민법개정안 제371조 제3항과 같이, “전세권을 목적으로 하는 저당권에 있어서 저당권자는 우선변제권의 범위 내에서 전세금반환채권을 직접 청구할 수 있다. 이 경우에는 제353조 제3항을 준용한다”는 규정을 신설하고, 이중변제의 위험이 있는 전세권설정자를 보호하는 규정을 신설하는 것이 바람직하다. 한편 전세금은 전세권설정 당시부터 전세권의 성립요소로 존속하는 것으로 전세권의 존속기간 만료에 따른 대상물이 아니라는 점, 전세권의 존속기간 만료로 인해 저당권자가 물상대위권을 행사하여 전세금반환채권에 대하여 압류 및 추심명령 또는 전부명령을 받더라도 전세권설정자가 전세금을 지급하지 않으면 추심 또는 전부채권자인 저당권자는 전세목적물에 대해 전세권실행을 위한 경매를 통해 채권만족을 얻을 수밖에 없다는 점 등을 고려할 때, 제371조에 전세권저당권자는 채무자가 피담보채무의 변제를 지체한 때에는 부동산경매절차에 따라 전세목적물에 대해 경매를 청구할 수 있다는 규정을 신설하는 것이 타당하다.

영어초록

Article 317 of the Civil Code stipulates that the lessor’s obligation to return the deposit, the lessee’s obligation to deliver the leased property, and the obligation to cancel the registration of the lease are in a simultaneous performance relationship. Considering the nature of a lease as a usufructuary right, this provision is appropriate. However, in cases where an auction is initiated to enforce the security interest, the obligation to cancel the security registration and the payment of the secured debt are not in a simultaneous performance relationship. Therefore, it is desirable to amend Article 318 to include a provision that states Article 317 does not apply when the lessee requests an auction due to the lessor’s default.
Since a mortgage on the lease should also extend its effect to the claim for the return of the deposit, it would be appropriate to introduce a provision similar to Article 371(3) of the 2004 Civil Code Amendment Proposal by the Ministry of Justice: “A mortgagee on a lease is entitled to directly claim the deposit within the scope of the priority right. In this case, Article 353(3) shall apply mutatis mutandis.” Furthermore, a protective provision should be introduced to safeguard the lessor from the risk of double payment.
Meanwhile, considering that the deposit is an essential element of the lease from its inception and not a subject matter that arises upon the expiration of the lease period, and that even if the mortgagee exercises the right of subrogation due to the expiration of the lease period and obtains an order of attachment or assignment against the claim for the return of the deposit, the mortgagee may only satisfy the claim through an auction for the leased property if the lessor fails to pay the deposit, it is reasonable to include a provision in Article 371 that allows the mortgagee of the lease to request an auction for the leased property in accordance with the real estate auction procedure when the debtor delays repayment of the secured debt.
