유한회사제도의 활성화 방안에 대한 재검토 (A Review of ways to revitalize limited liability company system)

초록

본고에서는 한국 상법상의 유한회사제도의 개요 및 독일 유한회사제도의 내용과 일본의 구 유한회사제도와 현행 합동회사제도의 운용현황 등에 대해 정리해보았다. 현정부가 사채발행의 가능성을 포함한 유한회사의 자금조달에 관련된 규제의 완화방안에 대하여 검토 중에 있다고 한다. 이처럼 정부가 유한회사의 자금조달 활성화에 관심을 가지게 된 이유는 경제상황이 점점 악화되는 상황에서 유한회사제도를 이용할 중소기업이나 벤처기업의 육성을 통해 국가경제의 활력을 회복하고자 하는 것으로 보인다.
유한회사의 특성상 중소규모의 기업들이 효율적으로 활용할 만한 제도라고 생각한다.
실제로 독일에서는 유한회사제도가 가장 성공적으로 운용되고 있고, 미국의 LLC도 활발하게 이용되고 있으며, 일본의 합동회사도 활용도가 점점 높아지고 있다. 그런데 현재 한국에서는 유한회사의 이용이 저조한 상황이다. 여러 가지 원인이 있겠지만 본고에서 살펴본 바와 같이, 무엇보다도 한국에서는 유한회사의 사회적 신용도가 주식회사와는 달리 지나치게 낮아서 자금조달기능이 원활하지 못한 점이 유한회사제도의 활용을 가로 막는 가장 큰 장애요인으로 보인다. 따라서 자금조달기능의 확충을 위한 제도개선이 필요하다. 우선 한국 상법상 금지되어 있는 유한회사의 사채발행금지를 완화할수 있는 방안을 생각할 수 있다. 사채발행이 가능해지는 것만으로도 자금조달기능의개선에는 적지 않은 변화가 예상되기 때문이다. 그런데 사채발행의 허용을 위해서는원칙적으로 사채발행의 허용조항을 마련하면 되겠지만, 이에 필요한 법리의 검토에는시간이 다소 필요할 것이다. 무엇보다도 유한회사의 사채발행 허용 필요성의 근거를정당화하는 작업이 필요하다. 사채발행을 허용하지 않으면 안 될 정도로 절박한 상황이라는 것을 소명할 수 있다면, 종래의 법리를 무시하고 이를 수정하더라도 사채발행을 허용하는 입법필요성에 관한 콘센서스가 이루어질 것이고, 자연스럽게 그것을 허용하는 입법을 통해 해결될 수 있다고 생각한다.

영어초록

This paper summarizes the overview of the limited liability company system under the Korean Commercial Law, the contents of the German limited liability company system, the old limited liability company system in Japan, and the operational status of the current the Japanese LLC, called Godokaisya company system. It is said that the Korean government is considering ways to ease regulations related to financing of limited liability companies, including the possibility of issuing bonds. The reason why the Korean government became interested in financing of limited liability companies seems to be to restore the vitality of the national economy by fostering SMEs and venture companies that will use the limited liability company system in the worsening economic situation. In view of the characteristics of limited liability companies, I think it is a system that small and medium-sized companies can use effectively. Indeed, in Germany, the limited liability company system is the most successful operation, the LLC in the United States is actively used, and also the Japanese LLC, called Godokaisya, is also increasingly used. However, in Korea, the utilization rate of the limited liability company system is low. There are various reasons, but as discussed in this paper, the lack of smooth financing functions seems to be the biggest obstacle to the use of the limited liability company system in Korea, because the social credibility of limited liability companies is too low compared to those of stock companies. Therefore, it is necessary to improve the system to expand the financing function of limited liability companies. First of all, there is a need for a way to alleviate the issuance of bonds by limited companies, which are prohibited by the Korean Commercial Law. Just because bonds can be issued is expected to change a lot in improving the financing function. Of course, in order to allow debentures to be issued, in principle, provisions for permitting debentures should be made, but it will take some time to review the necessary legal logic.
Above all, it is necessary to justify the basis for the limited liability company's need to issue bonds. If it is possible to evoke an imminent situation that requires the issuance of bonds, a consensus on legislative necessity to allow the issue of bonds will be made even if the existing laws are ignored and modified. And I think it can be solved through legislation that naturally allows it.
