장래채권 양도담보의 도산절차상 효력 (The Effect of Security Assignment of Future Claims in Insolvency Proceeding)

초록

필자는 이 글에서 장래채권이 담보목적으로 양도되고 대항력도 갖추고 나서 양도인에 대하여 도산절차가 개시되었고, 그 후 실제로 채권이 발생한 경우 그 채권에 양도담보의 효력이 미치는지 검토하였다. 필자의 결론은 다음과 같다.
첫째, 도산재단을 투입하여 장래채권이 발생한 경우, 해당 채권은 양도담보의 목적이 될 수 없다. 모든 일반채권자들의 이익을 위해 사용되어야 할 특별재산인 도산재단을 특정 채권자를 위해 사용해서는 안 되기 때문이다. 장래채권 ‘양도’의 경우, 장래채권에 대한 담보권설정 사실이 등기부에 공시된 경우에도 달리 볼 이유는 없다. 도산재단 보호라는 규범목적은 동일하게 작동하기 때문이다.
둘째, 도산절차 개시 당시 장래채권 양도담보권자가 채무자 소유 물건에 대하여 우선권을 갖고 있고 양도대상 장래채권이 그 물건의 가치변형물에 해당한다면, 장래채권 양도담보의 도산절차상 효력을 긍정해야 한다. 도산절차 개시 당시 담보권자의 합리적 담보기대를 보호할 필요가 있기 때문이다. 채무자회생법상 대체적 환취권 규정은 위 결론을 뒷받침하는 근거가 될 수 있다. 그러나 순환형 채권양도담보의 경우에는 대상의 법리가 적용될 수 없다.
셋째, 도산절차 개시 당시 정지조건부 채권의 실질적 가치가 존재하고 채권양도담보권자도 이에 대한 합리적 기대를 갖고 있는 경우에는, 도산절차 이후 정지조건이 성취되더라도 해당 채권에 양도담보의 효력이 미친다. 그러나 도산재단이 투입됨으로써 정지조건부 채권이 발생하거나, 도산재단에 속하는 재산이 소멸함으로써 비로소 그와 등가관계에 있는 정지조건부 채권의 조건이 성취된 경우에는 양도담보의 효력이 미치지 않는다.

The Effect of Security Assignment of Future Claims in Insolvency Proceeding

This article examines whether the claims acquired after the commencement of insolvency proceeding are subject to the assignee’s security right, when the future claims had been assigned with a certified fixed date for securing assignee’s credits, before the commencement of insolvency proceeding. The conclusions are as follows.
First, the after-acquired claims arising from the insolvency estate are not subject to the assignee’s security right, because the insolvency estate and/or their proceeds, which constitute special assets that ought to be used for the benefit of all non-secured creditors, should not be used for specific creditors. There is no reason to view it differently when security assignment is registered or when future claims are assigned, as the normative purpose of protecting the insolvency estate stays intact.
Second, assignee’s security right over the after-acquired claims should be valid when the assignee has a security right over the insolvency estate and the future claims are the proceeds of that security object. This is for the sake of protecting the reasonable expectation of the creditor with a security right over the insolvency estate. In such a case, the assignee can trace the collateral value of the security object under Article 73 of the Debtor Reorganization and Bankruptcy Act on substitution of reacquisition right. But in case of floating liens of collective receivables, the assignee cannot have a security right over the after-acquired claims, which are not the proceeds of the before-acquired claims.
Third, assignee’s security right over the after-acquired claims are valid even when the claims subject to a condition precedent become mature before the commencement of insolvency proceeding, if the credit with condition precedent has substantive value at the time of commencing insolvency proceeding and the assignee with security right has a reasonable expectation. But the claims subject to a condition precedent are not subject to the assignee’s security right when the condition is fulfilled at the expense of insolvency estate.
