중소기업의 회생절차 이용률 제고 방안 (Measures to improve the availability rate of rehabilitation procedures by small and medium business entrepreneurs)

초록

코로나19로 인한 경영위기하에서 중소기업이 회생절차를 통하여 효율적으로 극복할 필요성이 증대하고 있지만, 중소기업은 경영규모가 작고 자금력과 인력이 부족하여 다음과 같은 난관에 봉착하고 있다.
무엇보다, 중소기업은 조기에 신속하게 회생절차를 신청하기 어렵고, 회생절차를 담당하는 전문법원 상호간의 편차로 인하여 어려움을 겪고 있다. 그리고 기존 경영자를 선임하는 미국식 DIP제도를 도입하고 있지만, 신규 투자자금의 확보와 M&A를 추진하는데 소극적인 경우가 많고, 회생을 위하여 적극 노력한 DIP에 대한 경영권 확보방안이 마련되지 못하고 있다. 조사위원제도는 중소기업에게 과도한 경제적 부담을 지우고 절차의 지연을 초래하는 원인이 되고 있으며, 채권자와의 협력체제가 미흡하여 회생계획안의 가결요건을 충족하지 못하거나 회생계획이 인가되어도 무리한 변제계획으로 이를 수행하지 못하는 사례가 많다. 2011년 도입한 CRO제도는 중소기업에게 많은 도움이 되지만, 운용기준의 부재로 법원 중심으로 위촉되고 그 업무도 대부분 법원과 관리인을 위한 업무에 집중되어 있다. 그리고 중소기업 회생컨설팅제도에 있어서 진행기간이 과도하게 소요되는 문제가 있으며, 기업의 가치평가를 통하여 회생절차 진행 여부를 결정하고 있어 제조업을 영위하는 중소기업에게는 불리하게 작용하고 있다.
이 연구는 이상의 문제점을 해결하고 중소기업이 회생절차를 효율적으로 이용할 수 있는 방안을 다음과 같이 제시한다. 우선, 간이회생절차의 신청자격을 현재 채무액 ‘50억 원 이하’로 제한한 것을 최소 ‘100억 원 이하’로 확대할 필요가 있다. 그리고 서울회생법원의 개정 실무준칙을 기준으로 각 법원간의 실무편차를 출여 나갈 필요가 있으며, 관리인제도를 M&A가 필요한 경우에는 기존의 경영자보다는 전문가를 관리인으로 선임하는 것이 바람직하고, DIP가 회생을 위하여 적극 노력한 경우에는 출자전환한 주식을 인수할 수 있는 방안을 마련하는 등 경영권을 회복할 수 있는 방안을 마련할 필요가 있다. 그리고 조사위원제도는 원칙적으로 조사위원을 선임하지 않도록 하고, 예외적으로 선임하여야 하는 기준을 마련하여야 한다. 관리인 선임과 CRO의 위촉 및 M&A의 추진 등 채권자의 참여를 더욱 확대하는 방안을 마련하여 채권자와의 협조체제를 강화하고, CRO제도는 모든 법원이 전면 시행하도록 하고, 회생절차 신청 전에 중소기업이 CRO를 위촉하여 도움을 받을 수 있도록 할 필요가 있다. 그리고 중소기업 회생컨설팅제도의 계속적인 발전 및 확대를 위해 컨설팅 보고서의 신뢰도 제고 방안을 마련하여야 한다. 계속기업가치가 청산가치를 상회하는 경우에 한하여 절차를 개시하고 유지하도록 한 규정은 제조 중소기업에 불리하게 작용하고 있어 삭제하는 것이 바람직하다.

영어초록

The need for small and medium business entrepreneurs(SMEs) to efficiently overcome the management crisis caused by COVID-19 through rehabilitation procedures is increasing, but SMEs are faced with the following difficulties because of their small management scale and insufficient funds and human resources.
First, SMEs are not able to apply for rehabilitation procedures early and promptly, they have difficulties due to the differences among the specialized courts in charge of rehabilitation procedures. The unreasonable inspection commissioner system imposes an excessive economic burden on SMEs and causes delays in procedures. There are many cases in which requirements for the approval of the rehabilitation plan cannot be met because cooperation system with creditors is not quite satisfactory, or even if the rehabilitation plan is approved, it cannot be carried out on account of an unfeasable repayment plan. The CRO system is very helpful to SMEs, but due to the lack of operational standards, the CRO is appointed mainly by the courts and most of his or her work is concentrated on the work for the courts and administrators. The management consulting system for SMEs has a problem in that it takes an excessive amount of time in the case of career suggestion consulting. Whether or not to proceed with the rehabilitation procedure is decided based on the company's value evaluation, but the value evaluation system can adversely affect SMEs in the manufacturing industry.
This study proposes the measures to solve the above problems and to use the rehabilitation procedure efficiently for SMEs. First, it is necessary to expand the current debt limit of “less than 5 billion won” to at least “less than 10 billion won.” It is necessary to reduce the working-level deviations among courts based on the revised working rules of the Seoul Rehabilitation Court. The custodian system should be improved. If M&A is needed, it is desirable to appoint an expert, rather than an existing manager, as a custodian. Inspection commissioner system should be enhanced. It is needed to establish a standard that to appoint an inspection commissioner should be an exception, not a general rule. And detailed evaluation criteria should be prepared to make sure the evaluation of inspection commissioners is fair. In addition, in the simplified rehabilitation procedure, it is necessary to appropriately adjust the inspection commissioners’ remuneration and inspection period case by case in order to enable the inspection commissioners to conduct an in-depth inspection including a detailed review of poor accounting data. Opportunities for creditors to participate should be expanded. Measures to further expand the participation of creditors should be prepared, such as appointment of a custodian or a CRO, and promotion of M&A. The CRO system should be improved. It should be stipulated that all courts fully implement the CRO system, and the operating standards of this system should be clearly stated in the law, moving away from the court-centered operation. In addition, it is needed to appoint a CRO before applying for rehabilitation procedures so that SMEs can receive help. The SME rehabilitation consulting system should be improved. Measures to enhance the credibility of the consulting report should be prepared for the continuous development and expansion of the SME consulting system. The requirements for abolition of the rehabilitation procedures should be revised. The regulation requiring the commencement and maintenance of procedures only if the going concern value exceeds the liquidating value should be deleted as soon as possible.
