가상자산거래업의 기업집단 지정에 관한 고찰 (A Study on Designation of corporate-group in the Virtual asset trading business)

초록

공정거래위원회는 매년 「독점규제 및 공정거래에 관한 법률」이 정하고 있는 기업집단 지정요건에 새로 해당하는 기업집단(공시대상기업집단 및 상호출자제한기업집단)을 지정한다. 공정거래위원회가 매년 기업집단을 지정하고 지정된 기업집단에게 일정한 의무 및 금지행위 등을 부여하는 이유는 과거 우리나라가 정부 주도의 급속한 경제성장 과정으로 인해 소수 대기업에 대한 각종 특혜와 지원으로 파생된 소위 ‘재벌’의 지배력 확장을 예방하기 위한 목적에서 기인한다. 따라서 공정거래법상 기업집단 지정은 공정거래법의 제정 목적 중 하나인 ‘경제력집중 억제’에 대한 시책을 시행하기 위해 가장 먼저 확정해야 하는 단계로서, 공정거래법이 규정하고 있는 기업집단에 대한 시책의 범위를 확정하기 위한 것이므로 기업들에게도 매우 중요한 규제라 할 수 있다.
공정거래위원회는 2022년 5월 1일 공시대상기업집단(76개) 및 상호출자제한기업집단(47개)을 지정하였다. 이번 공정위의 기업집단 지정은 몇 가지 특징을 가지고 있는데, 그 중 가장 큰 특징은 ‘가상자산 거래 주력집단인 ‘두나무’가 업계 최초로 지정된 것에 있다. 그 이유는 현재 ‘가상자산’과 관련하여 법적·정책적 사항이 미비한 상황에서, 가상자산거래업이 공정거래법상 기업집단 지정대상에 포함되는지 여부와 가상자산거래업의 자산총액 합계액의 산출방법 등과 관련하여 일부 논란이 제기되었기 때문이다. 한편, 가상자산거래업은 향후 가상자산업권법(안)의 입법 추이에 따라 기업집단 지정 여부가 달라질 가능성도 존재한다. 다만, 가상자산거래업자들은 향후 가상자산업권법(안) 등 법률의 제·개정이나 금융위원회의 정책변경 또는 공정거래위원회의 기업집단 지정 여부와 무관하게 ESG Environment, Social and Governance) 경영을 도입하는 차원에서 건전하고 투명한 지배구조를 설립하기 위해 자체적으로 노력할 필요가 제고된다.

영어초록

Every year, the Fair Trade Commission designates corporate-groups that newly meet the requirements for designation of corporate-group stipulated in the 「Monopoly Regulation and Fair Trade Act」. The reason why the Fair Trade Commission designates a business group every year and grants certain obligations and prohibited actions to the designated business group is due to the purpose of preventing the concentration of economic power caused by the rapid economic growth process led by the Korean government in the past. Therefore, the designation of a corporate-group under the Fair Trade Act is the first step to be confirmed in order to implement a policy on ‘concentration of economic power’, which is one of the purposes of the Fair Trade Act. It is a very important regulation for companies as it is for confirmation.
On May 1, 2022, the Fair Trade Commission designated a group of companies subject to disclosure(76) and a group of companies with limitations on cross shareholding(47). The FTC's designation of a corporate-group has several characteristics, the biggest of which is that 'Dunamu', the main group for trading virtual assets, was designated for the first time in the industry. The reason is that there are currently insufficient legal and policy matters regarding 'virtual assets', and there is controversy over whether the virtual asset trading business is included in the target of corporate group designation under the Fair Trade Act and the method of calculating the total amount of assets in the virtual asset trading business. On the other hand, there is a possibility that the virtual asset trading business will be designated as a business group depending on the legislative trend of the Virtual Asset Industry Rights Act (draft) in the future. However, virtual asset traders will conduct ESG (Environment, Social and Governance) management regardless of whether future laws such as the Virtual Asset Industry Rights Act (draft) are enacted or amended, policy changes by the Financial Services Commission, or corporate groups are designated by the Fair Trade Commission. In terms of introduction, the need for self-effort to establish a sound and transparent governance structure increases.
