자본시장법상 신의성실공정의무에 관한 고찰 (A Study on the Duty of Good Faith and Fairness under the Korea’s Financial Investment Services and Capital Markets Act)

초록

자본시장법 제37조의 금융투자업자의 신의성실공정의무(Duty of Good Faith and Fairness)는 1990년 국제증권감독기구(IOSCO: International Organization of Securities Commissions)가 공표한 증권업자의 7대 행위규범 중 제1의 원칙인 성실⋅공정의무를 입법화한 것이라고 할 수 있다. 7대 행위규범은 국제적으로 통용되고 있다. 이러한 면에서 자본시장법상 신의성실공정의무에 관한 규정은 국제적 차원에서 규제⋅감독의 조화를 이룰 수 있다는 데에 적지 아니한 의의가 있다.
국제증권감독기구가 공표한 성실⋅공정의무(honest and fairness)는 미국의 1943년 Hughes 판결과 1949년 Hughes 판결에서 확립된 간판이론과 수탁자이론을 기초로 하고 있다. 다만, 내부자거래에 관한 Chiarella 판결 및 Dirks 판결 이후에는 양 이론은 점차 수탁자이론으로 수렴되고 있다. 이를 토대로 이상에서는 금융투자업자의 신의성실공정의무에 대한 기초법리를 고찰하여 보았다.
전개순서는 Ⅱ. 연혁 및 기초법리, Ⅲ. 외국의 입법례, Ⅳ. 자본시장법상 다른 법리와의 관계, Ⅴ. 구체적 기능 등으로 하였다.
고찰의 결과 우리나라의 경우는 미국과는 달리 현행 법리의 체계상 동 의무에 대하여 독자적인 법리를 적용하고 발전시키기에는 무리가 있다고 판단되었다. 그 이유 중의 하나는 법제 체계가 불문법 국가와 성문법 국가의 차이에서 발생할 수 있는 법률규정의 해석과 적용, 그리고 역사적 경험의 차이에서 오는 것일 수도 있다. 따라서 자본시장법 제37조의 신의성실공정의무 규정이 사문화되는 것을 방지하고 그 기능을 다하기 위하여는 향후 학계에서의 활발한 논의와 합의가 필요하다.

영어초록

In Korea’s Financial Investment Services and Capital Markets Act (Capital Markets Act, 2009), Article 37 stipulates that financial investment services shall fulfill the duty of good faith and fairness, which is the enactment of the first of the international conduct of business principles that IOSCO (The International Organization of Securities Commissions) called upon securities servicing providers to recognize and thus has been adopted throughout the world. From this perspective, one can safely say that the significance of the law lies in that the supervision and regulation of its implementation regarding this duty may be executed more effectively and harmoniously by promoting international cooperation.
The basic concept of the duty of good faith and fairness recommended by IOSCO is borrowed from the two theories that were further established by the rulings that Hughes Tool Company received in 1943 and 1949. Of the two, the beneficiary theory has recently drawn more attention, especially since the Chiarella and Dirks rulings on insider trading. This study reviews the legal principles relating to the duty of good faith and fairness that is called upon for securities servicing providers. Chapter II looks at the historical background and basic legal principles. Chapter III examines related legislation of other countries. Chapter IV discusses what relationship it has with other duties adopted by the law, and Chapter V lists its specific functions.
The study concludes that, unlike the United States, Korea may face difficulties in adopting and developing its own legal principles because of the legal principles that the country now embraces. It also suggests that these difficulties may come from discrepancies in implementation and interpretation between nations with a common law system and with a legislative system and from the differences in historical experiences among different countries. The author adds that to enable the duty of good faith and fairness in Korea’s Capital Markets Act, 2009 perform its function effectively and thus prevent it from becoming obsolete, more discussions are needed in the academic field.
