부동산 중개보수와 공매 대상 부동산 취득의 알선 - 대법원 2021. 7. 29. 선고 2017다243723 판결 - (Real Estate Brokerage Fee Agreement and Mediation on Real Estate of the Public Auction)

초록

중개보수 최고한도 제한 규정을 위반한 약정의 경우, 그 약정 자체가 반사회적인 것으로 해석되지 않는 한 중개보수 최고한도까지는 부분적으로 유효하고 다만 그 최고한도를 초과하는 부분만 무효로 해석하는 것은 타당하다고 생각한다. 입법론적으로 공인중개사법에서도 이자제한법 제2조 제3항과 같이, “중개보수 최고한도를 초과하는 부분은 무효로 한다.”고 입법하여 중개보수 최고한도를 위반한 약정의 효력을 명확히 할 수 있을 것이다. 부당이득반환청구권과 불법행위로 인한 손해배상청구권은 서로 별개의 청구권으로서, 중개보수 최고한도를 초과한 금품에 대하여 부당이득반환청구권이 있다고 해서 그것만으로 불법행위의 성립이 방해되지는 않는다고 할 것이다.
「매수신청대리인 등록 예규」 보수표를 살펴보면, 경매 대상 부동산의 상담 및 권리분석과 매수신청대리에 관한 보수는 그 보수표에 정해져 있지만, 알선에 대한 보수는 정해져 있지 않다. 따라서 경매 대상 부동산의 알선은 공인중개법상 중개에 해당하는 것으로서 그에 대한 보수는 중개보수 제한 규정의 적용을 받는다고 본다.
그러나 공매의 경우, 경매처럼 매수신청대리인 등록에 관한 규정이나 공매 대상 부동산의 권리분석 및 취득의 알선이나 매수신청대리의 업무에 대한 보수 제한 규정이 없다. 공매 대상 부동산 취득의 알선은 경매 대상 부동산 취득의 알선이나 매매를 알선하는 것과 그 행위적 측면에서 차이가 없다고 본다. 그래서 경매나 공매 대상 부동산의 알선은 공인중개사법상 중개에 해당하고 중개보수 제한 규정의 적용을 받는다고 할 것이다.

영어초록

The purpose of LICENSED REAL ESTATE AGENTS ACT is to prescribe the business affairs of licensed real estate agents in order to enhance the expertise of licensed real estate agents and foster the real estate brokerage business in a sound manner, thereby contributing to the national economy. The term brokerage means mediation of sale, exchange, lease, and other gain, loss and transfer of titles between parties to a transaction concerning the objects of brokerage.
A practicing licensed real estate agent is entitled to receive from clients, fixed compensation concerning brokerage business: Provided, That the same shall not apply where a transaction between clients is invalidated, rescinded, or canceled by his/her intention or negligence. Matters necessary for the limit, etc. on the compensation for brokerage of a house (including its appertinent land; hereafter in this paragraph the same shall apply) and the actual expense prescribed in paragraph (2) shall be prescribed by Municipal Ordinance of the Special Metropolitan City, Metropolitan City, Do or Special Self-Governing Province (hereinafter referred to as "City/Do") within the range prescribed by Ordinance of the Ministry of Land, Infrastructure and Transport; and the commission of brokerage of an object other than a house, by Ordinance of the Ministry of Land, Infrastructure and Transport.
In the case of a contract that violates the limit on the maximum limit of brokerage fees, unless the contract itself is interpreted as anti-social, it is partially valid up to the maximum limit of brokerage fees, but only the portion exceeding the maximum limit is considered valid. There are no regulations on the registration of a purchase application agent or restrictions on remuneration for the work of an agent for purchase application or for mediation of right analysis and acquisition of real estate subject to public sale. Mediation for the acquisition of real estate subject to a public sale is considered to be no different from mediation for the acquisition or sale of real estate subject to auction in terms of its behavior. Therefore, mediation of real estate subject to auction or public sale falls under the Real Estate Brokerage Act and is subject to restrictions on brokerage fees.
