숙박공유 플랫폼 약관의 불공정성 - 에어비앤비(Airbnb) 이용약관을 중심으로 - (Unfairness of the Terms and Conditions of the Accommodation Sharing Platform - Based on the terms and conditions of Airbnb -)

초록

공정거래위원회는 에어비앤비의 약관 중 ‘엄격 환불조항’과 ‘수수료 환불조항’에 대해 약관규제법상 불공정한 조항이라고 판단하였다. ‘엄격 환불조항’의 경우 ‘손해배상액 예정’의 일종으로서 고객에게 부당하게 과중한 손해배상 의무를 부담시키는 약관 조항으로 약관규제법 제8조에 해당하여 무효로 보았다. 숙박 예약 취소시 서비스 수수료의 환불이 되지 않도록 규정하고 있는 ‘수수료 환불조항’에 대해서는 계약의 해제로 인한 사업자의 원상회복의무를 부당하게 경감하는 약관조항으로 약관규제법 제9조 제5호에 의해 무효로 보았다.
약관규제법은 적용 가능성과 관련하여 국제사법에 의할 때 소비자계약일 경우 준거법을 선택했다고 하더라도 대한민국 소비자는 우리나라의 강행규정에 의하여 부여되는 보호를 누릴 수 있다. 에어비앤비 약관은 소비자 계약에 적용되는 것이므로 여기에는 약관규제법이 적용 될 수 있다. 약관규제법 적용시에 에어비앤비의 약관에는 편입통제, 해석통제, 내용통제의 3단계 통제 중 내용통제가 주로 문제된다. 내용통제는 기본적으로 이익형량에 기초하고, 동종의 계약이나 법률관계에 적용되는 임의규정이 있다면 그 규정이 이익형량에 고려되는 중요한 요소가 될 수 있다. ‘엄격 환불조항’의 경우에는 소비자 분쟁해결 기준이 비록 임의규정은 아니지만 이익형량의 한 요소로 고려될 수 있는데 이와 비교해 볼 때 ‘엄격 환불조항’은 소비자에게 과도한 부담을 주고 있다. ‘수수료 환불조항’도 사용일 이전에 계약이 취소되면서 에어비앤비가 의무 면제 받는 부분에 대한 고려 없이 일률적으로 수수료 반환을 부정하고 있으므로 불공정한 조항으로 보아야 한다.
한편 EU위원회에서는 에어비앤비 약관 중 재판관할, 계약해지 후 약관의 효력, 약관의 일방적 개정, 일방적 계약 해지 및 효력 유무 등에 관한 사항을 불공정하다고 보아 시정요구를 하였다. 에어비앤비는 EU위원회에서 불공정하다라고 지적되었던 사항을 국내에서 사용되는 약관에는 일부 반영하였지만 아직까지도 불공정성의 우려가 있는 조항을 다수 사용하고 있어 이에 대한 개정 노력이 필요하다.

영어초록

The Fair Trade Commission determined that Airbnb's terms and conditions were unfair under the Terms and Conditions Control Act for 'strict refund clause' and 'charge refund clause'. ‘The strict refund clause’ was regarded as invalid in accordance with Article 8 of the Act on Regulation of Terms and Conditions, which is a type of 'scheduled damage compensation' that bears undue liability to customers. As for the "refund clause" that stipulates that the cancellation of accommodation reservation does not constitute a refund of the service fee, it was deemed invalid by Article 9 no.5 of the Act on the Regulation of Terms and Conditions, which unfairly mitigates the operator's obligation to restore its original status due to the termination of the contract.
In relation to the applicability of the Agreement Control Act, consumers in Korea can enjoy the protection granted under the Korean imperative provision, even if they chose the law as the law of compliance for consumer contracts under private international law. The Airbnb Terms and Conditions apply to consumer contracts, so the Terms and Conditions Control Act may apply. Content control is mainly problematic among the three stages of control of inclusion, interpretation and content control in the terms and conditions of Airbnb when the Terms and Conditions Control Act is applied. Content control is basically based on the form of profit, and if there are voluntary law that apply to the same kind of contract or legal relationship, those provisions may be an important factor considered in the form of profit. In the case of a "strict refund clause," consumer dispute settlement criteria can be considered as a factor in the form of profit by comparison a "strict refund clause" imposes an excessive burden on consumers. Fee refund clause should also be regarded as an unfair clause because it denies the return of the fee uniformly without consideration of the part where Airbnb is exempted from obligation as the contract is cancelled before the date of use.
Meanwhile, the EU Commission made a request for correction as it considers unfair matters concerning the judge of Airbnb's terms and conditions, the validity of the terms and conditions after the contract was signed, the unilateral revision of the terms and conditions, and the cancellation and validity of the contract. Although Airbnb partially reflected what it described as unfair in the EU Commission, it still uses a number of clauses that are feared to be unfair in the country, and efforts to revise them are needed.
