중국 파산절차 중 미도래 부동산임대계약의 처분에 관한 고찰 (A study on the Disposition of Unexpired Real Estate Lease Contracts During Bankruptcy Procedures in China)

초록

중국은 2006년 「기업파산법(企业破产法, Enterprise Bankruptcy Law)」을 제정하고, 이와 관련한 사법해석을 차례로 정비하였다. 하지만, 부동산임대차계약과 관련하여 임차인을 보호함에 있어 여전히 어려움이 있다. 즉, 현행법 상 부동산임대차계약 진행 중 임대인이 파산한 경우 「기업파산법」 제18조의 규정에 따라 파산관재인(bankruptcy administrator)에 의해 계약을 해지할 수 있게 됨으로써 임차인의 권리가 침해될 수 있다. 물론, 파산관재인의 판단에 따라 임대차계약을 유지할 수도 있지만, 대부분의 사례에서 파산절차 중 채권자의 이익을 위해 임대차계약을 해지하는 경우가 많아 임차인을 보호하기 어려운 것이 사실이다.
이러한 문제는 부동산임대업을 법인단위로 진행하고 있는 경우, 예를 들어, 임대아파트를 건설하여 임대사업을 하는 사업자의 파산으로 파산관재인이 임차인을 선별하여 계약을 해지하는 경우에는 임차인의 거주생존권(the right to live in a house)에 영향을 주게 되어 사회·경제적 질서를 불안전하게 한다. 그러므로 파산절차에 들어간 목적 부동산에 대하여 「기업파산법」 제18조에서 규정하는 파산관재인(trustee in bankruptcy)의 선별이행권(挑拣履行权, cherry-picking)을 이론 및 실무에서 다시 검토함으로써 해결방안을 모색할 필요가 있다.
이에 본 연구는 중국의 주택임대차계약과 파산관재인의 계약해지권 간 충돌에 따른 임차인 권리보호 규정을 분석한다. 이를 위해 최근 중국에서 파산절차 중 미도래 부동산임대차계약의 처분에 대한 학계의 이론과 사례를 분석하고, 법률적용에 있어 문제점과 해결방안을 검토한다. 이는 지속적으로 발전하고 있는 중국의 부동산임대산업의 건전성과 안전성을 확보하는데 매우 중요한 밑거름이 될 것이라 본다.

영어초록

China enacted Enterprise Bankruptcy Law in 2006 and revised its judicial interpretation one after another. However, protecting the lessee in the real estate lease contract is not easy in accordance of the current law. In other words, if the lessor goes bankrupt while the real estate lease contract is in progress, the bankruptcy administrator can terminate the contract in accordance with the provisions of Article 18 of the Corporate Bankruptcy Act. As a result, the rights of the lessee can be infringed. This is because that the lease contract can be maintained by the judgment of the bankruptcy administrator, but the contract is often terminated for the benefit of creditors during bankruptcy procedures.
This problem arises when a corporation engages in the real estate leasing business. For example, that the bankruptcy administrator selects a lessee and terminates the contract due to the bankruptcy of a rental business operator that builds rental apartments affects the right to live in a house of the lessee, which causes to unsettle the social and economic order. Therefore, it is necessary to seek a solution by reexamining the cherry-picking of the bankruptcy administrator stipulated in Article 18 of the Corporate Bankruptcy Act from the perspective of theory and practice for real estate in the bankruptcy procedures.
Accordingly, this study reviews the provisions for protecting tenant rights due to the conflict of the selective right of performance in both the housing lease contract and bankruptcy procedure in China. The study analyzes the recent case of disposal of unexpired real estate lease contracts during bankruptcy procedures in China and examines the problems and solutions in the application of the law. This will be a very important foundation of the study for securing the soundness and safety of China's continuous development of the real estate rental industry.
