일반음식점영업 신고 및 영업양도에 따른 지위승계 신고의 법적 성질과 요건 - 대상판결: 대법원 2020. 3. 26. 선고 2019두38830 판결 - (Legal nature and requirements for the general restaurant business report and the status succession report based on business transfer)

초록

종래 신고의 유형 구분과 그 중 ‘수리를 요하는 신고’의 법적 성질을 둘러싸고 학계와 실무계에서 많은 논의가 이루어져 왔다. 그리고 이제는 「행정기본법」 제34조를 통하여 일정한 경우수리를 요하는 신고의 법적 근거가 갖추어지게 됨에 따라 수리를 요하는 신고를 둘러싼 법적논쟁을 해소할 기반을 마련하였다고 할 수 있다.
그런데 ‘신고제 합리화 사업’에 따라서 현재 상당수의 법률에서 수리 여부 통지 규정과 수리간주 규정을 두고 있으나, 이것이 「행정기본법」 제34조에서 예정하고 있는 ‘법률에 신고의 수리가 필요하다고 명시되어 있는 경우’에 해당할 것인지에 대해서는 단정하기 어렵다. 「행정기본법」 제34조의 적용범위는 결국 추후 법원의 판단을 통하여 확정될 수 있을 것으로 여겨진다.
다만, 수리 여부 통지 규정과 수리 간주 규정을 명시적으로 ‘… 신고를 받은 경우 그 내용을검토하여 이 법에 적합하면 신고를 수리하여야 한다.’라고 규정하고 있는 경우와 동일하게 평가할 수는 없을 것으로 생각된다. 따라서 수리 여부 통지 규정과 수리 간주 규정이 있는 경우에도그 자체만으로 당연히 수리를 요하는 신고로 파악할 수는 없으며, 해당 규정이 있는 경우에는수리를 요하는 신고로 추정할 수 있을 뿐이라 할 것이다.
대상판결(대법원 2020. 3. 26. 선고 2019두38830 판결)은 일반음식점영업의 영업양도에 따른지위승계 신고 수리에 대해서 지위승계 신고를 수리를 요하는 신고로 보는 전제 하에 지위승계신고에 대한 수리를 영업양도인에 대한 허가취소 및 영업양수인에 대한 신규허가라는 형성적행위로서의 성질을 지니는 것으로 파악하고 있다. 다만 영업양도의 대상이 되는 일반음식점영업신고는 비록 수리 여부 통지 규정과 수리 간주 규정이 있음에도 불구하고 자기완결적 신고로파악하여야 할 것으로 생각된다. 영업자 지위승계 신고는 외견상 구조적으로 일반음식점영업 신고와 유사한 것으로 여겨지나, 그에 대한 실질적 통제의 필요성이 인정되므로 이는 판례의태도와 같이 수리를 요하는 신고로 볼 수 있을 것이다.
또한 영업양도에 따른 영업자 지위승계에 있어 영업양도인의 영업신고 이후 법령의 개정에따라서 중요사항 변경신고 의무가 새롭게 추가되었을 때, 양수인에게 그와 같은 신고의무의 이행이 요구되는지 여부가 문제된다. 이와 관련하여 침익적 행정규정 엄격해석의 원칙에 위배되는지 여부가 문제되었는데, 대상판결은 영업신고의 요건 구비는 신고인인 영업양수인을 기준으로파악하여야 한다고 판시하였다. 이와 같은 대상판결의 태도는 타당한 것으로 판단된다.

영어초록

There has been a lot of discussion in the academic and practical circles regarding the classification of the types of reports and the legal nature of the ‘report requiring acceptance’. And now, through Article 34 of the 「General Act On Public Administration」, the legal basis for a report requiring acceptance has been prepared in certain cases.
Accordingly, it can be said that the basis has been laid for resolving legal disputes over reports requiring acceptance.
In accordance with the ‘Report System Rationalization Project’, a significant number of statutes currently have regulations for notification of whether or not to accept and regulations for considering acceptance. However, it is difficult to conclude whether this will fall under the ‘case where a statute expressly provides that report requires acceptance’ as stipulated in Article 34 of the 「General Act On Public Administration」.
It is considered that the scope of application of Article 34 of the 「General Act On Public Administration」 can be finally determined through the judgment of the court in the future. However, it is thought that the regulations for notification of whether or not to accept and the regulations for considering acceptance cannot be evaluated in the same way as in the case where it is explicitly stipulated as ‘… Where a report is received, the details thereof shall be reviewed and the report shall be accepted if it complies with this Act.’ Therefore, even if there are regulations for notification of whether or not to accept and regulations for considering acceptance, it cannot be understood as a report requiring acceptance by itself. If there are such provisions, it can only be presumed to be a report requiring repair.
Under the premise that the report of status succession following the business transfer of general restaurant business is regarded as a report requiring acceptance, the target judgment(Supreme Court Decision 2019Du38830 Decided March 26, 2020) understands that the acceptance of the status succession report has the nature of a formative act of revocation of the license to the business transferor and new permission to the business transferee. However, it is thought that the general restaurant business report subject to business transfer should be understood as a self-satisfying report, even though there are regulations for notification of whether or not to accept and regulations for considering acceptance. The report on succession of business operator status is structurally similar to the general restaurant business report on the surface, but since the need for practical control is recognized, it can be viewed as a report requiring acceptance as in precedents.
In addition, in the succession of business operator status following business transfer, when a duty to report important changes is newly added in accordance with the amendment of the statute after the business transferor's business report, it is questionable whether the transferee is required to fulfill such reporting obligation. In this regard, there was a question as to whether or not the principle of strict interpretation of intrusive administrative regulations was violated. The target judgment ruled that the fulfillment of the requirements for a business report should be identified based on the business transferee who is the reporting person. Such an attitude of the target judgment is judged to be reasonable.
