금융회사 대주주 적격성 규제에 대한 소고 (Fit and Proper Regulation on Controlling Shareholders of Financial Companies)

초록

지난 10년간 대주주의 불법행위와 부도덕한 경영과 관련된 금융사고가 다수 발생하였다. 저축은행사태, 동양그룹사태, 라임자산운용과 옵티머스자산운용의 사모펀드사태가대표적이다. 이들 금융사고는 해당 금융회사의 부실화뿐만 아니라 금융소비자 피해를 크게 가져왔다. 이 논문은 대주주의 부정행위를 방지하고 부적격 대주주가 금융회사를 경영하는 것을 방지하기 위한 현행의 대주주 규제가 적절한지 분석하고 그 개선방안을 제시하고자 한다.
Ⅱ.는 금융회사 소유규제의 내용을 분석한다. Ⅲ.은 대주주 진입규제로서 금융회사 설립시 적격성 심사내용, 대주주 변경승인 제도, 주기적 대주주 적격성 심사 제도를 분석하였다. 이에 기초하여 Ⅳ.는 금융회사 대주주 적격성 규제의 입법적 개선방안을 제시하였다.
현행 대주주 적격성 규제를 보완하기 위해서는 대주주 적격성 심사대상에 대한 일관성을 확보하여야 한다. 그리고 대주주 적격성 유지심사대상을 확대할 필요성이 있다. 또한 대주주 적격성 규제의 실효성을 확보하기 위해서는 주식처분명령제도의 보완이 필요하다.
전문사모집합투자업자인 자산운용사에 대한 대주주 규제는 강화할 필요가 있다. 대주주의 규제는 주주권을 제한하고 주주의 재산권을 침해하는 것이므로 명확한 기준을 법률에서 정할 필요가 있다. 이러한 방안을 통해 건전한 금융질서와 금융회사의 경영건전성을 확보함으로써 금융소비자의 피해를 방지하는 적절한 대주주 규제제도를 마련하여야 할 것이다.

영어초록

In the past 10 years, there have been a number of financial accidents related to illegal acts and immoral management of controlling shareholders. Examples include the savings bank crisis, the Dongyang group crisis, and the private equity crisis of Lime Asset Management and Optimus Asset Management. These financial accidents not only caused the financial company to become insolvent, but also caused great damage to financial consumers. This thesis aims to analyze whether the current regulations on controlling shareholders are appropriate to prevent fraudulent behavior by them and to prevent ineligible controlling shareholders from managing financial companies, and to present improvement measures.
II. analyzes the financial company ownership regulations. III. analyzes controlling shareholders fit and proper test when establishing a financial company, examines the approval system for controlling shareholders changes, and analyzes the periodic controlling shareholder eligibility screening system. Based on theses analysis, IV. proposes the improvement measures for fit and proper regulation on controlling shareholders of financial companies.In order to improve the current fit and proper regulations on controlling shareholders, it is necessary to ensure consistency in the subject of eligibility for controlling shareholders.There is a need to expand the scope of shareholders who are subject to fit and proper test as controlling shareholders. In addition, the stock disposal order system needs to be supplemented in order to secure the effectiveness of the controlling shareholder fit and proper regulation. It is necessary to strengthen regulations on controlling shareholders for asset management companies, which are specialized private equity funds. Since the regulation on controlling shareholders restricts shareholder rights and infringes on the property rights of shareholders, it is necessary to establish clear standards in the law. Through these measures, it is necessary to establish an appropriate controlling shareholder regulatory system to prevent damage to financial consumers by securing a sound financial order and management soundness of financial companies.
