공기업의 지배구조와 운영에 관한 비교법적 검토 : 미국의 연방 공기업 법제 (The Law and the Governance of the Government Corporations in the United States from the Korea-U.S. Comparative Perspectives)

초록

미국은 전통적으로 자유시장경제와 사기업체계를 근간으로 하여 경제에서 공기업이 차지하는 비중과 역할이 상대적으로 크지 않다. 미국의 공기업은 경제위기 등의 특수한 시대상황에서 특정 목적을 위해 설립되어 목적달성 후해체된 경우가 많으나, 일부 공공성이 강한 영역에서는 지속적으로 고유의 역할을 담당하고 있다. 미국의 공기업을규율하는 일반법은 10개조로 이루어진 연방법률인 공기업관리법(Government Corporation Control Act)이다. 공기업관리법은 그 적용대상인 공기업을 열거하고 있으며, 각각의 공기업의 설립을 개별 법률에 근거하도록 하고, 공기업에 대한 관리와 통제를 규정하고 있다. 미국의 공기업은예산, 자금, 감사 등의 영역에서 공법적 통제를 받으나 이와 같은 통제도 자율경영의 기조에서 의회와 정부의 사후적 통제 위주로 이루어진다. 미국의 공기업 법제는 효율을강조하면서도 공적 성격을 추구하는 제도적 특성에서 점진적으로 자율성을 강조해 가는 우리 공기업 체계와 법제의개선 노력에 의미 있는 시사점을 제공한다.
미국의 공기업 법제 및 현황은 특히 정부역할의 일부를민간으로 이양하는 경우 조직관리의 변화 및 자산가치의증대를 위해 공기업화의 과정을 거치는 것이 효과적 방안이 될 수 있음을 시사하는 바, 공기업이 행정부의 비효율성을 극복하는 대안이 될 수 있으며 투자결정과 지배구조설정에 정치논리의 개입을 차단하여 수익률을 제고할여지가 있음을 보여준다. 공익성이 높으나 위험의 평가가곤란하여 민간금융기관만의 참여를 유도할 수 없는 경우정부의 정책금융수단을 통해 목적을 달성할 수 있고, 적자규모를 증대시키지 않으면서 자금을 차입할 수 있어 예산지출이 용이해질 수 있다. 이에 공기업이 공법적 요건과정부의 관리⋅통제에 따라 건전한 지배구조와 재무상태를유지할 수 있다면 선출직 공무원들의 공공정책 목표 구현을 위한 창조적 수단이 될 수 있음을 시사한다. 공기업은대체로 상하수도와 통신 등 시민의 일상생활과 밀접하게관련된 영역에서 설립되고 운영된다는 점에서, 공기업의합리적이고 적절한 운영은 시민의 복리증진에 직결되는 한편, 운영실패의 결과 역시 시민에게 심대한 불편과 부담으로 전가된다. 설립목적에 따른 적정한 운용을 위해 필요한경영의 자율성, 효율성과 책임성 간의 적절한 균형점에서공기업에 대한 감독과 통제를 포함한 공기업 제도의 합리화가 이루어져야 한다.

영어초록

The economic and corporate structure of the United States has traditionally been founded upon the principle of free market economy and the private companies, and the roles assumed by the government corporations or public enterprises in the U.S. economy have been relatively limited. The government corporations in the United States were mostly established in extraordinary political-economic situations such as economic depression or war for specific public purposes and then disassembled upon the achievement of such designated purposes. Yet, in certain areas of strong public concern and interest, some government corporations and public enterprises have assumed their idiosyncratic functions. The general law regulating the government corporations in the United States is the federal statute of the Government Corporation Control Act. The Government Corporation Control Act lists each of the government corporations with the mandate that each government corporation should be established by the statute, and sets forth regulations and control applicable to the government corporations. As such, the government corporations of the United States are regulated and controlled by public law in terms of, inter alia, budget, accounting and audit; such control, however, is primarily autonomous and a posteriori control. From the comparative perspectives, the law and the system of governance of government corporations of the United States have certain meaningful legal and policy implications for the effort to gradually and incrementally bring more autonomy into the corporate governance and the relevant laws applicable to the government corporations and public enterprises of Korea while compromising neither public cause nor effectiveness.
The relevant experiences of the United States indicate that the government corporations could be effective intermediaries in the effort to transfer certain of government roles to the private sector for the change of organization management and the increase of asset value, with the potential increase of the rate of return by blocking the intervention of political logic in the decisions pertaining to the investment and the corporate governance. When it is not possible to finance only by the participation of private financial institutions due to the difficulty in risk analysis notwithstanding the strong public interest, government corporations may enable the achievement of the public cause through policy loans or guidance policy finance, and may ease budgetary appropriations through loans without exacerbating the deficit. As such, should government corporations maintain sound governance and financial structure in pursuance of the requirements under the applicable public law and the management and the control of the government, the government corporations may serve as the creative means of implementing public policy goals for and by the elected public officials. As many of government corporations are established and operated in the areas closely related to the everyday civic life of the citizens such as water supply and communication, proper and reasonable operation of the government corporations has a direct corelation with the welfare of the citizens, while, at the same time, the failure thereof might also adversely affect the citizens as palpable difficulty and burden. The law and the system of the government corporation encompassing those of the management and the control should be rationalized in the direction and at the point balancing autonomy, efficiency and responsibility required for proper operation of the government corporation under the objectives of the establishment and the system as a whole of the government corporation.
