초록

오늘날 우리나라는 세계 무역 7대국의 위상을 과시하고 있다. 국제거래가 빈번하게 이루어지면서 그에 특유한 보증, 운송, 보험 등이 발달하였다. 국제거래는 국가별로 환경이나 거래 관행이 달라서 물품을 공급하고 대금을 제때에 회수하는 것이 복잡하고 어렵다. 국제거래에 있어서 당사자들은 불확실성을 제거하기 위하여, 도급인이 수급인에게 계약이행에 대한 보장수단으로 요구하는 것이 독립적 보증(independent guarantees)이다. 즉 국제거래에서 대금지급과 보증수단으로 사용하고 있는 것이 신용장과 독립적 보증인데, 이들은 원인거래(underlying transaction)에 따른 약정에 의하여 발생된다. 독립적 은행보증서는 수익자인 채권자가 지급 요청을 하면 원인거래와는 독립적이며, 무조건적으로 지급해야 하는 특성을 지님으로써 강력한 담보제도로서 역할을 하고 있다. 독립적 보증은 제출된 서류가 중요하기 때문에 수익자는 은행에 제출하는 서류에 대하여 사소한 부분까지 점검하는 치밀한 노력이 필요하다. 국제거래에 있어 독립적 보증의 이용은 나날이 증대되고 있는데, 그에 따른 당사자간의 계약분쟁도 늘어가고 있는 추세이다. 독립적 보증에 대한 올바른 이해를 통하여 국제거래에 대한 특수성을 인식하고 이에 대한 대비를 하여야 한다.

영어초록

This article focuses on the Independent Guarantees in International Transactions. At present, the use of independent guarantee is widespread and the total volume has expanded dramatically. An Independent Guarantee is provided as an security on a principal obligor’s performance of obligation, and a guarantor should pay the guaranteed amount only upon a beneficiary’s written demand. Today, Korea is proudly named one of the seven international trading powers in the world. With active international transactions, the guarantees, transportation, and insurance have developed. In international transactions, it is difficult and complicated to supply goods and collect the payments on time as each country has unique environment and transaction policies. To eliminate the insecurity issues in international transactions, the buyer demands the provider to provide independent guarantees to guarantee the performance of contract. Letter of credit and independent guarantees are used to make payments and provide guarantees in international transactions, and they are generated by the terms and conditions of underlying transaction. Independent bank guarantees work as a powerful security system as the payment should be paid independently from the underlying transaction and unconditionally when requested by the creditor, which is the beneficiary. As the documents submitted are important for independent guarantees, the beneficiary should carefully check all the details of the documents submitted to the bank. The use of international guarantees is increasing in international transactions, and the disputes between the parties are also increasing. It is necessary to understand and prepare for the special characters of international transactions based on correct understanding of independent guarantees.
