This Supply Agreement (the ""Agreement") is made and entered into this day of by and between , a corporation organized and existing under the laws of having its registered office at ("Purchas- er") and , a corporation organized and existing under the laws of the Republic of Korea having its registered office at ("Supplier").

WHEREAS, Supplier possesses technical information and manufacturing skills with respect to ; and

respect to itself or any of its properties or assets on the grounds of sovereignty or otherwise under any law or in any jurisdiction where an action may be brought for the enforcement of any of the obligations arising under or relating to this Agreement or the Notes. To the extent that Purchaser or any of its properties or assets has or hereafter may acquire any right to immunity from set- off, legal proceedings, attachment prior to judgment, other attachment or execution of judgment on the grounds of sovereignty or otherwise, Purchaser for itself and its properties and other assets hereby irrevocably waives such right to immunity in respect of its obligations arising under this agreement, the Notes and all documents executed in connection herewith.
