LMX theory has two aspects of describing leadership and prescribing leadership. The dyadic relationship is central concept of these. Descriptively, LMX theory poses that recognizing the existence of in-groups and out-groups within a group or an organization is important. A leader can accomplish more work effectively by working with an in-group.

LMX theory has some restrictions. First, on the surface, leader-member exchange in its earliest formulation runs counter to the basic human value of fairness. Even though it is uncertain where LMX theory actually create the unfair, this theory appears unfair and discriminatory. This theory does not claim other fairness issue, such as followers’ perceptions of the fairness of pay increases and promotion opportunities, decision-making rules, or communication of issues within the organization. In other words, this theory does not address distributive justice, procedural justice, and international justice.
