한국어 초록
미국은 1999년 일명 그램-리치-블라일리 법(GLBA)이라고 하는 금융서비스현대화법을 제정하였다. GLBA는 종전에 은행과 증권회사간의 계열관계 형성 및 임직원의 상호겸직을 원칙적으로 금지
하던 글래스-스티걸 법(GSA) 제20조와 제32조를 폐지하여, 은행⋅증권회사⋅보험회사 및 기타 금
융업을 영위하는 회사를 자회사로 모두 포괄하는 금융지주회사의 설립을 허용하고 있다.
우량 은행지주회사들은 일정한 전환요건을 갖추어 FRB의 승인에 의해 금융지주회사로 전환함
으로써, GLBA가 추가적으로 허용하고 있는 포괄적 금융업무를 영위할 수 있게 된다. 이때, FRB는
은행지주회사의 예금기관자회사 전부가 자기자본이 충실하고, 경영실태가 우량하며, 지역재투자법
(CRA)에 의한 최근 조사에서 반드시 ‘satisfactory’ 이상의 등급을 받은 경우에만 금융지주회사로
전환을 허가하고 있다.
GLBA는 금융지주회사를 도입하면서 기능별 규제의 개념을 도입하였다. FRB를 금융지주회사의
포괄적 감독기관으로서 금융지주회사 전반에 대한 감독 권한을 행사하게 하는 반면, 자회사들의
업무행위에 따라 은행, 증권, 보험업에 대해서는 각각 통화감독청(OCC), 증권거래위원회(SEC) 및
주 보험국(state insurance authority) 등이 전문성에 기반을 두고 감독기능을 담당하도록 하였다.
따라서 미국의 금융지주회사는 그 자회사의 기능에 따라 기능별로 해당 감독기관의 규제를 받게된다. 또한 미국 금융지주회사는 힘의 원천이론, 적기시정조치, 상호보증 등 통합규제의 법리 하에
서 은행자회사의 부실에 대한 책임을 함께 부담하고 있다. 이러한 통합규제의 법리는 미국 연방법
원에서 일관되게 지지되고 있으며, 제정법상으로도 여러 규정에서 구체적으로 표현되어 있다.
미국 금융지주회사에 적용되는 통합규제의 법리가 우리나라 법제에 도입되어 있는지에 대해서
는 견해의 대립이 있으나, 일반적으로 힘의 원천이론 및 적기시정조치에 의한 통합규제 법리는
도입되어 있다고 보는 견해가 다수이다. 그리고, 우리나라도 최근 겸업화 및 대형화를 통한 금융산
업의 경쟁력 확보를 위해 금융지주회사법에 대한 개정이 이루어졌고, 개정된 법에서는 금융지주회
사를 은행지주회사와 비은행지주회사(보험지주회사, 금융투자지주회사)로 구분하고, 은행을 포함
하고 있지 아니한 비은행지주회사의 경우에는 비금융자회사를 소유할 수 있도록 규제를 완화하는
등 유형에 따라 위험에 상응하는 차등 규제를 시도하고 있다.
하지만, 금융지주회사의 건전한 발전과 위험 전이를 적극적으로 차단하기 위해서는 내부거래에
대한 포괄규정 및 자회사간 고객정보 공유에 대한 추가적 보완이 요구되고 있으며, 통합규제의
법리에 따라 금융지주회사에 자회사등의 경영건전성에 대한 책임을 부담시키기 위해서는 금융지
주회사와 자회사등의 운영과 관리에 경제적 통합체로서의 실질을 인정하는 제도적 장치가 마련되
어야 한다. 예컨대, 금융지주회사에 대한 연결납세제도의 확대 및 통합적 내부통제시스템 적용 등
도 하나의 방안이 될 수 있다.
우리나라 금융지주회사 제도가 합리적으로 정착되어, 금융산업의 경쟁력을 강화하는 계기가 될
수 있도록, 위험의 전이는 적극적으로 차단하되, 이해상충 및 금융기관의 경영건전성을 해하지 않
는 범위 내에서는 통합규제의 법리에 부합하는 통합관리 및 운영이 가능하도록 제도적 뒷받침이
함께 검토되어야 할 것이다.
영어 초록
The Financial Services Modernization Act of 1999, also known as the Gramm-Leach-BlileyAct (hereinafter, GLBA), was enacted on November 12, 1999 in the United States.
GLBA repealed restrictions on banks affiliating with securities firms which were contained
in sections 20 and 32 of the Glass-Steagall Act of 1933. The Glass-Steagall Act prohibited any
one institution from acting as any combination of an investment bank, a commercial bank, and
an insurance company.
The GLBA created a new “financial holding company” under section 4 of the Bank Holding
Company Act, in which said holding companies can engage in a statutorily provided list of
financial activities, including insurance activities, securities underwriting and agency activities,
merchant banking, and insurance company portfolio investment activities. Additionally,
activities that are deemed “complementary” to financial activities are also authorized.
Any company which wants to engage in comprehensive financial activities as a financial
holding company must get permission from The Federal Reserve. The Federal Reserve may not
permit a company to form a financial holding company if any of its insured depository
institution subsidiaries are not well capitalized and well managed, or did not receive at least
a “satisfactory” rating in their most recent examination by Community Reinvestment Act of 1977.
The GLBA introduced a functional regulation system by which the Federal Reserve plays an
umbrella supervisor’s role and banking activity is regulated by the OCC, securities activity by
the SEC, and insurance activity by a state insurance authority. However, the GLBA encourages
coordination among the regulators and confidential sharing of information to improve both the efficiency and the quality of the supervision of financial holding companies and their affiliated
depository institutions and companies engaged in insurance activities.
In addition, the GLBA requires clear disclosure by all financial institutions of their privacy
policy regarding the sharing of non-public personal information with both affiliates and third
parties, and requires a notice to consumers and an opportunity to “opt-out” of sharing of
non-public personal information with nonaffiliated third parties subject to certain limited
exceptions.
Furthermore, the Federal Reserve has employed the “Source of Strength Doctrine”, which has
been accepted by the Courts, to impose fiscal liability onto holding companies when their
financial subsidiaries fail by the Code of Federal Regulation. This doctrine has also been
employed by the GLBA. In addition, the U.S. Courts have employed the “Prompt Corrective
Action” and the “Cross-Guaranteed Provision” in combination to regulate a holding company
and its subsidiaries.
Recently, Korea amended its financial holding company act in 2009 to allow a company
which does not contain a bank to be considered as a non-financial holding company.
Non-financial holding companies are regulated less stringently than bank holding companies.
They are able to own a non-financial company as a subsidiary. Amended the financial holding
company act is reasonable because non-financial holding companies have a different risk
structure compared to banks.
However, the Act needs to be supplemented by making the source of strength doctrine
obvious and employing the cross-guaranteed provision to regulate financial holding companies
and their subsidiaries effectively. Moreover, in tandem with an integrated regulation system, a
financial holding company should also be allowed to be managed as an integrated unitary
entity, which would include an expansion of “consolidated tax returns”.
