초록

뿔面決議라 함은 회사의 결의가 사원총회를 대신하여 휠릉面에 의해 이루어지는 결의 방식을 의미한다. 이것은 특히 유한회사에 있어서 총회의 결의에 의해 총회에 출석하지 않은 사원이 서면으로써 의결권을 행사할 수 있도록 하는 규정을 정관에 둘 수 있는데, 그러한 경우 사원이 議決權行使書面에 필요사항을 기재하여 회사에 제출하는 형태로 의결권을 행사하는 것을 말한다. 이와 같이 서면결의는 사원의 직접적인 總會參席없이 각 사원이 서변에 의한 의사표시만으로 簡易·펀述하게 회사의 의사를 결정할 수 있으므로, 총회소집에 요하는 시간· 경비 및 노력을 대폭 절약시킬 수 있는 기능을 한다.
그런데 뿔面決議가 안고 있는 약점 특히 不充分한 情報開示동의 경우에는 의사결정과정이 왜곡될 가능성이 높아 오히려 팽事에게 악용될 수 있는 문제가 있다. 이러한 문제의식에서 본 논문에서는 회사운영에 있어서 편리한 기능을 하는 뿔面決議의 일반적인 문제에 대해살펴본 후, 서면결의가 하나의 특정으로 되는 有限會社의 경우에 있어서 파생하는 문제점을검토하였다. 또한 주식회사의 서면투표제도와 비교하면서 특히 의사결정방법으로서 서면결의가 갖는 여러 가지 장점에도 불구하고 社員總會에서 뀔E훨- 의 情報開示및 說明이 불충분함으로 인하여 생기는 문제점을 고찰하고 그 개선방안을 제시하였다.

영어초록

Written resolution is the method of a company resolution made in writing, rather than the resolution made from a meeting of members. For limited companies in particular, the provision for membersCinvestors) to undeπ싫<:e written resolution, rather than the calling of a general meeting and attendance at the meeting, may be established in Articles of Incorporation. In such cases, it means the exercise of resolution right in the form of members' filling in the necess따y information on the written resolution exercise statement and submitting it to the company to exercise such right of written resolution. As such, written resolution may determine the intent of company in a simple and prompt fashion only through a deed written by each members without his physically attending a general meeting. Therefore it functions to significantly save the time, expense and effort required for convening of general meetings.
However, in the event that written resolution is limited, in particular, when there is insufficient disclosure of information or other limiting factors, there is a possibility that the decision making process be distorted through the directors' manipulation.
Limitations of written resolution being recognized, this thesis surveys the general problems of written resolution which is used for convenience in company operations.
Then it reviews the problems occurring in a limited company when written resolution becomes one method of resolution used by the company. In addition, it compares this kind of resolution with the written voting system of a corporation‘ It concludes with proposals for resolving the problems resulting from insufficient or inaccurate information provided by the directors during the general meeting of members, without neglecting the advantages offered by the written resolution as a method of decision making.
